Pursuant to the provisions of the Pipeline Right -of -Way Grant referenced above, this letter
shall serve as our notice that Snyder Oil Corporation ("SOCO") has assigned the Pipeline
Right -of -Way to ANGC Corporation ("ANGC"). This transfer is made in connection with
SOCO's sale to ANGC of certain of SOCO's natural gas and natural gas liquids pipelines and
processing facilities in Morgan, Weld, and Adams Counties, Colorado. All terms and
conditions of the Pipeline Right -of -Way Grant shall continue in full force and effect. ANGC
assumes operation of the pipeline on September 30, 1995. ANGC is an affiliate of Associated
Natural Gas, Inc., the current owner and operator of other natural gas and natural gas liquids
pipelines and processing facilities in the vicinity of the subject right-of-way.
