RE: APPROVE AMENDMENT TO AGREEMENT FOR SERVICES OF DISPATCHING
NORTH COLORADO MEDICAL CENTER AIR LIFE PERSONNEL AND AUTHORIZE
CHAIR TO SIGN - LUTHERAN HEALTH SYSTEMS
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Amendment to the Agreement for
Services of Dispatching North Colorado Medical Center Air Life personnel between the County
of Weld, State of Colorado, by and through the Board of County Commissioners of Weld
County, on behalf of the Weld County Regional Communications Center, and Lutheran Health
Systems, operator of North Colorado Medical Center, commencing January 1, 1999, and
ending December 31, 1999, with further terms and conditions being as stated in said
amendment, and
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Amendment to Agreement for Services of Dispatching North
Colorado Medical Center Air Life personnel between the County of Weld, State of Colorado, by
and through the Board of County Commissioners of Weld County, on behalf of the Weld County
Regional Communications Center, and Lutheran Health Systems, operator of North Colorado
Medical Center, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 12th day of May, A.D., 1999, nunc pro tunc January 1, 1999.

Enclosed please find three (3) partially signed Amendments to the Agreement
for Dispatch Services between Weld County and North Colorado Medical
Center. The language has been reviewed by Cyndy Giauque, Assistant
County Attorney, and has been revised per her suggestions. Please forward
these Amendments for the required signatures. When complete, I would

Amendment to the Agreement for Services
This Amendment is made to the Agreement for Services between Lutheran Health Systems, a North
Dakota non-profit corporation, operator of North Colorado Medical Center, located at 1801 16'"
Street, Greeley, Colorado 80631, hereinafter referred to as "NCMC," and Weld County, Colorado,
by and through the Board of County Commissioners of Weld County, located at 915 10`h Street,
Greeley, Colorado 80631, hereinafter referred to as "County."
RECITALS
A. NCMC and County entered into that certain Agreement, dated March 5, 1997, pursuant 10
which NCMC and County agreed to work together in the process of dispatching NCMC's Air
Life medical transport systems for medical emergencies.
B. NCMC and County now desire to amend the Agreement and Amendments thereto, if any, in
certain respects.
Now, therefore, incorporating the above Recitals and in consideration of the mutual covenants herein
contained, the parties hereto agree as follows:
1. Section 2. Term shall be amended to read as follows:
This Agreement for Services shall be for a 12 month period beginning January 1, 1999, and
continuing through December 31, 1999, subject to the termination provisions set forth in
Paragraph 6.
2. Section 3.A. NCMC Agrees: shall be amended to read as follows:
To pay County $39,570.56 for the services provided by the Weld County Regional
Communication Center for the 12 month term of this Agreement. Payments shall be made as
follows: $19,785.28 within ten days of execution of this Agreement and $19,785.28 by July 1,
1999.
3. Addition of Section 4.K. County Agrees. either directly or via a contract with the City ill

To provide NCMC Air Life personnel with access to ProQA and Aqua when fully installed.
4. Addition of Section 4.L. County Agrees. either directly or via a contract with the City i)f
Greeley:
To respond in writing to written concerns raised by NCMC Air Life Liaison or Designee
related to services provided pursuant to this Agreement for Services, provided such written
concerns are presented within ten business days after the actual incident in question occurred.
County agrees that written responses will be provided within ten business days after receipt of

the written concern from NCMC Air Life Liaison or Designee, to allow time for County to
investigate any concerns appropriately. A business day is defined as Monday through Friday,
8:00 a.m. to 5:00 p.m., excluding holidays.
5. Addition of Section 4.M. County Agrees. either directly or via a contract with the City 2f
Greeley:
To provide to NCMC a printout of all AirLife activity at the end of each month.
6. Addition of Section 4.M. County Agrees. either directly or via a contract with the City of
Greeley:
To provide, upon NCMC's request, reports/tapes at any time without charge. NCMC agrees
to provide the tape necessary to make these copies.
7. Addition of Section 15 to read as follows:
County represents that neither the County nor any officer, director or employee of the County
has been excluded from participation in any federal or state Medicare, Medicaid or other third
party program, and that no such action is pending. County shall immediately notify NCMC if
such action is threatened or proposed.
8. Full Force and Effect.
Except as expressly provided herein, the Agreement shall remain unmodified arid in full force
and effect.
