HomeMy WebLinkAbout981037.tiff RESOLUTION RE: APPROVE CONTRACT FOR CONSTRUCTION OF PUMP STATION AND AUTHORIZE CHAIR TO SIGN -WELD BUSINESS PARK WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Contract for construction of a pump station between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, and Aqua Engineering, Inc., with terms and conditions being as stated in said contract, and WHEREAS, after review, the Board deems it advisable to approve said contract, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Contract for construction of a pump station between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, and Aqua Engineering, Inc., be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said contract. The above and foregoing Resolution was, on motion duly made and seconded, adopted by the following vote on the 17th day of June, A.D., 1998. It is our understanding that the project consists of: • well construction specifications • pump station design • mainline infrastructure design • CSI format construction specifications • electrical design for pump and pump house lighting The following information or services are to be supplied by others before work begins or as work progresses: • site information or aerials as may be required • any water right and water delivery constraint information that would have a bearing on our work • irrigation design or as-built drawings (should they exist) +Wemoers irrigation Asseciatioq Ainer .an Stcieiy ot norm on r;ons'Maws fi.-her c ,r,o 90 of A gncultual Fnnnostr 9 -/(7 3 Proposal: Weld Business Park June 12, 1998 Page 2 We propose a budget of $14,850. for preparation of the complete (biddable) construction document package including miscellaneous expenses for telephone and mileage. This budget would not be exceeded without your authorization and direction. After construction documents are completed, we propose an hourly budget of 120 hours at an average billing rate of $75/hour, or $9,000, to provide construction observation during the construction period. Our normal involvement during construction would include a pre-bid conference, a pre-construction conference, material submittal review, impromptu site visits during construction, on call support to Weld County's project manager, and a final walk through and performance evaluation of the completed pump station. • If both construction documents and construction observation are to be provided, we would request a total budget of $23,850. The following General Conditions apply to Aqua Engineering's work: 1) Scope of Work Changes:A reasonable amount of coordination is anticipated for the work. Coordination,design,and drafting are estimated on an hourly basis. If the scope of work changes through concerns of the Client or base information changes are made which impact the irrigation design,the additional work or coordination will be charged on an hourly basis following approval by the Client. 2) Termination or Suspension of Work:If the scope-of-work delineated is abandoned or suspended in whole or in part, Aqua Engineering is to be paid for services performed on such work prior to receipt of written notice to cease work,together with any terminal expense resulting from cessation of work. 3) Construction Observation:Aqua Engineering will not be responsible for and will not have control or charge of construction means,methods,techniques,sequences or procedures,equipment or product failures,or for safety _.. . _.._ . . precautions and pi*grams in cot,sAion with the wui k. Aqua Eugooeering will not be responsible for or have control or charge over the acts or omissions of the Contractor,Subcontractors,or any of their agents or employees,or any other persons performing any of the work. If Aqua Engineering is not contracted to visit the site during the course of construction,the Client will hold Aqua Engineering harmless in the event that construction does not conform to the construction documents,or the construction documents are misinterpreted. 4) Limitation of Liability:To the fullest extent permitted by law,AEI's total liability to Client,Owner and any third parties for any and all injuries,claims,losses,expenses,damages or claims expenses arising out of this agreement from any cause or causes,shall not exceed the dollar value of work contracted herein.Such causes include but are not limited to AEI's negligent acts,errors,and omissions. 5) Ownership of Documents: Client acknowledges that any construction documents prepared for this specific project will not be reused for other projects. Client agrees to hold harmless and indemnify Aqua Engineering against all damages, claims,and losses including defense costs,arising out of reuse of any part of the construction documents without the written authorization of Aqua Engineering. 6) Billing:Aqua Engineering's normal billing period ends at the close of each month,or at the completion of each work phase. Payment is due and payable within 30 days of invoice date. Past due amounts will accrue interest in the amount of 2%per month until payment is made,plus any attorneys'fees. 7) Reimbursable Expenses: Miscellaneous expenses,such as mileage,bluelines,photocopying,computer supplies,and long distance telephone charges are reimbursable at direct cost. Proposal: Weld Business Park June 12, 1998 Page 3 8) Purchase Orders:Issuance of a purchase order in response to this proposal shall constitute acceptance of these General Conditions whether or not the proposal is specifically referenced on the purchase order. 9) Opinion of Probable Construction Costs:Since Aqua Engineering has no control over the cost of labor,materials,or equipment,or over Contractor's method of determining prices,or over competitive bidding or market conditions,the opinions of probable construction cost that may be provided for herein are made on the basis of experience. These opinions represent the best judgement of a design professional familiar with the construction industry. However,Aqua Engineering cannot,and does not,guarantee that proposals,bids,or the construction cost will not vary from opinions of probable cost prepared as a part of the work. The construction document work proposed can be completed within six to ten weeks after receiving authorization to proceed. If you are in agreement with the above, please return one copy of this proposal signed by an authorized representative, and we will be available to proceed as required.
