RE: APPROVE AGREEMENT FOR UPGRADE OF TELEPHONE SYSTEM AND
AUTHORIZE CHAIR TO SIGN - SIEMENS INFORMATION AND COMMUNICATION
NETWORKS, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement for the upgrade of a
telephone system for the Weld County Public Health\Planning Services and Public Works
buildings between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, and Siemens Information and Communication Networks, Inc.,
commencing upon full execution of said agreement, and ending May 28, 1999, with further
terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Agreement for the upgrade of a telephone system for the Weld
County Public Health\Planning Services and Public Works buildings between the County of
Weld, State of Colorado, by and through the Board of County Commissioners of Weld County,
and Siemens Information and Communication Networks, Inc., be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 1st day of February, A.D., 1999.

Scope of Work: Siemens Information and Communication Networks, Inc. (Siemens),will upgrade your
existing System in accordance with the configuration changes and terms set forth
in this MAC Order Schedule A beginning on the next page.
Purchase Price $86,118.50 excluding sales tax.
By signing this Schedule A, Siemens Information and Communication Networks, Inc. (Siemens) and the Customer(you)
agree that the terms of the referenced Agreement for Products and Services(APS), Master System Sales and Maintenance
Agreement (MSSMA)or other agreement,whichever is applicable(Agreement), and the referenced Exhibit(s) apply
to the Products, Software, Programs and services listed in the Schedule A. Site-specfic Terms are set forth herein.
The prices in this Schedule A are valid if it and the referenced Agreement, signed by you, are received by Siemens
on or before the Pricing Validity Expiration Date shown above, provided they are accepted by Siemens.

SITE SPECIFIC TERMS
For: Weld County Government
This Schedule A,which contains proprietary Product and pricing information, has been prepared for the express
purpose of allowing you to evaluate the Product and service offerings of Siemens. Except as otherwise required
by law, it may not be reproduced, used by or disclosed to persons not employed or retained by you for the evaluation
and implementation of this Schedule A without Siemens'prior written consent.
The pricing in this Schedule A is contingent upon your acceptance of Siemens' standard contract terms. Changes
to such terms may result in an adjustment to the Purchase Price.
Notwithstanding anything to the contrary in the"Software License" section in the referenced Agreement, Siemens
grants you a non-exclusive license in the United States and Puerto Rico to use the Software listed on a Schedule
A and/or Installation Change Order only in the System in which such Software is initially installed, and only
for those features for which and only to the extent to which Siemens has authorized the use of such Software,
and only for so long as you are using such System within your Enterprise. The Software License Agreement(SLA)
referenced in the"Software License" section in the APS, or the Software transfer obligations referenced in the
"Software License"section in the MSSMA or the substantially similar transfer obligation(s) in another Agreement
will be deleted and replaced in their entirety with the current SLA document, which will be available upon request,
at the time you transfer the System. If you are a U.S. Government user,the Software and documentation are provided
with RESTRICTED RIGHTS. Use, duplication and disclosure by the U.S. Government is subject to restrictions as
set forth in Federal Acquisition Regulation (FAR) clause 52.227-19(c)(2) or successor regulation thereto.
Contractor/manufacturer is Siemens Information and Communication Networks, Inc., 900 Broken Sound Parkway, Boca
Raton, Florida 33487..
The Operating System Software license charge set forth on this Schedule A is based on the"Wired For Ports"capacity
referenced therein. Any increase in the"Wired For Ports"capacity will require an additional licensing charge.
Notwithstanding anything to the contrary in the Agreement, you are responsible for System or Product transportation
charges to your Premises for which Siemens will invoice you at$.25 per pound based on the weight of the System
or Product shipped to you.
Pricing and credit approval is subject to Siemens verification and acceptance.
The payment terms for this Schedule A are as follows: 75%of the Purchase Price, plus all taxes and governmental
fees applicable to the total Purchase Price, are due on the delivery of the MAC Products to the Premises, and
the remaining 25% of the Purchase Price, plus transportation charges, are due within 30 days after the Installation
Date.
In the event you fail to make any payments when due under the Schedule A or subsequent orders relating to the
System and/or Product(s), Siemens may immediately suspend performance until payment is received. If any amount
due is not paid in accordance with the specified terms, you agree to pay Siemens on demand, as a late charge,
1.5% per month, limited by the maximum rate permitted by law, on such overdue amount. The late charge will accrue
from such due date until such amount is paid.
The warranty period for each MAC Product, installed during the warranty period of the System on which it is installed,
commences on such Product's Installation Date and expires on such System's warranty expiration date. However,
the warranty period for the following MAC Products is one year commencing on such Product's Installation Date,
regardless of whether such Product was installed during or after such System's warranty period:
1)Additional equipped ports and attached new station Products installed with an added cabinet;
2)Any cabinets installed to replace one or more existing cabinets:
3) Siemens PhoneMail; and
4)Additional disks or channels installed in PhoneMail;
5) Siemens CallDisplay;

If a Siemens warranty applies to any other MAC Product listed in this Schedule A, its warranty period will commence
on such Product's Installation Date and have a duration as Siemens specifies for such Product in this Schedule
A.
The Program License Agreement(PLA) referenced in the"Program License"section in the APS or any separate program
license provision referred to in the"Software License"section in the MSSMA or the substantially similar program
license provision(s) in the Agreement is deleted and replaced in its entirety with PLA, Exhibit No. ROLMPLA-10
or subsequent version number,which is attached hereto and incorporated herein by reference. If you are a US
Government user,the Program and documentation are provided with RESTRICTED RIGHTS. Use, duplication and disclosure
by the US Government is subject to restrictions as set forth in Federal Acquisition Regulation (FAR) clause 52.227-19(
c)(2)or successor regulation thereto. Contractor/manufacturer is Siemens Information and Communication Networks,
Inc., 900 Broken Sound Parkway, Boca Raton, Florida 33487.
All Products under Workpoint Communications on this Schedule A are considered Customer Set-Up unless otherwise
specified by Siemens.
Remote Communication Modules (RCM)are designed to operate reliably at distances up to 750 cable miles from the
Siemens Hicom 300 E Communication Server(CS). If there are analog lines and trunks at a remote site located
100 cable miles or more from the CS, users may notice an echo on some connections. The echo increases with the
longer distance between the RCM and CS and can be exacerbated by poor quality local exchange analog trunks, resulting
in a mismatch and low echo return loss. If echo problems are anticipated before installation of the RCM, or
are experienced by users after installation, Siemens can provide, at its then-current prices, echo-cancellation
equipment along with installation services.
Should you elect to finance the System or Product(s) in this Schedule A with Siemens Credit Corporation (SCrC),
your monthly lease payment will be$ for months. Siemens will provide you with a name
of a SCrC representative whom you may contact for further details.
