RE: APPROVE GRANT AGREEMENT WITH STATE BOARD OF GREAT OUTDOORS
COLORADO TRUST FUND FOR WELD COUNTY OPEN SPACE COMPREHENSIVE
PLAN AND AUTHORIZE CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Grant Agreement for the Weld County
Open Space Comprehensive Plan between the County of Weld, State of Colorado, by and through
the Board of County Commissioners of Weld County, and the State Board of Great Outdoors
Colorado Trust Fund, with terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Grant Agreement for the Weld County Open Space Comprehensive
Plan between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, and the State Board of Great Outdoors Colorado Trust Fund be,
and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 26th day of July, A.D., 1995.

CONTEXT OF AGREEMENT:
A. The Board is a political subdivision of the State of Colorado, created by Article
XXVII of the Colorado Constitution, adopted at the November, 1992 General Election. The
Constitution appropriates a portion of the net proceeds of the Colorado Lottery to the Board
and directs the Board to invest those proceeds in the State's parks, wildlife, open space and
recreational resources.
B. In 1994, the Board created a statewide grant program, pursuant to which
eligible entities could apply for grants for Planning and Capacity Building Projects to which
Grantee responded with a detailed application (the "Project Application").

C. Grantee submitted a Project Application to the Board which contemplates the
execution of the project entitled and described above (the "Project"), a copy of which is
incorporated by reference and attached as Appendix A.
D. The Board approved Grantee's Project Application on June 21, 1995, subject to
the execution of a detailed Grant Agreement, subject to the conditions set forth herein.
E. Grantee anticipates that the Project described in the Project Application will be
substantially completed on or before February 29, 1996 .
F. Grantee has undertaken responsibility for obtaining the match (funds and in -
kind contributions) described in the project application.
G. The parties intend this document to be the detailed Grant Agreement required
by the Board. The Grantee shall carry out the project in accordance with this agreement and a
work program to be approved by the Executive Director of the Board pursuant to this
agreement.
AGREEMENT
The parties agree as follows:
1. Grant and Project. The Board hereby grants to Grantee the sum not to exceed
$25,000 subject to the terms of this Agreement. These funds shall be used by Grantee solely
to complete the project described in Grantee's Project Application as approved by the Board.
Grantee hereby agrees to use its best efforts to complete the project.
2. Project scope. The Project, Weld County Open Space Comprehensive Plan, as
described in the Project Application, will not be materially modified by the Grantee without
the written approval of the Executive Director of the Board. In multi -phase projects this
Agreement only pertains to the identified phase of the project, and not the project as a whole.
3. Obligations of Grantee. NO FUNDS WILL BE DISBURSED BY THE
BOARD UNLESS AND UNTIL THE GRANTEE FURNISHES THE BOARD WITH
THE INFORMATION REQUIRED BY THIS AGREEMENT. Prior to execution of this
Agreement, Grantee will submit the following information to the Board's staff:
a. A resolution adopted by the governing body of the Grantee authorizing the
execution of this agreement and approving its terms and conditions (which will be
attached to this Agreement as Appendix B);

b. A detailed Work Plan and Budget for this Project (which will be attached to
this agreement as Appendix C and Appendix D respectively). Grantee hereby agrees
to promptly submit all material revisions to their Workplan and Budget. As provided
further below, the Board reserves the right at any stage of the Project to withhold
funding if (i) modifications to the Project are so substantial as to make it, in the Board's
reasonable judgment, substantially different in quality or kind from that approved by
the Board, or (ii) there have been delays in the implementation of the Project which, in
the Board's reasonable judgment, make the Project impracticable;
c. The Project funding schedule (which will be attached to this Agreement as
Appendix E), will (i) briefly identify each major stage or milestone of the Project, (ii)
set out the source, amount and anticipated date of each disbursement of funds for the
Project, and (iii) show the Board payment with respect to the Project; and
d. The payment schedule agreed between the parties is checked below:
❑ OPTION A: Full payment of the contract amount will be made upon
submission of the information required by this paragraph 3, including a signed
copy of this grant agreement and submission of the information required in
paragraph 4.
❑ OPTION B: 50% payment upon submission of the information
required by this paragraph 3, including a signed copy of this grant agreement.
In addition, 25% will be distributed, upon submission of a periodic progress
report (which will include an itemized expenditure report, copies of all invoices
listed on the expenditure report, copies of all canceled checks for the above
invoices, and a brief narrative describing project milestones). The final 25% of
the grant award will be withheld against the requirements detailed in paragraph
4. Disbursement of Funds. Prior to the final payment by the Board the Grantee
must provide certified written assurance to the Board that the following conditions have been
satisfied.
a. The Project has been substantially completed according to the work
plan and budget;
b. The representations made to the Board in the grant application and all
subsequent correspondence continue to be true (or, if there have been any
material changes, the Board has been advised of such changes and has assented
to them).

c. Match funds have been received (or the status of efforts to secure
matching funding has been disclosed to Board staff and it has been found to be
satisfactory);
d. Disbursement shall be made on the basis of costs incurred. A reduction
in matching funding may cause a proportional reduction of Great Outdoors
Colorado Funds.
5. Waiver: The Executive Director may waive one or more of the obligations in
paragraphs 4 and 5 of the Agreement, or may require performance of one or more of these
obligations subsequent to disbursement.
6. Compliance with applicable federal and state laws, rules and regulations. At all
times during the performance of this contract, the Grantee shall strictly adhere to all
applicable federal and state laws, rules, and regulations that have been or may hereafter be
established, including but not limited to worker safety, local labor preferences, preferred
vendor programs, use of competitive bidding, and other similar requirements, that directly
apply to the Project described in this grant agreement. The Grantee will indemnify the Board
from any liability for any failure to comply with any such applicable requirements.
7. Nondiscrimination. The Grantee agrees to comply with the letter and the
spirit of the Colorado Antidiscrimination Act of 1957, as amended, and other applicable law
respecting discrimination and unfair employment practices (CRS §24-34-402), as required by
Executive Order, Equal Opportunity and Affirmative Action, dated April 16, 1975. In the
event of the Grantee's non-compliance with the non-discrimination clauses of this contract or
with any of such rules, regulations, or orders, this contract may be canceled, terminated or
suspended in whole or in part.
8. Publicity and Project Information. Grantee agrees:
a. Grantee shall acknowledge Board funding in all publicity issued by it
concerning the Project.
b. Grantee shall cooperate with the Board in preparing public information
pieces.
c. Grantee shall give the Board the right and opportunity to use
information gained from the Project.
d. Grantee shall give timely notice of the Project, its inauguration and
significance to the local members of the Colorado General Assembly, members
of the board of county commissioners of the county or counties in which the
Project is located, as well as to other appropriate public officials.

9. Audits and Accounting. Grantee shall maintain standard financial accounts,
documents, and records relating to the use, management, and operation of the Project. The
accounts, documents, and records related to the Project shall be retained by the Grantee for
five (5) years following the date of disbursement of funds under this Agreement. The Board,
or its designated agent, shall have the right, upon reasonable notice to the Grantee, to audit
the books and records of Grantee which pertain to the Project and to the use and disposition
of Board funds. The Grantee may use any accounting system which follows the guidelines of
"Generally Accepted Accounting Practices" published by the American Institute of Certified
Public Accountants.
10. Withdrawal of Board funding. The Board may withdraw its approval of
funding to the Grantee and cease funding of the Project if, in its sole discretion, it determines
conditions have occurred which fundamentally change the expectations of the parties or
which make the grant infeasible or impractical.
11. Grantee's inability to complete Project. If the Grantee determines with
reasonable probability that the Project will not or cannot be completed as reflected in the
Project Application the Grantee will promptly so advise the Board, and cooperate in good
faith with respect to alternative solutions to the problem before any further funds are
advanced.
12. Governmental Immunity. The following provision applies to the Board. This
provision may apply to the grantee if the grantee qualifies for protection under the Colorado
Governmental Immunity Act, C.R.S. §24-10-101 etseq. The Parties by entering into the
instant agreement, do not waive or intend to waive by any provision of this agreement, the
monetary limitations (presently $150,000 per person and $600,000 per occurrence) or any
other rights, immunities, and protections provided by the Colorado Governmental Immunity
Act, C.R.S. §24-10-101 et seq., as it is from time to time amended, or otherwise available to
the Grantee, its successor, employees, officers or agents.
13. Liability. The Grantee shall be responsible for, indemnify and hold harmless
the Board, its officers, agents and employees from any and all liabilities, claims, demands,
damages or costs resulting from, growing out of, or in any way connected with or incident to
this Agreement, except for the gross negligence of willful and wanton conduct of the Board its
officers, agents, or employees. Grantee hereby waives any and all rights to any type of express
or implied indemnity or right of contribution from the State of Colorado, the Board, its
officers, agents or employees, for any liability resulting from, growing out of, or in any way
connected with or incident to this Agreement.
14. Assignment. Grantee may not assign its rights under this Agreement without
the consent of the Board.

15. Good faith. There is an obligation of good faith on the part of both parties,
including the obligation to make timely communication of information which may
reasonably be believed to be of interest to the other party.
16. Applicable Law. Colorado law applies to the interpretation and
enforcement of this Agreement.
17. Independent Contractor. Grantee is an independent contractor acting in its
separate capacity and not as an officer, employee or agent of the Board.
18. Entire Agreement. Except as expressly provided herein, this Agreement
constitutes the entire agreement of the parties. No oral understanding or agreement not
incorporated in this Agreement shall be binding upon the parties. No changes in this
Agreement shall be valid unless made as an amendment to this contract, approved by the
Board, and signed by the parties in this Agreement.

Eligibility Requirements:
1. Project Type: This project is multi -jurisdictional planning in that it
encompasses the entire County of Weld with detailed emphasis on open
space in the 1-25 corridor area of southwest Weld County. Weld County and
seven municipalities will participate financially on this project. A county -wide
open space plan has never been developed in Weld County, and, as outlined
by the scope of service, the study calls for the development of strategic land
use tools to help preserve, protect, enhance, and manage open space in Weld
County with specific identity of future open space projects. The project is also
a topical planning project involving a County open space plan.
2. Recipients: The applicant, County of Weld, is an eligible recipient for funding
from the Great Outdoors Colorado Trust Fund as a county government.
3. Required Matching Resources: Weld County and seven municipalities will
contribute $12,000 or 30% of the total cost of $40,000, with a request of
$28,000 from the GOCO Trust Fund.
4. Eligible Costs: The only project related expenses will be for professional
services to engage a qualified consulting firm to conduct the open space study
of Weld County.
5. Maximum Grant: The grant request of $28,000 falls within the $50,000 limit.
6. Project Period: It is anticipated the project would be completed prior to
December 31, 1995.

Selection Criteria
I.
(B). The Multijurisdictional Planning Effort
1. The County of Weld together with its municipalities are proposing to conduct a
county wide open space planning effort. While this study will encompass the
entire County, special emphasis will be directed toward the southwestern region
of the County, comprising the jurisdictions of Town of Erie, Town of Frederick,
Town of Firestone, Town of Dacono, City of Longmont, and City of Thornton.
Historically, Weld has done little in the way of open space preservation and
recognition, impart because Weld has been so agriculturally oriented. However,
with the increase in growth Weld County is currently experiencing open space
issues are gaining considerable attention. Common open space is no longer
available for citizens in certain areas of Weld, particularly in the southwestern
region. A county wide open space will enable growth to be accommodated
around those critical land forms and wildlife habitat areas. The plan will enable
jurisdictions to agree upon and plan for special open space opportunities to
enhance the independence of each community and provide of a separation
between communities. A unique element of this plan is directed toward
agricultural land preservations and ways of addressing important agricultural land
from both the municipal and county levels (while working toward a common
goal).
2. As part of the Comprehensive Plan update Weld County has recently conducted a
county wide bike trails map which integrates all trails within Weld and
established several new goals and policies for open space and recreational
opportunities in Weld. Weld County is working with the Division of Wildlife to
update the Existing Wildlife Areas Map. This new map will delineated not only
unique wildlife species but habitat areas as well for the entire County. Because of
the magnitude (4006 square miles) and the dispersion of regionalism it often
difficult to provide specific land use information for the entire County. The
Northern Front Range Study, conducted by BHA in the spring of this year,
addressed open space issues in a specific section of Weld County. It is the
intention of this planning effort to incorporated all these existing elements into
one comprehensive open space plan for Weld County. The larger municipalities
included in this application do have their own open space plans (which do not
actually address their relationship to the County, with the exception of Longmont)
however the smaller communities do not address open space at all.

3. Certain regions in Weld County are growing at rates never before experienced.
These regions are ill prepared to provide for the more concrete land use issue such
as infrastructure, let alone address open space issues. While Weld County
contains 18% of the State of Colorado's prime agricultural lands, we are allowing
this land to be converted into urban uses faster than any other county in the State.
I1 One way of maintaining some of this land is to provide for and require the
preservation of agricultural lands through the open space concept.
One reason land is being converted into urban uses is because there is a need to
provide for the increasing number of people in our region, and the market demand
to live in the "county" is tremendously high. Smaller communities are being
inundated with requests for annexation, and often times do not consider the long
term effects of their land decisions. Enclosed is a map of Weld County which
shows those areas considered for urban development. (Note that this is exactly
where the prime ag lands are, and that their is relatively little, if any separation of
communities). This plan will provide a basis from which all municipalities in
Weld County can at least address open space opportunities.
II. Impact of the Project
(A). This planning project will incorporate all existing open space planning endeavors
for Weld County into one cohesive document. The initial project will be a broad
attempt at describing open space opportunities in Weld County with a more
indepth analysis for the southwestern portion of Weld. In turn, each of the
municipalities is committed to incorporate this plan into their overall vision for
their growth. This project will provide a common ground from which to further
establish intergovernmental agreements and relationships now and into the future.
As growth influences different regions of Weld it is highly probable that
additional open space elements will be conducted to adequately address each of
the several regions within Weld.
(B). This project will adhere to The Great Outdoors philosophy by meeting all of the
objects of this Board from preservation to the management of critical areas within
one of the State leading agricultural counties. This project will allow us to plan
for our future thus ensuring an integration between agricultural and tremendous
growth.
(C). The intent of this project is to develop and provide a commonality from which
each of the (30) municipalities within Weld can use as a land use decision tool.
Most of the municipalities in Weld County do not have professional staff to
address the issue of open space preservation and are ill prepared to deal with
ommunity separator issues. This plan allows all the communities to work
gether in harmony in the open space arena.

III. Leveraging and Partnerships
(A). Weld County and seven municipalities will contribute $12,000 on 30% of the
total cost of $40,000, with a request of $28,000 from the GOCO Trust Fund. In
addition, Weld County's Long Range Planner position will provide sufficient time
to manage the project and coordinate with the consultants.
(B). This project will be coordinated by Weld County and involve all municipalities in
Weld County. Seven municipalities have committed to participate financially by
contributing a total of $2,000 toward the project and Weld County contributing
$10,000. See attached letters of support.

I. BACKGROUND
Weld County is in the process of updating the Weld County Comprehensive Plan. Our current
study briefly describes the need for open space areas, however no unified approach or defined
areas have been delineated. Some effort has been made to identify regional open space issues
within Weld County, particularly in the Greeley/Windsor area with the open space study from the
Northern Colorado Regional study and the Poudre Trail project. Additionally, the Division of Wildlife
has been commissioned by Weld County to undertake a (county wide) wildlife identification study
which will be finished by the end of 1995. This study will identify a specified number of both wildlife
species and habitat areas.
Over the last several. years there has been increasing growth along the 1-25 corridor. This corridor
generally extends along the length of Interstate 1-25 and is influenced by growth in Weld and
Boulder Counties, Broomfield, Mead, Longmont, Frederick, Firestone, Dacono and Erie. In the
center of the corridor lies the 1-25 Mixed Use Development Area, which is approximately 7000
acres in size. As growth along the corridor continues the land between the municipalities will
become populated or developed.
2. PURPOSE
The Weld County Commissioners realize the need to adequately plan for the future and as part of
this process planning for open space must be considered. Presently, we are not prepared to deal
with open space and community separator issues. It is the purpose of this study to define those
areas within Weld County which provide unique and critical open space land forms. The study
should identify both wildlife species and habitat areas. It is our intention that the open space study
will enhance and incorporate the existing regional efforts, delineate trail development and include
the Division of Wildlife maps, thus providing a comprehensive open space plan. The plan should
offer appropriate land use tools and strategies to be utilized by Weld County and municipalities.
3. SCOPE OF SERVICES REQUESTED
The study should include the following components.
A. Define criteria for classification of open space into appropriate categories such as:
conservation/preservation, passive recreation or active recreation sites. The study should
address the issue of providing open space in a highly agriculturally orientated county.
Various methods of land preservation, i.e., conservation easements, should be researched
to determine the most appropriate land use tools for preservation of agricultural lands within
Weld County.

B. Use per capita growth and public input information from the Weld County Comprehensive
Plan to compare existing open space holdings to future needs. Define strategies for
acquisition to meet future needs. The study should address the types of recreational needs
required by the growing community. The most feasible locations should be mapped and
design standards for these facilities should be incorporated into the study.
C. Map existing open space holdings on Weld County Maps (G.I.S. availability). Alternatives
for reclamation and reuse of county owned gravel pits should be investigated and several
proposals for adaptive reuse suggested. The study will contain a determination of the role
these sites will play in the open space plan.
D. Compare needs, existing sites, and growth trends to identify critical protection areas. Map
(in priority) areas requiring protection. Map areas to respond to recreational needs versus
growth. Map areas of future protection opportunities.
E. Prepare general cost estimates for acquisition. Maintenance, protection and amenities to
assist Weld County in budget configuration and allotment strategies.
F. Identify level of services, protecting buffers and amenities required in various regions of the
County. Project these needs to 5, 10, and 15 years out.
G. Compare resources (maintenance, protection, services) available from County and various
communities to the projected open space needs/acquisitions. Recommend alternatives,
cooperative uses, joint maintenance, and new services required to serve the anticipated
growth.
H. Provide planning tools and strategies that will incorporate open space concepts with future
development.
Provide 20 copies of final reports to Weld County, including maps, and all other information
used in production or in the review process that are deemed valuable to Weld County
Planning.
4. PUBLIC PARTICIPATION
Several public meetings were conducted as part of the recent Weld County Comprehensive Plan

for Weld County. While much of the county is agricultural and
therefore "open space", many areas are under tremendous development

proposal and grant application. The City of Fort Lupton believes this project will benefit
our and other communities through Weld County. Maintaining any buffer between
communities, protecting natural areas, and providing open space in highly congested areas
are the ultimate tools in urban planning and the attainable quality of life for ourselves and
our children.
We, as a small city and community with a very high degree of urban growth pressures, are
committed to working closely with the Weld County, the State of Colorado and
