HomeMy WebLinkAbout690248.tiffCONTRACT AGREEMENT THIS AGREEMENT made this 25th day of June, 1969 by and between WELD COUNTY, COLORADO, acting herein by and through its Board of County Commissioners, who are duly authorized to act for and in behalf of said Weld County, Colorado, hereinafter called the OWNER, and EAGLE ENGINEERING CO., INC., a Colorado Corporation, licensed to operate under the laws of Colorado, hereinafter called the ENGINEER. WHEREAS: the OWNER desires to employ the ENGINEER to render engineering services for the improvement, repair and/or replacement of bridges, roadways, culverts, etc., damaged by recent floods in Weld County, Colorado, and further to aid any and all County Offices requiring assistance in design, inspecting, contracting and accounting, in order to comply with the requirements of the Office of Emergency Planning, hereinafter referred to as the OEP, and WHEREAS, the ENGINEER agrees to perform the various professional services required for the above named improvements, NOW, THEREFORE, THIS AGREEMENT WITNESSETH: That for and in consideration of the mutual covenants and promises between the parties hereto, it is hereby agreed that the ENGINEER shall furnish engineering services and the OWNER shall make payment for same in accordance with the terms and conditions set forth hereinafter. A. The ENGINEER hereby agrees to furnish and perform the various pro- fessional services required as follows: 1. Provide complete general and detail plans, specifications and detailed estimate of cost. 2. Prepare forms for construction proposals, advertisements, con- struction constracts and bonds, subject to the approval of the OWNER. 3. Receive and tabulate proposals, report same to the OWNER, and assist in awarding contract for construction. 4. Furnish general supervision of the construction including line 690248 and grade surveys as the constructions progresses, to assist in a correct interpretation of the plans and specifications and to safeguard the OWNER against defects and deficiencies on the part of the Contractor. 5. Furnish and perform the supervision of work of inspection bureaus and laboratories in the inspection and tests of material, entering into the construction of the improvements; receive and pass upon by approval or rejection all reports by such labor- atories or bureaus on the material tested for use. The cost of all such tests and inspections by laboratories or bureaus to be paid for by the OWNER. 6. Receive, review and certify to the accuracy of all requests for payment under the OEP Program. Tabulate and certify final pay estimates to the OWNER. 7. Assist in the preparation of all correspondence by and between the OWNER and OEP, and assist in the preparation of all forms as required by the OEP for initial, partial, and final payment. 8. Provide any and all technical information as required at meetings with the OWNER and OEP as well as attend meetings as requested and required by the OWNER. 9. Provide any additional investigations, studies, and reports, preliminary general plan or plans, approximate estimate of cost and all necessary conferences with the OWNER in regard to construction. B. The OWNER hereby agrees to pay the ENGINEER as compensation for such engineering services, a fee based on the hours worked in accordance with the Fee Schedule shown below. The OWNER further agrees to pay the ENGINEER on a monthly basis, upon presentation of a statement showing the type of work performed with the hours and rates shown thereon. Fee Schedule: Principal Engineering Design Engineering Drafting Surveying (2 man crew) Secretarial Speciftcation Writing $10.00 per hour 8.00 per hour 6.00 per hour 15.00 per hour 3.00 per hour 8.00 per hour C. It is further mutually agreed by the parties hereto: 1. That the above fee schedule shall include all travel, insurance, out -of -office expense, telephone and telegraph costs, and profit. 2. That the total fee paid the ENGINEER shall not exceed the per- centage fee as shown on curve "B" as published by the American Society of Civil Engineers, page 18, of the Manual of Engineering Practices. 3. That the ENGINEER shall have complete authority over all con- struction, inspection, and negotiations as they pertain to existing and future construction as required to fulfill the requirements of the OEP and to protect the OWNER. 4. That any drawings and specifications used are instruments of service and as such the original documents, tracings, and field notes are and remain the property of the ENGINEER whether the work for which they were prepared be executed or not, and shall not be used by the OWNER for any other project or construction. 5. That all questions in dispute under this agreement shall be submitted to arbitration at the choice of either party hereto. 6. That the OWNER and ENGINEER each binds himself, his partners, successors, executors, administrators and assigns, to the other party to this agreement. Except as specified above, neither the OWNER nor the ENGINEER shall assign, sublet, or transfer his interest in this agreement without the written consent of the other party hereto.
