RE: APPROVE 1995 ANNUAL TEAMWORK SOFTWARE LICENSE AGREEMENT WITH
SEQUOIA PACIFIC SYSTEMS AND AUTHORIZE CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with the 1995 Annual Teamwork Software
License Agreement between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Weld County Clerk and Recorder, and
Sequoia Pacific Systems, with terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the 1995 Annual Teamwork Software License Agreement between the
County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld
County, on behalf of the Weld County Clerk and Recorder, and Sequoia Pacific Systems be, and
hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 10th day of April, A.D., 1995.

1995 ANNUAL TEAMWORKTM SOFTWARE LICENSE AGREEMENT
This agreement is entered into between:Sequoia Pacific Systems
1030 North Anderson Road
Exeter CA 93221
hereinafter referred to as SELLER and:
Weld County
1402 N 17th Ave
Greeley CO 80632-0758
herinafter referred to as BUYER.
BUYER herewith acknowledges that all of the TeamWork"' Software provided under this
Agreement is the proprietary software of the SELLER, and is a valuable trade secret of
the SELLER. SELLER herewith grants to BUYER a license to use said TeamWorkTM
Software for as long as BUYER shall continue to use the system purchased under this
agreement subject to the following provisions.
BUYER herewith agrees that it shall use all reasonable effort to maintain the
confidentiality of the licensed software and shall not permit access thereto by any
unauthorized personnel or make any copies or modifications thereto without the prior
written consent of the SELLER.
In the event that BUYER shall fail to exercise reasonable effort to maintain the
confidentiality of the software or in the event that BUYER shall copy or modify said
software without prior written approval of SELLER, BUYER recognizes that SELLER may
suffer substantial financial damages and SELLER shall have the right to revoke this
license granted, to seek injunctive and any such other relief as necessary to protect the
software. Reservation of the right to injunctive relief shall in no manner bar SELLER from
pursuing any and all remedies available to it under law for any damages sustained by
SELLER.
BUYER shall inform all of its employees, agents or any person or entity authorized by it
to have access as necessary for operation of the software of the provisions of this license
and shall seek from such persons or entities given access to the software a written
acknowledgement of the obligations and conditions contained in this license.

Dear Teamwork Customer:
Periodically Sequoia Pacific Systems requires us to reiterate and confirm our License
Agreement with our Teamwork TM Customers. We have provided two copies of the
licensing agreement for you to sign. One for your records and one to be returned
in the envelope provided. The software license entitles you to the use of the
Teamwork TM Software and will protect both you and Sequoia Pacific Systems from
unlawful use of our system.
Enclosed please find updated pages to insert in your 1.5 Manual. If you do not have
a current 1.5 Manual please contact Dennis L. Shaffer at 209/592-8360.
