Dear Sir:
Amerada Petroleum Corporation, by its agents and employees
desires to carry on exploration work for oil and gas in Weld County,
Colorado and such work will include seismographing on roads and rights
of way for County roads. In consideration for the County granting to
Amerada the right to enter upon such roads and rights of way for such
purposes, Amerada agrees to conduct its exploration work in such a
manner as to avoid damage and to leave the County roads and rights of
way thereof in as good a condition as they were before such expporation.
It agrees to assume full responsibility for all damages which may result
to any persons or property by reason of such exploratory operations and
to indemnify and hold harmless the County against all claims or causes
of action arising by reason of its acts or omissions in condgcting such
operations.
