Range 68 West Section 18: SW/4SE/4 Weld County, Colorado Dear Mr. Olsen: This office represents Peter Luce with respect to your January 13, 1996 letter advising of Vessels' intent to commence dirt work for the drilling of the captioned well on Mr. Luce's property. In this regard, Mr. I uce has provided me a copy of the deed to this property, which he received from Vessels' predecessor in interest, Union Pacific Land Resources Corporation (copy enclosed). The deed reserves the underlying minerals to Union Pacific, under the following lanpnge: Excepting from this grant and reserving unto the Grantor, its successors and assigns, forever, all minerals and all mineral rights of every kind and character now known to exist or hereafter discovered including,without limiting the generality of the foregoing, oil and gas and rights thereto, together with the sole, exclusive, and perpetual right to explore for, remove and dispose of, said minerals by any means or methods suitable to the Grantor, its cursors and acrignc, but without entering upon or using the surface of the lands hereby conveyed and in such n>anner as not to mm�ge tie surface of said lands or interfere with the use thereof by the Grantee. his heirs and assigns. (emphasis added) 7)1411 960286 Mr. Ron Olsen January 19, 1996 Page 2 As a result of the foregoing language, it appears to me that Vessels Oil & Gas Company does not have the right to enter upon Mr. Luce's property nor to use the surface of the property in connection with its exploratory efforts. Mr. Luce's present intentions are to subdivide and develop the subject property as a residential subdivision. Vessels' drilling efforts on this property would constitute an incompatible use. Accordingly, Mr. Luce respectfully declines to execute the Surface Use Agreement enclosed with your letter or otherwise permit the surface use of his property for exploitation of the underlying minerals. Once you've had a chance to consider the foregoing, please get back to me with Vessels' position on this matter, and, if Vessels takes a contrary position, any supporting documentation on which it relies.
