RE: ACTION OF THE BOARD CONCERNING PETITION TO VACATE A PORTION OF
WELD COUNTY RIGHT-OF-WAY FOR WELD COUNTY ROAD 82
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Road Petition from Mike Livengood,
40501 Weld County Road 113, New Raymer, Colorado 80742, a copy of which is attached
hereto and included by reference, requesting vacation of a portion of Weld County Road 82,
being more fully described as follows:
The public road right-of-way lying 30 feet on either
side of the section line between Sections 8 and 17,
Township 7 North, Range 59 West of the 6th P.M.,
Weld County, Colorado
WHEREAS, the County Attorney's Office and Public Works Department have
recommended approval of said request since that portion of Weld County Road 82 is not
needed for the safety and welfare of the traveling public, and
WHEREAS, the adjoining landowners were mailed ten days notice by the Clerk to the
Board of a public hearing set for November 1, 1999, to consider the vacation of that portion of
Weld County Road 82 which is described above, and
WHEREAS, the Board of County Commissioners heard testimony and reviewed all other
evidence presented therein by staff and the public, and
WHEREAS, the evidence showed that the vacation of that portion of Weld County
Road 82 which is described above will leave any land adjoining the roadway without an
established public road or private access easement connecting the land with another
established public road, and
WHEREAS, the Board of County Commissioners deems it advisable to deny the request
of Mike Livengood to vacate said portion of Weld County Road 82.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Road Petition from Mike Livengood, be, and hereby is, denied.

We, the undersigned citizens and real property owners of Weld County, Colorado, hereby
petition that the road right-of-way described herein for Weld County Road 82 extending one mile
(describe crossroads) North from Weld County Road 113 be declared abandoned and vacated by
Weld County. This right-of-way is described as: Section line between Sections 8 and 17, Township
7 North, Range 59 West of the 61h P.M. Weld County, Colorado. This section line right-of-way
extends only two miles west of WCR 113. All Section line right-of-way west of this two mile stretch
was vacated in 1937. The Applicant only seeks to vacate the eastern most one mile of the remaining
Section line right-of-way. The Applicant owns all of the property on each side of the eastern one mile
and would like to treat said ownership as one contiguous parcel.

As support for this petition, Petitioners state that the right-of-way has not been constructed
nor maintained by 'Weld County; that no part is within a City or Town or County other than the
County of Weld; that no portion of the right-of-way is shown as part of an approved or recorded
subdivision plat, map, or unincorporated community legally filed prior to any regulations controlling
subdivisions;that the right-of-way is not used by the public;that vacation of the right-of-way will not
leave any land adjoining said roadway without an established public road or private-access easement
connecting said land with another established public road.
Petitioners agree that they will permit any persons owning dedicated and recorded easements
and rights-of way for use of the right-of-way to continue such use after formal vacation by Weld
County. Further, Petitioners agree to pay costs of providing notice, including publication and
recording of the resolution.
1This information shall be provided in the fort of a certified list of the names,addresses and the corresponding Parcel
Identification Number assigned by the Weld County Assessor of the owners of property(the surface estate)who own one acre or
more of land adjacent to the roadway. The source of such list shall he the records of the Weld County Assessor,or an ownership
update from a title or abstract company or attorney,derived from such records,or from the records of the Weld County Clerk and
Recorder. If the list was assembled from the records of the Weld County Assessor,the applicant shall certify that such list was
assembled within thirty(30)days of the petition submission date.

To the Members of the Board of County Commissioners of Weld County, Colorado:
This letter shall serve to advise you that I represent Diversified Operating Corporation, a Colorado
corporation, with offices located at 15000 West 6th Avenue, No. 102, Golden, CO 80401
This letter shall further serve to advise you that Diversified Operating Corporation, hereinafter
referred to as DOC, is the owner of the following described property located in Weld County,
Colorado:
Township 7 North, Range 59 West
Section 7: E '/E '/z
Weld County, Colorado
In addition to the ownership of the above described 160 acres, all of which is directly affected by
Mr. Livengood's petition to vacate a portion of Weld County Road 82,DOC is also the owner of
various oil and gas leases on which are located oil and gas wells in Section 7, Township 7 North,
Range 59 West of the 6th P.M., Weld County, Colorado, two of which, the Andrews Wells, are
located on the property now owned by DOC and three other wells described as the Roth Wells
located on adjacent property owned by the members of the Roth family(Amber Waves).
It is necessary at the outset to clearly indicate to the members of the Board of County
Commissioners that DOC opposes the petition submitted by Mr. Mike Livengood for vacating that
portion of Weld County Road 82 for the distance of one mile West of Weld County Road 113. It is
particularly important to understand and recognize that this portion of Weld County Road 82 is now
and has for many years in the past been the only means of accessability to the DOC property(E '/z E

h of Section 7-7-59., Weld County, Colorado)and the Andrews Wells, other oil and gas wells, as
well as to a compressor station owned and operated by Duke Energy Field Services, Inc.
The roadway in question, being a portion of Weld County Road 82, is a public road created by the
Board of County Commissioners of Weld County, Colorado on September 15, 1923. This particular
roadway, that is, Weld County Road 82, from its intersection proceeding West from Weld County
Road 113, is now and has been continuously in use since it has been opened on September 15, 1923
It is particularly important that all of you as members of the Board of County Commissioners
understand and clearly recognize that this road is not now nor has it ever been abandoned or vacated.
It is my understanding that the members of the Prather family who formerly owned the property
acquired by DOC some time in the 1930's have utilized this road since their acquisition of the
property in question
It is interesting to note that the United States Government issued a land patent to this property, that
is, the E 'i2 E 'h of Section 7-7-59 to Henry T. Laman on October 4, 1915 and shortly thereafter the
land patentee, Mr. Laman, executed an oil and gas lease covering the property in question on April
14, 1922 covering this same quartersection of land. Over the years, numerous oil and gas leases
have been executed by the various owners of the oil, gas and mineral rights pertaining to this
property and in due:ourse of time the Andrews No. 9-7 Well and the Andrews No. 16-7 Well was
drilled on the DOC property and three additional wells, namely, the Roth No. 11-7R Well, the Roth
No. 5-7 Well and the Roth No. 12-7 Well were also located and drilled on Section 7, Township 7
North, Range 59 West of the 6th P.M., Weld County, Colorado.
By virtue of Assignment and Bill of Sale dated December 5, 1997, recorded in Book 1637 at page
496 under Reception No. 2582945 of the Weld County records, Diversified Operating Corporation
obtained title to numerous oil and gas leases and the above described oil and gas wells from
Richardson.Production Company, a Colorado corporation, and from James F. Richardson. DOC
has been involved with the operation of these wells since December 1, 1997.
It is particularly important that each of you as members of the Board of County Commissioners of
Weld County, Colorado further recognize and understand that the roadway requested for vacation
by Mr. Mike Livengood is the only means of access to the DOC property, to the wells in question
and to a gas compressor station owned and operated by Duke Energy Field Services, Inc, 'The
roadway in question is not now nor has it ever been abandoned.
1 am enclosing herewith for your benefit the following:
1. Copy of plat map pertaining to Township 7 North, Range 59 West of the 6th P.M., Weld
County, Colorado.

The property owned by Mr. Mike Livengood, the petitioner, is illustrated in red, the DOC property
described as Frank Prater, et al. is identified in yellow. As you will note, Mr. Livengood is the
owner of the S '/2 of Section 8, the N '/2 of Section 17, the NE '/4 of Section 18, the NE 1/4 of the NW
'/4 of Section 18, as well as the W '/2 of the NE '/4 of Section 7 and the E '' of the NW '/4 of Section
7, Township 7 North, Range 59 West of the 6th P.M., Weld County, Colorado. DOC, as you will
note from examination of the enclosed map, is the owner of the E 'A of the E '''A of Section 7,
Township 7 North, Range 59 West of the 6th P.M., Weld County, Colorado.
Weld County Road 82 bisects the South line of Section 8 and the North line of Section 17 of
Township 7 North, Range 59 West of the 6'h P.M., Weld County, Colorado and proceeds in a
westerly direction from Weld County Road 113. As indicated above, this is the only means of
access to the DOC property and the oil and gas wells in question and the gas compressor station
owned by Duke Energy Field Services, Inc.
2. Copies of warranty deeds transferring and conveying fee title to the E '/2 E 'A of Section
7, Township 7 North, Range 59 West of the 6th P.M. to Diversified Operating
Corporation:
a) Special Warranty Deed dated September 23, 1999, recorded September 27, 1999
under Reception No. 2722864 of the Weld County records, executed by Edith
Andrews as grantor, to Diversified Operating Corporation, as grantee, covering the E
E 'A of said Section 7, Township 7 North, Range 59 West of the 6th P.M., Weld
County, Colorado, together with other real property.
b) Special Warranty Deed dated September 20, 1999, recorded September 27, 1999
under Reception No. 2722865 of the Weld County records, executed by Frank
Prather, as grantor, to Diviersified Operating Corporation, as grantee, covering the
same identical property.
c) Special Warranty Deed dated September 20, 1999, recorded September 27, 1999
under Reception No. 2722866 of the Weld County records, executed by Leona
Wise, as grantor, to Diversified Operating Corporation, as grantee, covering the
same identical property.
3. Assignment and Bill of Sale dated December 2, 1997, recorded December 5, 1997 in
Book 1637 at page 496 under Reception No. 2582945 of the Weld County records
executed by Richardson Production Company and James F. Richardson, as assignor, to
Diversified Operating Corporation as assignee. covering numerous oil and gas Leases as

more particularly identified in Exhibit A, and all of the wells listed on Exhibit B
attached to said document.
I call your specific attention to Exhibit B of this document which describes the two Andrews Wells
and the four Roth Wells, all of which are operated by DOC .
4. Copy of records from the office of the Clerk of the Board of County Commissioners of
Weld County, Colorado, including the Petition to open what is now described as a
portion of Weld County Road 82, commencing at the SW corner of Section 7, Township
4 North, Range 59 West of the 6th P.M., Weld County, Colorado, and proceeding East
for 2 miles, to what is now the intersection of Weld County Road 82 and Weld County
Road 113.
As you will note from examination and review of the enclosed records from your offices, petition to
open the road commencing at the southwest corner of Section 7, Township 7 North, Range 59 West
and proceeding easterly for 2 miles was filed on August 13, 1923 and on September 15, 1923 the
viewer's report was reviewed and approved and the roadway was declared a public highway.
5. Portion of the Weld County road map provided to me by Mr. Bruce Barker, County
Attorney for Weld County, Colorado, which indicates that a portion of said Weld
County Road 82 proceeding in a westerly direction from Weld County Road 113 has
heretofore been maintained by Weld County from time to time.
6. Copy of the Caretaker Oil and Gas Field as outlined and prepared by Fina Oil and
Chemical Company, showing the location of what is generally described as the East
Access Road from the intersection of Weld County Road 113, proceeding in a westerly
direction to the southeast corner of the DOC property.
This particular map also indicates the locations of the two Andrews Wells, one of the Roth Wells
and the Duke Booster Compressor Station, as well as a portion of what is generally described as the
West Access Road. It is necessary to indicate that the West Access Road is only on intermittent
occasions available and useable because of a lake depression consisting of approximately 7 to 10
acres of water which prevents access from the west proceeding east on Weld County Road 82. This
particular lake is an intermittent lake and is confirmed by USGS topographic maps. The map in
question was generated by the United States Geological Service in 1972.
7. Copy of correspondence dated October 12, 1976 from S. Robert Houtchens , Attorney at
Law(now deceased) addressed to Glen K. Billings, County Commissioner, District 1.

A copy of the enclosed letter was similarly obtained from the records researched at the offices of the
Clerk of the Board of the Weld County Commissioners. This letter clearly indicates that this same
problem and difficulty has occurred in the past with other members of the Livengood family
concerning the same identical public roadway. It is quite apparent that these same and similar
difficulties have occurred with members of the Livengood family in the past and are now once again
surfacing to cause difficulty to property owners in the neighborhood.

This is the entry from Weld County Road 113 proceeding in a westerly direction on Weld County
Road 82. I call your attention to the REA power lines.

The DOC Roth Battery is the center, the Marcus Production Livengood Battery is to the right.

The lake area is estimated to be approximately 7 to 10 acres in size.

Once again, it is critical to indicate to each of you that Weld County Road 82 proceeding in a
westerly direction from its intersection with Weld County Road 113, is not now nor has it ever been
abandoned and this road is essential as a means of access for the various property owners, oil and
gas operators and the public in general.
It is my intention to be present and available at the hearing now scheduled for Monday, November
1, 1999 at 9:00 o'clock A.M. I will review with you all of the exhibits submitted herewith, as well
as other additional exhibits pertaining to the use of the public roadway, Weld County Road 82, in
question.
Accordingly, I am requesting on behalf of Diversified Operating Corporation, as well as on behalf
of the various oil and gas operators, trucking firms, Duke Energy Field Services, Inc. as the owner
of the compressor station, that the Petition for road closure submitted by Mike Livengood be
denied.

PRODUCTION COMPANY, a Colorado corporation, whose mailing address is
1700 Lincoln, Suite 1700, Denver, CO 80203 and JAMES F. RICHARDSON,
whose mailing address is 134 Esterbrook Road, Douglas, WY 82633,
(collectively 'Assignor"), for and in consideration of the sum of Ten and
no/100 Dollars($10.00), cash in hand paid, and other good and valuable
consideration, the receipt and adequacy of which is hereby ackeowledged has
GRANTED, SOLD, CONVEYED, AND DELIVERED and does hereby

ONLY INSOFAR as each Lease covers the lands described on Exhibit "A"
under such Lease's 'Acreage Assigned' section, hereinafter collectively
referred to as the "Land" In addition, Assignor GRANTS, SELLS, •
CONVEYS AND DELIVERS to Assignee all of Assignor's right, title and
interest in and to the following: I) all.of the wells listed on Exhibit "B",
attached hereto and made a part hertof and all other wells located on, or
attributable to, the Land, whether productive, or nonproductive, active or
inactive (hereinafter collectively referred to as the'Wells'), and 2) the
equipment, machinery, tanks, pipelines and personal property of every kind and
character located on the Land and/or used directly in connection with the
Leases and Wells, which Assignor may own or in which Assignor may have an
interest(hereinafter collectively referred to as the 'Equipment"). The Leases,
Land, Wells and Equipment are hereinafter collectively referred to as the
('Property").
This Assignment and Bill of Sale is expressly made subject to the
following additional terms and conditions:
1. EFHtCTIVE DATE
This Assignment and Bill of Sale (the "Assignment") shall be effective
December t, 1997, at 7:00-a.m. Mountain Standard time (the "Effective
Date').
2. COVENANTS, REPRESENTATIONS AND
RESERVATIONS
A. As of the Effective Date, Assignee assumes all obligations of
Assignor with respect to the Property.
B. At closing or as soon thereafter as practical, Assignor shall only
provide Assignee with copies of Assignor's land and engineering well files
pertaining to the Leases and Wells conveyed herein, but Assignor shall not
provide the interpretive engineering. seismic, geological or geophysical data
relating thereto. Assignor makes no warranty as to the correctness or accuracy
of the materials contained within the files furnished hereunder. This

0 4 4..JC Assignment shall not cover or include any seismic. geophysical or other
information or data the disclosure or transfer of which would breach or violate
any license, contract, agreement or understanding.
C. Assignor to the bcst of its knowledge is not aware of any pending
litigation affecting the Leases or Wells or of any liens or claims of liens
existing with respect to the Property.
D. Buyer understands and agrees that this sale is made on an 'As Is,
Where Is' basis, and Assignee releases Assignor from any liability with respect
to the interest and property whether or not caused by or attributable to
Assignor's negligence and whether or not arising during the period of,or from,
or in connection with Assignor's ownership of the interests or use of the
property.
Without limiting the above, Assignee waives its right to recover from
Assignor and forever releases and discharges Assignor and agrees to hold
Assignor harmless from any and all damages, claims, losses, liabilities,
penalties, fines, liens,judgments, costs, and expenses whatsoever, (including
without limitation, attorney's fees and costs), whether direct or indirect, known
or unknown, foreseen or unforeseen, that may arise on account of or in any
way be connected with the physical condition of the interests and property or
any law or regulation applicable thereto.
3. RECAPITULATION
A. Assignor shall have the right to all revenues relating to the
Property and related operations and accruing before the Effective Date and shall
be obligated to pay all necessary capital costs, taxes, expenses and royalties
incurred against operations of the Propertyprior to the Effective Date. Oil in
the tank above the pipeline connection as of the Effective Date is property of
Assignor,and Assignor shall be entitled to all proceeds fur the sale thereof.
B. Assignee shall have the right to all revenues relating to the
Property and related operations and accruing on or after the Effective Date and
shall be obligated to pay all necessary capital costs, taxes, expenses and
royalties incurred against operations of the Property on or after the Effective
Date and all proceeds from the sales of production attributable to the Property
on or after the Effective Date shall also be the property of the Assignee. Any
gas imbalances (over or under production) shall be the property of the Assignee
and Assignee shall be solely liable for accounting for the same to any and all
other owners of production.
C. Assignee shall not commence any plugging, recompletions, or
salvage operations prior to being approved as the Designated Operator of the
leases and wells by the Colorado Oil and Gas Conservation Commision.
4. LAWS AND REGULATIONS
The terms and provisions of this Assignment are hereby expressly made
subject to all Federal, State and local laws and to all orders, rules, regulations
and standards issued thereunder by all duly constituted political subdivisions
and agencies having jurisdiction, and Assignee hereby warrants that it will
comply with same. Further, Assignee specifically warrants that it will comply
with any and all laws, orders, rules, regulations and standards of all Federal.
State and local political subdivisions and agencies applicable to (1) all
exploration, drilling, production, plugging, and abandonment procedures, and

to, water discharge and contamination,
S. PLUGGING AND ABANDONMENT OF WELLS
Assignee expressly agrees to assume at its sole cost and expense the
plugging and abandonment obligations of Assignor relative to the Wells in full
compliance with any and all.applicable Federal, State and local laws, orders,
rules, regulations and standards. Assignee further expressly agrees to assume
the surface restoration obligations whether imposed by law or by the Leases or
related agreements relative to the Leases and Wells. Assignee agrees to
indemnify and hold Assignor harmless against any expense, claim or cause of
action brought against Assignor or Assignee by any governmental agency or
body ar by any third party arising_fram Assignee's failure to comply with such
plugging,abandonment or surface restoration obligations.
6. INDEMNITY
Assignee expressly agrees to fully protect, defend, indemnify and hold
harmless Assignor, its employees and agents, successors and assigns from and
against each and every claim,demand,action, cause of action, or lawsuit and
any liability, cost, expense,damage; or loss, including court costs and "
attorney's fees, and including claims based upon theories of negligence,gross
negligence or willful misconduct (collectively, 'Claims') arising from or
relating to, directly or indirectly, the operation or ownership of the Property
before or after the Effective Date.
7. WARRANTIES
THIS ASSIGNMENT AND BILL OF SALE IS MADE BY ASSIGNOR
AND ACCEPTED BY ASSIGNEE WITHOUT REPRESENTATION OF OR
WARRANTY OF TITLE EITHER EXPRESSED OR IMPLIED. THIS
ASSIGNMENT IS EXECUTED WITHOUT ANY EXPRESSED OR
IMPLIED WARRANTY OR REPRESENTATION AS TO THE
MERCHANTIBILITY OF ANY OF THE PROPERTY OR ITS FITNESS
FOR ANY PURPOSE AND WITHOUT ANY OTHER EXPRESSED OR
IMPLIED WARRANTY OR REPRESENTATION WHATSOEVER EXCEPT
AS EXPRESSLY SET FORTH HEREIN.. IT IS UNDERSTOOD AND
AGREED THAT ASSIGNEE HAS INSPECTED THE PROPERTY AND
PREMISES FOR ALL PURPOSES AND HAS SATISFIED ITSELF AS TO
THE PHYSICAL AND-ENVIRONMENTAL CONDITION, BOTH-
SURFACE AND SUBSURFACE, AND THAT ASSIGNEE.ACCEPTS THE
PROPERTY "AS IS, WHERE IS". IN ADDITION, THERE ARE NO
WARRANTIES OR REPRESENTATIONS, EXPRESSED OR.IMPLIED, AS
TO-THE ACCURACY OR COMPLETENESS-OF ANY DATA,
INFORMATION OR MATERIALS HERETOFORE AND HEREINAFTER
FURNISHED IN CONNECTION WITH THE PROPERTY OR ITS
ABILITY TO PRODUCE HYDROCARBONS. ANY AND ALL DATA,
INFORMATION AND MATERIAL FURNISHED-BY ASSIGNOR IS
PROVIDED AS A CONVENIENCE ONLY AND ANY RELIANCE ON OR
USE OF THE DATA IS AT ASSIGNEE'S SOLE RISK.
8. NORM PROVISION
Some oil field production equipment may contain asbestos and/or
Naturally Occurring Radioactive Material (hereinafter referred to 'NORM').

0 In this regard Assignee expressly understands that NORM may affix or attach
itself to the Inside of wells, materials,and equipment as scale, or in other
forms, and the Property may contain Nnrnl.orashesros.andthat NORM-
containing material and/or asbestos may be buried or otherwise disposed of on.
the Lund. Assignee also expressly understands that special procedures may be
requited for the removal and disposal of asbestos and NORM from the Property
and that Assignee assumes all liability for assessment, removal and disposal of
any such materials and associated activities.
9. MISCELLANEOUS .
A. The Ad Valorem taxes attributable to Assignor's and its royalty
owner's interests in the Property assigned hereunder-for the production time
period from July 1996 through November 1997 are not required under Colorado
law to be paid until significantly later than the.Effective Date of this
Assignment and Bill of Sale. Arrangements have been made for the Assignor to
pay these taxes directly to the respective.Weld County taxing authority.
Assignee will be responsible for all future payments of Ad Valorem, Severance
and personal property taxes associated with the assigned properties after the
Effective Date.
B. Any sales tax, or other tax,license,permit or fee which may be
applicable to this Assignment shall be borne by Assignee.
C. This Assignment constitutes the..entire understanding between the
parties with respect to the subject matter hereof, superseding all negotiations.
prior discussions and prior agreements and understandings relating to the
subject matter.hereof.
D. This Assignment shall be binding upon and shall inure to the
benefit of the parties hereto and their respective successors and assigns. The
terms, conditions and exemptions contained herein shall constitute covenants
running with the land and shall be binding upon, and for the benefit of, the
respective successors and assigns of Assignor and Assignee.
E. The parties agree to do such further acts or execute such further
documents as may reasonably be required to effectuate the terms of this
Assignment.
F. This Assignment and Bill of Sale cannot be modified or amended
except by written instrument duly executed by Assignor and Assignee.
G. Captions.have.beat inserted:for.reference purposes only-and-shall
not define or limit the terms of this Assignment.
H. No waiver by either party of any breach by the other party of any
of the covenants or conditions of.this Assignment and-Bill of Sale shall be
construed as the waiver of any succeeding breach of the same nature or any

RESOLUTION VACATING ROAD RIGHT OF IfAY.
Commissioner Riggs offered the following resolution and moved its
adoption:
WHEREAS, a petition, signed by all the owners of adjoining properties
requesting that the following described road be vacated and closed, has
been filed with the Board of County Commissioners:
Commencing at the Northwest corner of Section Fifteen (15) , Torn—
ship Seven (7) North, Range Sixty (60) West of the 6th P.M. ; thence East
along the section line between Sections Ten (10) and Fifteen (15) ;
Eleven (11) and Fourteen (14) ; Twelve (12) and Thirteen (13) to the
Northeast corner of Section 13, Township 7, North, Range 60 West: and
Commencing at the Northeast corner of Section Fourteen (14) , Town-ship Seven (7) North, Range Sixty (60) West of the 6th P.M.; thence
South along the section line between Sections 13 and 14 to the Southeast
corner of Section 14, Township 7, North, Range 60 West.
NOW, THEREFORE, BE IT RESOLVED, that there is hereby declared
unnecessary for public use and vacated, said road above described.
Motion was seconded by Commissioner Arens and the resolution
was adopted by the following vote and so ordered.

We represent George R. Verhage and his wife,
Jane Verhage , who own the West # of the Southeast
•
4 and the East 1 of the Southwest o of Section 7 ,
Township 7 North, Range 59 West of the 6th P.M. ,
Weld County, Colorado.
A Mr. Ray Livengood of Star Route, New Raymer,
Colorado has erected gates at each end of the county
road, which runs along the South side of Sections 7
and 8 and along the North line of Sections 17 and 18 ,
all in Township 7 North, Range 59 West of the 6th P .M.
These gates should be removed and cattle guards erected
in their stead.
Our clients have attempted to lease their prop-
erty but have had no success due to the inconvenience
caused by having to open and close these gates each
time anyone wishes to have access to our client' s
property.
This road was declared a public highway on
September 15 , 1923. While this road is only a prim-
ative road it is the only means of access our clients
have to their property.
If you need any further information from me to
take appropriate action, please so advise me.

(describe crossroads) North from Wel Road 113..be declared abandoned and vacated by
Weld County. This right-of-way is nbed as: Section line between Sections 8 and 17, Township
7 North, Range 59 West of hest P.M. Weld County, Colorado. This section line right-of-way
extends only two miles west of WCR 113. All Section line right-of-way west of this two mile stretch
was vacated in 1937 The Applicant only seeks to vacate the eastern most one mile of the remaining
Section line right-of-way. The Applicant owns all of the property on each side of the eastern one mile
and would like to that said ownership as one contiguous parcel.

RE: Livengood/DOC Access Issues
Dear Mr. Coan,
Diversified Operating Corporation has completed a survey of the property and the section
line has been flagged. I do not have a hard copy of the survey or I would already have sent it to
you. We are trying to get a hard copy printed this weekend.
DOC plans to rebuild the road on the section line as surveyed so the access is not on your
client's property.
Regarding the cattle guard, since your clients are tenant farmers on the property, it would
seem that it belongs either to DOC or the property owner, and not to the Livengoods. D0C
wishes to be a good neighbor and has no desire to interfere with your clients' use of the property.
Relocating the road seems to be the best long term solution.

Dear Mr Coan,
This is written in response to your letter of August 16, 1999. My client has been utilizing the
section line road which was accepted and recognized as such by your clients, previous oil and gas
operators and the public for many, many years. The survey recently completed, at DOC's request and
expense, confirms that the road does not follow the true section line.
DOC will construct a new road, on the section line as surveyed, or, if the Livengoods prefer,
continue to use the previously established road. Your clients can choose which alternative they prefer.
Either way, DOC is entitled to access on the public right of way, without interference or constant
complaining from you: clients.
We do not believe DOC has caused any damages to your clients at any time. If the rcad was
not where it is now located, it would be only a few feet away. If a new road is constructed_ it will be
with the full knowledge and approval of county authorities and it will comply with the standards they
set.
Your choice of words when discussing the cattle guard might have been more carefully chosen
In any event, DOC understood the cattle guard was bought by the previous operator and was part of the
property pur ed by DOC in December, 1997. If you have documentation to the contran.. we will
review it try to resolve this issue in a fair manner.

RE: Mike and Shanna Livengood and Diversified Operating Corporation
Dear Mr. Lewis:
This letter follows our telephone conference of last week associated with the present route your client
is taking to access certain wells west of the Livengoods' property. As I indicated to you, the issue
of whether or not there is, in fact, a public right-of-way on this particular section line is perhaps
irrelevant because the existing road is not on the section line. Additionally, we may be able to avoid
most of the other issues associated with whether or not the client has any legal right whatsoever to
utilize existing access by formalizing an access agreement between the parties. As you requested,
I discussed with my clients whether they would be willing to enter into an agreement with your
client, and they have concluded that they are willing under the following conditions:
1. I believe the existing road is approximately ten feet in width,and we would need to limit any
right-of-way or easement under an access agreement to ten feet. There are several places
where there are "T"'s in the road and opportunities for traffic to pass each other, eliminating
the need for a wider road.
2. Your client has on several occasions gone off the road for one purpose or another and
damaged my clients' field as well as fences adjacent to the road, We would need to restrict
the access and make it clear that your client would be responsible for any damages to the
property or fences adjacent to the road.
3. Your client would need to agree to maintain the road in a condition that is acceptable to the
Livengoods.

4. All cattle-guards currently existing within the roadway leading to the Andrews 9-7 and
Andrews 16-7 belong to the Livengoods and will need to be left in place or i fremoved.given
to the Livengoods.
5. The cattle-guard that was previously removed from the roadway will need to be returned to
the Livengoods.
6. All cattle-guards existing within the roadway will need to be maintained and cleaned as well
as weeded on a periodic basis.
7. Your client needs to keep the weeds down around the deadmen and well sites.
8. Because the Livengoods are tenant farmers on the property associated with the Andrews 9-7
and Andrews 16-7, your client must agree to give notice to the Livengoods of any need to
access those wells for work-overs and will need to reimburse the Livengoods for any
damages to growing crops as a result of said operations.
As stated above, your client has on more than one occasion driven in the fields adjacent to the
roadway. This ac[ivity must stop. Additionally, because your client's invitees have broken a post
at the corner of one of the cattle-guards, we request that your client make arrangements to repair the
same as soon as possible.
The above list provides general terms that must be met with an access agreement in order for us to
move forward. I anticipate we can negotiate the details of a complete access agreement as well as
the details associated with the above general statements if your client is willing to accept the general
goals stated above. Please discuss these general items with your client and let me know whether
your client will be cooperative and is desirous of attempting to resolve the matter with a formal
agreement.
