RE: APPROVE AGREEMENT FOR SALE AND PURCHASE OF REAL ESTATE WITH
TOWN OF AULT AND AUTHORIZE CHAIR TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, Weld County owns real estate in the Town of Ault, Colorado ("Ault"),
described as: Parcels 3 and 4, First Replat, Tract "A," Block One of Ault West Subdivision, Ault,
Colorado, located in the SE1/4 of Section 11, Township 7 North, Range 66 West of the 6th
P.M., Town of Ault, County of Weld, State of Colorado, according to the plat thereof recorded at
Book 1548, Reception Number 24922422 in the Office of the Weld County Clerk and Recorder
(the "Parcels"), and
WHEREAS, Weld County has no immediate need for the Parcels, and Ault has
expressed an interest in owning them under the condition that the Parcels shall be continuously
owned and used solely for a "public purpose" by Ault or be continuously owned and used as a
U.S. Post Office by the U.S. Postal Service, and
WHEREAS, the Board now deems it necessary and appropriate to enter into an
agreement for the transfer of the Parcels to Ault and to authorize the Chair's signature on said
agreement and on any documents necessary to effectuate said transfer.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Agreement for the Sale and Purchase of Real Estate with Ault
for the Parcels be, and hereby is, approved and the Chair be, and hereby is, authorized to sign
the same.
BE IT FURTHER RESOLVED by the Board that the Chair is also authorized to sign any
documents necessary to transfer the Parcels to Ault, in accordance with the terms and
conditions set forth in said agreement.

of Colorado,Grantor, and the County of Weld,a body politic and corporate of the State of Colorado, Grantee.
WITNESSETH,That the Grantor, for good and valuable consideration,the receipt and sufficiency of which
is hereby acknowledged, has granted, bargained, sold and conveyed, and by these presents does grant, bargain, sell,

ENTERPRISE ZONE PROPERTY GRANT AND ASSIGNMENT AGREEMENT
WHEREAS, SCX, Limited Liability Company, (hereinafter the Grantor)wishes to donate all of
the real property described in the attached "Exhibit A"to the Highland Day Care Center, Inc. (hereinafter
the Assignee)for the Assignee's use in its day care center programs, and;
WHEREAS,the Assignee qualifies for certain tax benefitted contributions as set forth under
Colorado's Urban and Rural Enterprise Zone tax law(Section 39-30-103.5, C.R.S.), and;
WHEREAS,the Grantor, by its donation qualifies for certain tax credits against its Colorado
income taxes, and;
WHEREAS, said donation to the Grantor, by law, must be made directly to the appropriate
enterprise zone administrator, which in this instance is the Greeley-Weld Economic Development Action
Partnership(hereinafter Grantee and Assignor), and;
WHEREAS, Grantee desires to facilitate said donation and to immediately assign its right to
acquire said property described to the Assignee without taking title.
NOW, THEREFORE, Grantor does this day grant all of its rights, title and interest in the above
described property to grantee who, in turn, assigns its interest, as Assignor, unconditionally to the
Assignee, with the effect that this conveyance of property shall be directed from the Grantor to the
Assignee as evidences by appropriate registration and other formal documentation to be drawn and
executed in due course, in a timely matter and as may be prescribed by law.
ALL COSTS associated with this transaction, if any, shall be borne by either the Grantor or
Assignee, as mutually agreed upon by the parties hereto. The Grantee/Assignor shall be relieved of any
and all costs, expenses or liability associated with this transaction.

Dear Commissioner Hall:
The Ault Town Board graciously accepts that portion of Tract A, Block 1, Ault West P.U.D.in Ault, that will
not be used by the Highland Day Care Center for their new facility. However, we respectfully request that the
condition of donating the property to the Town of Ault would be that the land would have to be used for
public purposes. The uses under consideration are:
A municipal complex including town hall, police station, fire station,
library, and possibly a community center.
A park has been considered if the land is not used for the municipal complex.
Parcel 2 will be used for the retention ponds. This will leave parcels 3 and 4 to be used for the proposed
municipal complex. The U. S. Post Office would require a site size ranging from 18,000 to 24,000 square
feet of land. Therefore we are requesting that the Post Office has first right of refusal to purchase a portion
of the parcels only if parcels 3 and 4 are not used by the Town of Ault for the above public purposes.
If this acceptance is agreeable please instruct Mr. Bruce Barker, County Attorney to prepare the appropriate
documents.

Dear Mayor Hoff::
As indicated to you at the town meeting on May 22,1995, the Board of Weld County
Commissioners is offering to the Town of Ault that portion of Tract A , Block 1, Ault West
P.1 .D. in Ault, that will not he used by the Highland Day Care Center for their new facility.
Cue condition of donating the property to the Town of Ault would be that the land would have to
he used for public purposes, such as a park, town hall, fire station , post office, etc. Sale to a
private party, even for economic development purposes, would not he acceptable under the
proposed terms of the donation.
In addition the U.S. Postal Service has expressed an interest in a portion of the property.
As a condition of the donation to the town we would like to stipulate that the t.`.S. Postal Service
would have a first right of refusal to purchase a portion of the parcel for a post office site in the
event you do not want to use the property for a park_ The Town of Ault could retain any sales
proceeds for future funding of the new town hall project.
The property will be transferred out of private ownership in stages with the northeast one-fourth
of the property transferred on August 5, 1995, and the southeast one-fourth transferred on
January 5, 1995.
