ET AL #1 ET AL UNIT #1 New Orleans, Louisiana The word "oil", when used in this Division Order, shall include also condensate, dis- tillate and other liquid hydrocarbons. 1. The undersigned are the owners of the interests set forth opposite their respective signatures in all the oil being or to be produced from the following described land: East Half of the Southeast Quarter (E2 of sEE4) of Section 28, Township 8 North, Range 66 West, Weld County, Colorado, containing 80.37-aeres,-more or less. 2. Effective 7:00 A. M., First Run 19 , and until further written notice from the undersigned to you or from you to the undersigned you are authorized to receive such oil for your account into your own possession or into the possession of any person or corporation purchasing the same. The oil shall be measured in accord- ance with pipe line rules and regulations as published from time to time by your Company or the purchaser thereof or any governmental agency having recognized jurisdiction in the premises. 3. Payments for the oil run hereunder shall be made according to the division of interest hereinafter indicated at the market price therefor prevailing for the field where produced on the date of purchase. Payments shall be made by check of The California Company or the purchaser mailed to the respective parties at their addresses given below. Pay- ments applicable to any interest may be withheld until the amounts credited thereto aggregate $1.00 or more.' 4. Each of the undersigned hereby warrants and guarantees the title to the oil credited to him according to the division of interest hereinafter indicated; in case of any adverse claim of title to :such oil or any part thereof or to the land from which such oil is produced agrees to furnish The California Company a satisfactory indemnity bond against such adverse claim or claims; and hereby authorizes The California Company to retain the-purchase price of such oil without interest until such bond shall be furnished or until dispute as to the ownership shall have been settled. Each of the undersigned further agrees to indemnify and hold The California Company harmless of and from any and all claims, demands and causes of action of every kind whatsoever and by whomsoever brought, incident to or in any wise growing out of receiving the oil credited to him according to the division of interest hereinafter'set forth, or account- ing for same, or withholding the proceeds thereof, including court costs and attorneys' fees. 5. The California Company is hereby authorized to withhold from the proceeds accruing hereunder to the under- signed, the amount of any severance, production, occupation, or other tax levied by or under authority of the laws of the United States, the State, or any legal subdivision thereof, against him for and on account of his interest in said oil or land and to pay such tax or taxes with the withheld proceeds. 6. Each of the undersigned agrees to notify The California Company of any change of ownership affecting his interest; no transfer of interest shall be binding upon The California Company until the first day of the calendar month next following the month in which a transfer order and a certified copy of the recorded instrument evidencing such transfer shall,lave been furnished to The California Company. 7. This agreement and division order may be executed in counterpart, but all such counterparts shall constitute but one instrument, and--same shall be effective as to and binding upon any owner as soon as signed by him or her, regard- less of the failure or-,'refusal of any other owner to execute same.
