SALES & LICENSE AGREEMENT A. DESCRIPTION: The parties to this agreement are Eagle Computer Systems, Inc . , a Colorado corporation, ( "ECS" ) , and Weld County, Colorado, ( "WELD) . WELD agrees to purchase and ECS agrees to sell the following products and services : Prods / rvi D rip ion Price 1 . Joint development with Weld County Information Services of a Voter Registration Imaging System to be referred to as "Vote+plus" . The estimated costs represent an estimated effort of 52 person days by ECS . Estimated development costs in lieu of license fee : $39 , 360 Annual Support Services : $ N/C ECS hereby grants to WELD a non-exclusive and nontransferable License to use, under the terms and conditions set forth in this Agreement, the computer software listed above, which items shall hereafter be collectively referred to as the "Licensed Software" . Products supplied are a proprietary product of ECS or other party whose product ECS provides to WELD. WELD understands that ECS itself is under license (s) with respect to software obtained from other vendors . WELD further understands that this agreement is subject to said license (s) and all modifications thereof made subsequent to the effective date of this Agreement , and WELD agrees to abide by the terms of such license (s) . WELD shall purchase all the necessary software development products that will be required for the development of the Vote+plus system. WELD shall maintain licenses for all the products that are used in the development of the Vote+plus system. B . PAYMENT TERMS : WELD shall pay the software development fees monthly upon receipt of an invoice indicating the number of hours provided and services performed, with the sum of all such invoices not to exceed $39 , 360 . An amount payable up to, but not exceeding 10% of the contract price, may be held n 1 e E.) 940551 until such time as the system is accepted by WELD. C. DELIVERY SCHEDULE : WELD and ECS shall mutually develop and agree to a delivery schedule which shall be in writing. D . ACCEPTANCE : WELD and ECS shall mutually develop and agree to an acceptance test , which shall be in writing, which demonstrates that the software performs as described. When that test is conducted and successfully completed, WELD shall be deemed to have accepted the software products described above . E . DELAY OR FAILURE TO PERFORM: ECS understands the importance of these software systems to WELD and agrees to make every effort to implement the systems on the schedule as agreed. ECS shall be excused for delay or the failure to perform under this Agreement for causes beyond its control . Causes beyond ECS ' control include acts of nature and civil unrest . If ECS fails to perform as agreed under this Agreement, a penalty will be imposed in the amount of $1, 000 . 00 for each week of delay. If the delay is the direct responsibility of WELD failing to meet an agreed upon deadline, then no penalty shall be imposed. F. TERMINATION: WELD or ECS shall have the right to terminate this agreement for cause if such cause is not remedied within thirty (30) days of receipt of written notice thereof . Termination of this Agreement shall not effect either ECS ' or WELD' s pre-termination obligations . Cause exists if either party does not perform its obligations under this Agreement including WELD' s failure to pay legitimate invoices within a reasonable period and ECS ' failure to deliver as described in this Agreement . G. DEFINITIONS : "Software" refers to each of the computer software products described herein. Each Software Product consists of both computer software and software documentation including user manuals, technical manuals, systems manuals, keyboard function strip and like items . Additions, corrections, updates and enhancements of a Software Product also fall within the definition of Software Product . Software refers both to the intangible information comprising the product and, as the context requires, every copy of the information. "Use" means copying all or any portion of the Licensed Software from storage units or media into a CPU or using any Licensed Software in the course of 2 940551 the operation of any CPU or in support of the use of any CPU or software, or photocopying any portion of the software as defined above . "Author" means for each item of Software, the party identified as the owner of such item; in this Agreement, ECS is the author of Vote+plus, Oracle Corporation is the author of Oracle? and KnowledgeWare Inc . is the author of Objectview. H. SCOPE OF LICENSE : In implementation of this License, ECS shall furnish WELD with a copy of the Licensed Software on machine readable media and with associated user instructions and reference documentation, all of which material may be marked with an appropriate trade secret notation. I . COPIES/MODIFICATIONS : WELD may make copies of all or any part of the Licensed Software as needed for WELD ' s in-house use . WELD may modify any of the Licensed Software for its own use and merge it into other program material to form an updated work . The use of any portion of the Licensed Software included in an updated work shall remain subject to all terms and conditions of this Agreement . J. WARRANTY: The Licensed Software may have been developed by and may be the proprietary property of a company other (Author) than ECS . ECS warrants that it has the legal right to license the Software, and shall indemnify and hold WELD, its agents and employees, harmless from any loss, damage or liability for infringement of any United States Patent right, copyright or other trade secret right with respect to the use of the process and ancillary material delivered hereunder; provided that ECS is notified in writing within ten (10) calendar days of service of any suit or claim against WELD, that WELD permits ECS to defend, compromise or settle the said claim of infringement and gives ECS all available information, assistance and authority to enable ECS to do so, and provided that WELD fully observes all the terms and condition of this Agreement . ECS shall not be responsible for any compromise made without its consent . ECS indemnity as to use shall not apply to any infringement arising out of use in combination with other processes or article where such infringement would not have occurred in the normal use for which the Licensed Software was designed. ECS, and the Author, warrants that the Licensed Software, when delivered, will conform to the the specifications outlined in the 3 940551 Request for Information response (Exhibit A) submitted by ECS and to software descriptions and requirements as defined by ECS and WELD during system development; however, WELD acknowledges that the Licensed Software is of such complexity that it may have inherent defects and agrees that as ECS ' , and the Author ' s, sole liability and as WELD' s sole remedy, ECS, and/or the Author, will provide all reasonable programming services, at no additional cost to WELD, to correct documented code errors which ECS ' diagnosis indicates are caused by- a defect in an unaltered version of the delivered Licensed Software . ECS and the Author cannot and do not warrant the system against malperformance due to the installation of any other software not supplied by ECS and/or the Author. In the event WELD modifies the computer software designed by or obtained from ECS without prior approval from ECS, the Warranty provisions of this contract shall immediately become void and ECS shall have no responsibility whatsoever for the performance of such programs . WELD is aware that any modifications may prevent the proper installation or correction operation of any future software updates or enhancements which are issued by ECS . ECS AND THE AUTHOR GRANT NO IMPLIED WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND NO OTHER EXPRESS WARRANTIES . Each item of software is warranted and supported by the Author of that item. No Author shall have any liability or obligation whatsoever with regard to items of software for which such party is not identified as the Author . K. CONFIDENTIALITY: ECS acknowledges that during discussions with WELD leading up to this Agreement and during its performance, certain proprietary or confidential data of WELD may be disclosed to ECS or to ECS ' employees or agents . ECS agrees that all data not normally available through other sources may be proprietary, and will be safeguarded by ECS with the same degree of care that is accorded to ECS ' own proprietary data. L. RESPONSIBILITY OF WELD: WELD is exclusively responsible for the supervision, management and control of its use of the Licensed Software . ECS is authorized to make reasonable inquiries concerning WELD' s compliance herewith and may require WELD to take reasonable protective measures . WELD is responsible to exercise good business practices, procedures, and control to monitor the software performance, and to notify ECS immediately 4 940551 upon verifying any software errors . M. TITLE : The original and any copies of the Licensed Software, in whole or in part, made by WELD are and remain the property of ECS, or the software author, not WELD. N. TERM: This License shall be in effect from the date of this agreement and shall be valid until the License or this Agreement is otherwise terminated as provided herein. 0. LIABILITY: ECS shall not be liable for any loss, damage or claim resulting from these services except for loss or damage caused by negligence . WELD agrees to indemnify and hold ECS harmless from any loss, claim, or damage to persons or property arising out of this Agreement or WELD' s use or possession of the products and services, provided that such loss, claim or damage was not caused by the fault of ECS . ECS agrees to indemnify, hold harmless and defend WELD from any and all liability or loss resulting from any suits, claims, or actions brought against WELD which results directly or indirectly from wrongful or negligent actions or omissions of ECS and in the performance of this Agreement . P. ASSIGNMENT: This Agreement is not assignable by WELD without the prior written consent of ECS, nor by ECS without the prior written consent of WELD. Q. SOURCE CODE : The source code for these products, and all related documentation, shall be maintained current by ECS and placed on a periodic and routine basis in an escrow account at a site to be selected by ECS and WELD. This source code and documentation shall be provided to WELD if for any reason ECS shall go out of business, shall be declared bankrupt, or shall be acquired by another company. This is solely for the protection of WELD' s interest in this software product and WELD ' s ability to continue its operations which are dependent upon the successful operation and maintenance of these products . WELD has no intent , and is prevented from, marketing or selling this product in the event it is provided the source code . R. PRIMARY CONTACTS : ECS and WELD both agree to designate, in writing, a primary contact to represent each, and to help coordinate their respective personnel during the installation and S 940551 implementation of these systems . S . SYSTEMS SUPPORT SERVICES : ECS shall maintain a telephone and modem support center that allows WELD to report system problems and seek assistance in the use of the supported Software . ECS shall maintain a trained staff capable of rendering the services set forth in this Agreement . ECS shall be responsible for using all reasonable diligence in correcting verifiable and reproducible Errors when reported to ECS in accordance with ECS ' s standard reporting procedures . ECS shall initiate work in a diligent manner toward development of an Error Correction. Following completion of the Error Correction, ECS shall provide the Error Correction through a "fix" consisting of sufficient programming and operating instructions to implement the Error Correction. ECS may, from time to time, issue new Updates of the Software, containing Error Corrections, minor Enhancements, and in certain instances if ECS so elects, major Enhancements . ECS shall provide WELD with one copy of each new Update . ECS shall provide reasonable assistance to help WELD install and operate each new Update . ECS may, from time to time, offer major Enhancements to its customers generally for an additional charge . ECS shall provide those major Enhancements to WELD at no charge . ECS shall consider and evaluate the development of Enhancements for the specific use of WELD and shall respond to WELD ' s requests for additional services pertaining to the Software, provided that such assistance, if agreed to be provided shall be subject to the standard Time and Expenses Schedule . WELD, in turn, shall consider and evaluate the development of Enhancements for the specific use of WELD. If desired, ECS may incorporate those changes into the Vote+plus software . WELD will be compensated for Time and Expenses at a value to be determined at the time that the modifications are accepted by ECS . T. SOFTWARE SALES : ECS, as owner of the software, may sell the Vote+plus system to other entities . As joint developer of the software, WELD shall receive out of the proceeds from each such sale, a payment equal to 25% of the license fee . ECS shall set the licensing fee at what they consider to be a reasonable 6 940551 amount . WELD shall refer any questions or requests for purchasing the software to ECS . THIS AGREEMENT IS THE EXCLUSIVE STATEMENT OF THE ENTIRE AGREEMENT BETWEEN THE PARTIES, AND SUPERSEDES ANY PRIOR ORAL OR WRITTEN REPRESENTATIONS OR AGREEMENTS BETWEEN THE PARTIES CONCERNING THE SUBJECT MATTER OF THIS AGREEMENT. THERE ARE NO WARRANTIES FROM ECS TO WELD EXCEPT ANY WHICH MAY BE SPECIFIED IN THIS AGREEMENT OR IN OTHER WRITINGS EXECUTED BY ECS . EXCEPT FOR ANY SUCH WRITTEN WARRANTIES, THERE ARE NO WARRANTIES BY ECS OF MERCHANTABILITY OF THE SUBJECTS OF THIS AGREEMENT, OR OF FITNESS OF THE SUBJECTS OF THIS AGREEMENT. THERE ARE NO WARRANTIES CONCERNING THE SUBJECTS OF THIS AGREEMENT WHICH EXTEND BEYOND THE DESCRIPTION ON THE FACE HEREOF. ANY AMENDMENTS, ADDENDA, ALTERATIONS OR MODIFICATIONS TO THE TERMS OR CONDITIONS OF THIS AGREEMENT SHALL BE IN WRITING AND SIGNED BY BOTH PARTIES . I am making a few assumptions, but will be willing to be flexible in the event that I am wrong about any of our assumptions. Assumptions: 1. You will use Compaq equipment instead of DEC equipment, so I have not included the cost of any of the PC's or a server. 2. I have included the cost of scanning equipment and an HP LaserJet IV printer specially set up to provide reasonably high speed image printing by anyone on the network (Xionics). 3. We have not included networking gear. 4. We have not included an optical storage system for images, assuming that the same system as is being used for the recording system can also be used by the Voter system. 5. I have not included the cost of Object View, Oracle7 and other tools that will be used for the development of VOTE+plus. Rather I have assumed that you will purchase these tools separately from this project. During my last visit to Weld County, we discussed developing the Voter Registration System by utilizing the same utilities that we have used in the development of the Recording System and that we are using with the new Assessor and Treasurer software. Further, we discussed working together on the Voter Registration System for our mutual benefit. You and others who may be involved would learn about Windows programming, SQL and Imaging while ECS staff would receive help from you in terms of knowledge you already possess regarding Weld's County's requirements for a Voter Registration System. I am enthusiastic about this approach... we'll both • come out ahead. I have provided a proposed project schedule with a fairly detailed breakdown of the tasks that would normally be required of this sort of a software development undertaking. Here is how I see the project breaking down (Time required by ECS personnel). Obviously these are just estimates. Project Approval and Project Definition. Basically this phase of the project is to get everyone signed up with respect to what they can expect from the project and what they will need to contribute to the project. The main players here will be Weld County IS staff, ECS staff and the Weld County Clerk's staff. ECS Staff 6 man days User Interface Design. Weld County IS staff and ECS staff put together a visual prototype of screens, menus, etc. Have Clerk's staff review and comment. Finalize Design. ECS Staff 6 man days Coding. Program all the database maintenance, query, reporting, imaging and help functions.. ECS Staff 20 man days Quality Assurance Much of Quality Assurance could be done by Weld County staff, but ECS staff will also be involved. ECS Staff 6 man days Deploy System in on a Test basis. County Clerk would begin using the system and ECS /Weld County IS staff would handle training, fixes, etc. ECS Staff 6 man days Documentation. ECS would assume the major role for Documentation if desired by Weld County. ECS Staff 6 man days Production. Produce Run Time version of code in its final form and deploy. ECS Staff 2 man days Estimated total time required by ECS staff 52 man days. Estimated total cost for ECS staff $ 35,360 Estimated out of pocket costs for travel, lodging, out of pocket assuming 20 days on site. 4,000 Total Cost Services $ 39,360 Obviously we may spend more or less time on the various tasks outlined. However, I have estimated enough time to provide a truly superior system. Over time the system will inevitably involve into a more complete system, but I am certain that an excellent system can be developed within the time constraints outlined here. Another thing that should be kept in mind is that you and others at Weld County who are involved will be able to continue to improve, modify and enhance the system because you will have an excellent understanding of the tools and the methods used for development. Novell, Unix and many other server operating systems such as Windows NT, VAX/VMS, etc. are supported. Data storage in an SQL Y Oracle? is ECS's preferred database. It fully supports compliant database SQL standards. Workstations use a GUI Y ECS +plus series software utilizes Microsoft Windows interface 3.X or greater. Standard components, Y The proposed system utilizes recognized standard or non-proprietary de-facto standard components: • Unix, Netware, and other server operating systems • Microsoft Windows/DOS Client operating system. OS/2 is also supported and Macintosh (PowerMac) in the future • Multiple Network transports supported: IPX, IP, NetBios on 10BaseT, standard Ethernet, Token Ring, ArcNet, etc. • Standard Windows Programming • Software will interface to many SQL databases using native drivers or ODBC drivers Remote access and download Y We have tested many remote access methods and have capability found two that work well • Remote node: We use a Shiva Netmodem or multipart NetRover to provide logical network connections to remote clients across dial-up phone lines. This approach is cost effective and stable, but performance is somewhat sluggish. • Remote control: We use CloseUp. A remote client controls a local client. This approach is snappy, but expensive because each remote session involves not only a remote client, but a local client. Both of the above methods provide file transfer capability. It is easy to set up routines to loss ensure no more than a day's loss. We have provided Cheyenne Software's NetBack software together with a product called DB Agent which automatically shuts down Oracle7, backs up the tables, and then restarts the database. This function can be programmed to occur • automatically during off hours. Expandable Y The client/server architecture of the software ensures expandability. Oracle7 can be scaled up to very large multiprocessor systems. DELAY OR FAILURE TO PERFORM: ECS understands the importance of these software systems to WELD and agrees to make every effort to implement the systems on the schedule agreed to . ECS shall be excused for delay or the failure to perform under this Agreement for causes beyond its control . Causes beyond ECS ' control include acts of nature and civil unrest . If ECS fails to perform as agreed under this Agreement , a penalty will be imposed in the amount of $1, 000 . 00 for each week of delay. F. TERMINATION: WELD or ECS shall have the right to terminate this agreement for cause if such cause is not remedied within thirty (30) days of receipt of written notice thereof . Termination of this Agreement shall not effect either ECS ' or WELD' s pre-termination obligations . Cause exists if either party does not perform its obligations under this Agreement including WELD' s failure to pay legitimate invoices within a reasonable period and ECS ' failure to deliver as described in this Agreement . G. DEFINITIONS : "Software" refers to each of the computer software products described herein. Additions, corrections, updates and enhancements of a Software Product also fall within the definition of Software Product . Software refers both to the intangible information comprising the product and, as the context requires, every copy of the information. "Use" means copying all or any portion of the Licensed Software from storage units or media into a CPU or using any Licensed Software in the course of the operation of any CPU or in support of the use of any CPU or software, or photocopying any portion of the software as defined above . H. SCOPE OF LICENSE : In implementation of this License, ECS shall furnish WELD with a copy of the Licensed Software on machine readable media and with associated user instructions and reference documentation, all of which material may be marked with an appropriate trade secret notation. I . COPIES/MODIFICATIONS : WELD may make copies of all or any part of the Licensed Software as needed for WELD' s in-house use . WELD may modify any of the Licensed Software for its own use and merge it into other program material to form an updated work. The use of any portion of the Licensed Software included in an updated work shall remain subject to all terms and conditions of this Agreement . J. WARRANTY: The Licensed Software may have been developed by and may be the proprietary property of a company other (Author) than ECS . ECS warrants that it has the legal right to license the Software, and shall indemnify and hold WELD, its agents and employees, harmless from any loss, damage or liability for infringement of any United States Patent right, copyright or other trade secret right with respect to the use of the process and ancillary material delivered hereunder; provided that ECS is notified in writing within ten (10) calendar days of service of any suit or claim against WELD, that WELD permits ECS to defend, compromise or settle the said claim of infringement and gives ECS all available information, assistance and authority to enable ECS to do so, and provided that WELD fully observes all the terms and condition of this Agreement . ECS shall not be responsible for any compromise made without its consent . ECS indemnity as to use shall not apply to any infringement arising out of use in combination with other processes or article where such infringement would not have occurred in the normal use for which the Licensed Software was designed. ECS, and the Author, warrants that the Licensed Software, when delivered, will conform to the software description as shown in the attached description (exhibit A) ; however, WELD acknowledges that the Licensed Software is of such complexity that it may have inherent defects and agrees that as ECS ' , and the Author' s, sole liability and as WELD ' s sole remedy, ECS, and/or the Author, will , at no additional cost to WELD, provide all reasonable 4 940551 programming services to correct documented code errors which ECS ' diagnosis indicates are caused by a defect in an unaltered version of the delivered Licensed Software . ECS and the Author cannot and do not warrant the system against malperformance due to the installation of any other software not supplied by ECS and/or the Author. In the event WELD modifies the computer software designed by or obtained from ECS without prior approval from ECS, the Warranty provisions of this contract shall immediately become void and ECS shall have no responsibility whatsoever for the performance of such programs . WELD is aware that any modifications may prevent the proper installation or correction operation of any future software updates or enhancements which are issued by ECS . ECS AND THE AUTHOR GRANT NO IMPLIED WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND NO OTHER EXPRESS WARRANTIES . Each item of software is warranted and supported by the Author of that item. No Author shall have any liability or obligation whatsoever with regard to items of software for which such party is not identified as the Author. K. CONFIDENTIALITY: ECS acknowledges that during discussions with WELD leading up to this Agreement and during its performance, certain proprietary or confidential data of WELD may be disclosed to ECS or to ECS ' employees or agents . ECS agrees that all data not normally available through other sources may be proprietary, and will be safeguarded by ECS with the same degree of care that is accorded to ECS ' own proprietary data. L . RESPONSIBILITY OF WELD: WELD is exclusively responsible for the supervision, management and control of its use of the Licensed Software . ECS is authorized to make reasonable inquiries concerning WELD ' s compliance herewith and may require WELD to take reasonable protective measures . WELD is responsible to exercise good business practices, procedures, and control to monitor the software performance, and to notify ECS immediately upon verifying any software errors . M. TITLE : The original and any copies of the Licensed Software, in whole or in part , made by WELD are and remain the property of ECS, or the software author, not WELD. N. TERM: This License shall be in effect from the date of this 5 940551 agreement and shall be valid until the License or this Agreement is otherwise terminated as provided herein. At WELD' s option, the annual support fee is renewable on a yearly basis . 0. P . ASSIGNMENT : This Agreement is not assignable by WELD without the prior written consent of ECS, nor by ECS without the prior written consent of WELD. Q. SOURCE CODE : The source code for these products, and all related documentation, shall be maintained current by ECS and placed on a periodic and routine basis in encrypted format on the application server. This source code and documentation shall be provided to WELD if for any reason ECS shall go out of business, shall be declared bankrupt , or shall be acquired by another company. This is solely for the protection of WELD' s interest in this software product and WELD' s ability to continue its operations which are dependent upon the successful operation and maintenance of these products . WELD has no intent, and is prevented from, marketing or selling this product in the event it is provided the source code . R. TRAINING AND ASSISTANCE : ECS will provide the hours of training, installation and implementation assistance indicated above to WELD. This training and assistance shall be mutually scheduled between WELD and ECS . WELD agrees to make the designated employees reasonably available for training for the length of time required during the agreed period of time . SYSTEMS SUPPORT SERVICES : In consideration for the annual support services fee, ECS shall maintain a telephone and modem support center that allows Weld to report system problems and seek assistance in the use of the supported Software . ECS shall maintain a trained staff capable of rendering the services set forth in this Agreement . ECS shall be responsible for using all reasonable diligence in correcting verifiable and reproducible Errors when reported to ECS in accordance with ECS ' s standard reporting procedures . ECS shall initiate work in a diligent manner toward development of an Error Correction. Following completion of the Error Correction, ECS shall provide the Error Correction through a "fix" consisting of sufficient programming and operating instructions to implement the Error Correction.
