RE: APPROVE PURCHASE OF SERVICES AGREEMENT WITH NORTH COLORADO MEDICAL CENTER,
INC. , DBA NORTH COLORADO FAMILY MEDICINE/RESIDENCY PROGRAM AND AUTHORIZE
CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statute and the Weld County Home Rule Charter, is vested
with the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Purchase of Services Agreement
between North Colorado Medical Center, Inc. , dba North Colorado Family
Medicine/Residency Program and Weld County Health Department, commencing January
1, 1993, and ending December 31, 1993, with the further terms and conditions
being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said
agreement, a copy of which is attached hereto and incorporated herein by
reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Purchase of Services Agreement between North Colorado
Medical Center, Inc. , dba North Colorado Family Medicine/Residency Program and
Weld County Health Department be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is,
authorized to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded,
adopted by the following vote on the 5th day of May, A.D. , 1993, nunc pro tunc
January 1, 1993.

PURCHASE OF SERVICES AGREEMENT
THIS AGREEMENT, made and entered into this 5'�'
day of
, 1993, by and between the County of Weld, State of Colorado,
by and through the Board of County Commissioners of Weld County, on behalf
of the Weld County Health Department, hereinafter referred to as "Weld
County" and North Colorado Medical Center, Inc. doing business as North
Colorado Family Medicine/Residency Program, 1650 16th Street, Greeley, CO
80631, hereinafter called "Residency Program."
WITNESSETH
WHEREAS, the Residency Program desires to have its resident physicians
obtain experience in clinics which are sponsored by Weld County, and
WHEREAS, Weld County wishes to allow such resident physicians to
participate in Weld County's Clinics, and
WHEREAS, Weld County and Residency Program have entered into this
Agreement in order to define the rights and obligations of the parties
hereto.
NOW, THEREFORE, for and in consideration of the premises and mutual
agreements hereinafter contained, the parties hereto agree as follows:
1. Term of Agreement: The term of this Agreement shall be from January 1,
1993 through December 31, 1995. Annual amendments shall be made, if
necessary, prior to the beginning of said year.
2. Duties of Northern Colorado Family Medicine's Resident Physicians:
North Colorado Family Medicine's physicians shall attend consultation
clinics sponsored by Weld County on a weekly basis. Said physicians shall
perform all necessary tasks which are required of physicians at said
clinics.
3. Qualifications of Resident Physician: All physicians participating in
the program with Weld County under this Agreement shall meet all minimum
qualifications for such physicians as required by the State of Colorado.
4. Duties of Weld County: Weld County shall reimburse the Residency
Program tor physician time for attendance in clinics. The Residency shall
be reimbursed a minimum of three (3) hours for the weekly clinic. The
reimbursement rate for physician time will be $50.00 per hour for the first
year of the contract. Thereafter, the hourly rate will be amended each
January 1 to reflect an adjustment equal to the Medical CPI for the
previous twelve month period. Reimbursement shall occur within 14 days
after the end of each quarter. Weld County shall document and track the
number of patient encounters by North Colorado Family Medicine physicians
and will provide this information to the Residency on a quarterly basis.
5. Unemployment Compensation and Worker's Compensation: Unemployment
Compensation and Worker's Compensation for physicians performing duties
under the agreement shall be paid for by Weld County, Colorado.

6. Indemnification: Residency Program hereby agrees to indemnify Weld
County from any and all liability, loss or damage Weld County may suffer as
a result of claims, demands, costs, or judgments against it arising out of
the participation of said resident physicians or their supervisors in Weld
County sponsored clinics. Likewise, Weld County agrees to indemnify
Residency Program for actions or omissions by Weld County, its employees,
agents or representatives in relation to the Weld County clinics.
7. Non-Assi pent: Residency Program and Weld County agree that this is a
personal services contract and such contract is not assignable without the
advance written consent of either Weld County or Residency Program.
8. Employee Status: The parties hereto agree that the resident physicians
are not employees of Weld County, but are participants in the Residency
Program at North Colorado Family Medicine.
9. Amendments: Changes or adjustments to this contract, if required,
shall be made in writing upon the mutual agreement of both parties.
10. Third Party Liability/Waiver of Immunities: No portion of this
Agreement shall be deemed to constitute a waiver of any immunities the
parties or their officers or employees may possess, nor shall any portion
of this Agreement be deemed to have created a duty of care with respect to
any persons not a party to this Agreement.
11. Non-Approvriation: No portion of this Agreement shall be deemed to
created an obligation on the part of the County of Weld, State of Colorado,
to expend funds not otherwise appropriated in each succeeding year.
12. Severability: If any section, subsection, paragraph, sentence,
clause, or phrase of this Agreement is for any reason held or decided to be
unconstitutional, such decision shall not affect the validity of the
remaining portions. The parties hereto declare that they would have
entered into this Agreement and each and every section, subsection,
paragraph, sentence, clause, and phrase thereof irrespective of the fact
that any one or more sections, subsections, paragraphs, sentences, clauses,
or phrases might be declared to be unconstitutional or invalid.
13. This Agreement may be terminated upon thirty (30) days written
notice, by either party.

Enclosed for Board approval and signature is a Purchase of Services agreement
between the Weld County Health Department and North Colorado Family Medicine
Residency Program (NCFM) for physician services in Health Department clinics.
For these services, the Health Department will reimburse NCFM $50.00 per hour for
a minimum of three (3) hours for each weekly clinic.
The term of the agreement shall be from January 1, 1993 through December 31,
1993.
