Gentlemen:
This letter will serve as notice to inform you that pursuant to
Section 2 . 03 (D) of the Indenture relating to the above referenced
transaction, we have received a valid option to tender the above
mentioned bond on August 15, 1992, at a redemption price equal to
100% of the aggregate principal amount of the Bond plus accrued
interest to August 15, 1992 .
