RE: APPROVE AGREEMENT FOR DIABETES EDUCATION PROGRAM BETWEEN HUMAN RESOURCES'
AREA AGENCY ON AGING AND PLAN DE SALUD DEL VALLE AND AUTHORIZE CHAIRMAN TO
SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statute and the Weld County Home Rule Charter, is vested
with the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement for Diabetes
Education Program between Weld County Human Resources' Area Agency on Aging and
Plan de Salud del Valle, commencing January 10, 1994, and ending December 31,
1994, with further terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said
agreement, a copy of which is attached hereto and incorporated herein by
reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Agreement for Diabetes Education Program between Weld
County Human Resources' Area Agency on Aging and Plan de Salud del Valle be, and
hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is,
authorized to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded,
adopted by the following vote on the 10th day of January, A.D. , 1994.

WELD COUNTY AREA AGENCY ON AGING
AGREEMENT FOR DIABETES EDUCATION PROGRAM
This agreement made and entered into, by and between WELD COUNTY HUMAN RESOURCES'
AREA AGENCY ON AGING, an agency of Weld County Government, hereinafter called
"WCAAA" and PLAN DE SALUD DEL VALLE, hereinafter called "SALUD".
WITNESSETH:
WHEREAS, WCAAA develops and administers an Area Plan for a comprehensive and
coordinated system of services; and
WHEREAS, WCAAA has responsibility under the Older Americans Act to provide health
promotion and disease prevention services to elderly who are socially and
economically in need; and
WHEREAS, SALUD provides comprehensive, accessible health care to the medically
under served of south Weld County; and
WHEREAS, SALUD has the resources to provide health education seminars to an
identified group of elders with health risks;
NOW, THEREFORE, the parties do mutually agree as follows:
1. Engagement of Contractor. WCAAA hereby retains SALUD and SALUD hereby
accepts engagement by WCAAA upon the terms and conditions hereinafter set
forth.
2. Term. Subject to the provisions contained herein, the term of Agreement
shall commence on January 10, 1994, and shall automatically terminate on
December 31, 1994.
3. One-Time Nature of Agreement. This award is made for the period of time
stated in the Agreement. This Agreement in no way implies further
funding.
4. Scope of Work. SALUD will provide thirty (30) service hours of community
based diabetes education classes in English and Spanish to seniors in
the Weld County communities of Hudson, Frederick, Platteville and Fort
Lupton. Each community will receive at least one three part course.
Course content will increase patients' awareness of the diabetic concerns
of nutrition, weight control, exercise, foot care, eye care, medication
management, oral health, hypertension, and immunizations.
An extensive outreach program will be conducted through SALUD'S existing
Outreach Unit to elders 60 years and older in the identified communities.
Information and referral to transportation services, interpreters,
pharmacy, social work services, dental and other health services will be
a component of the diabetes education program.

5. Reimbursement. WCAAA agrees to reimburse SALUD for all eligible project
costs up to but not exceeding the sum of $5,701. WCAAA shall pay SALUD
within thirty (30) days from receipt of the WCAAA Monthly Financial
Report.
6. Project Income. SALUD agrees to document and report any project income
received as a result of this Agreement.
7. Reports.
SALUD agrees to keep records and make reports on the forms
provided by the WCAAA and in accordance with guidelines issued by
the State of Colorado and the Administration on Aging. ( Exhibits
A & B)
WCAAA agrees to provide training on the financial and programmatic
report forms as needed.
8. Monitoring. SALUD agrees that WCAAA is required to conduct periodic
evaluations of the activities conducted under the Agreement and to monitor
on an ongoing basis the performance of SALUD.
(a) Financial reports due monthly by the 10th of the month
following the month for which billing occurs.
(b) Programmatic reports due monthly by the 10th of the month
following the month for which billing occurs.
(c) On site visits prearranged with SALUD Project Coordinator at
three, six, nine, and twelve month intervals of the grant
period.
9. Collaboration. SALUD agrees to utilize and coordinate with existing
community services such as local senior centers, health care providers,
social service agencies, churches, senior housing, meals on wheels
programs, and senior information and referral services.
10. Confidentiality. SALUD and WCAAA agree not to disclose any personal or
privileged information to third parties without first obtaining the
written consent of the senior or responsible party thereof, unless
otherwise permitted or required under applicable law.
11. Termination. Either SALUD or WCAAA may terminate this agreement with or
without cause, by giving thirty (30) days written notice to the other
party. Termination may also result automatically upon loss of Federal
Funding to WCAAA. SALUD will be reimbursed for expenses accrued through
the date of termination.

12. Assurances.
a. SALUD agrees that it is an independent contractor and that its
officers, employees, and clients do not become employees of Weld
County employees as a result of the execution of the Agreement.
b. Weld County, the Board of County Commissioners of Weld County, its
officers and employees, shall not be held liable for injuries or
damages caused by any negligent acts or omissions of SALUD, or it
employees, volunteers, or agents while performing functions as
described in the Agreement. SALUD shall not be held liable for
injuries or damages caused by any negligent act or omissions of Weld
County, the Board of County Commissioners of Weld County, its
employees, volunteers, or agents while performing the Agreement.
SALUD shall provide workers' compensation insurance for all
employees of SALUD engaged in the performance of the Agreement, as
required by the Colorado Workers ' Compensation Act. Likewise,
WCAAA, by and through the Board of Weld County Commissioners, shall
provide adequate liability and workers ' compensation insurance for
all of its employees, volunteers and agents engaged in the
performance of this Agreement.
c. No officer, member, or employee of Weld County and no member of
their governing bodies shall have any pecuniary interest, direct or
indirect, in the approved Agreement or the proceeds thereof.
d. SALUD understands that monitoring and evaluation of the performance
of this Agreement shall be conducted by WCAAA and the results
provided to the Board of County Commissioners of Weld County.
e. SALUD and WCAAA assure compliance with Title VI of the Civil Rights
Act of 1986, and that no person shall, on the grounds of race,
creed, color, sex or national origin, be excluded from participation
in, be denied the benefits of, or be otherwise subjected to
discrimination under the approved Agreement.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement on
the day first written above.

suyeCfPurchase of Service Agreements for Health Promotion Activities
Required under the Older Americans Act
Enclosed for Board approval are two Purchase of Services Agreements for
Health Promotion Programs funded under Title III, Part F (new allocation)
of the Older Americans Act.
The Weld County Area Agency on Aging has selected the following two
projects for funding after completion of a county wide request for
proposal process:
1. Plan de Salud del Valle, Inc. - Purchase diabetes education
classes for the communities of Hudson, Frederick, Platteville and
Fort Lupton. Each community will receive one three part course to
increase patient's awareness of diabetic concerns. A comprehensive
outreach program to reach low income, minority elders will precede
the course offerings. Total amount allocated is $5,701.
2. Catholic Community Services Northern Hispanic Elderly Outreach
Program - Purchase a one (1) day conference in conjunction with
Cinco de Mayo emphasizing health awareness programs, speakers, and
health screening with emphasis on Hispanic elders. Total amount to
be allocated is $2,310.
The terms of these agreements are from January 10, 1994 through December
31, 1994.
