RE: APPROVE REQUEST FROM GRAY'S CAFE 7, INC., DBA GRAY'S CAVE, TO
CHANGE MANAGER - HOTEL/RESTAURANT LICENSE
WHEREAS, the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS, Gray's Cafe 7, Inc., dba Gray's Cave has submitted a
request for a change of manager, said request being attached
hereto and incorporated herein by reference, and
WHEREAS, the local licensing authority, the Weld County Board
of Commissioners approved same, and said documents were submitted
to the Colorado Department of Revenue, Liquor Enforcement
Division.
NOW, THEREFORE, BE IT RESOLVED by the
Commissioners of Weld County, Colorado, that the

SECTION I
EMPLOYMENT
The employer hereby employs, engages, and hires the
employee to perform, advise and supervise the day-to-day
business operations of the employer, and the employee hereby
accepts and agrees to such hiring, _m„ent

employment. The employee shall perform such duties that are
customarily performed by one holding such position in other,
same, or similar businesses or enterprises as that engaged
in by the employer herein. Employee shall perform the

Employee agrees that at all times he/she will
faithfully, industriously, and to the best of his/her
ability, and talents, perform all of the duties that may be
required pursuant to the express and implicit termc herein.

SECTION III
COMPENSATION OF EMPLOYEE
A. Employee will not be paid on an hourly basis but

SECTION IV
TERMINATION DUE TO DISCONTINUANCE OF BUSINESS
In the event that the employer shall discontinue
operating said business, or shall discontinue serving liquor
by said business, this Agreement shall terminate.
SECTION V
TERMINATION BY EMPLOYEE
This contract may be terminated by employee on thirty
(30) days written notice.
SECTION VI
AGREEMENTS OUTSIDE OF CONTRACT
This agreement contains the complete agreement
concerning the employment arrangements betweent the parties
and shall, as of the effective date hereof, supersede all
other agreements between the parties. The parties stipulate
that neither of them has made any representation with
respect to the subject ratter of this Aareement or any
representations as are specifically set forth herein and
each of the parties hereto acknowledges that they have
relied on their own judgments in entering into this
Agreement. The parties hereto further acknowledge that any
payments or representations that may have heretofore been
made by either of them to the other are of no effect and
that neither of them has relied thereon in connection with
their dealings with on another.
SECTION VII
MODIFICATION OF CONTRACT
No waiver or modification of this Agreement or of any

SECTION VIII
D SCLOSURE PROHIBITION
Employee shal not divulge the terms of instant
MANAGEMENT EMPLOYMEN CONTRACT nor permit any other person
or entity to divulge same to any employee, or other person
in any way associate with employer.
SECTION IX
TERMINATION BY EMPLOYER
Employee my b terminated immediately for a failure
to perform his/her m nagement duties as described in Section
I herein, and or for a violation of Section VII herein, or
Employee may be terminated by employer for any reason or for
no reason at all upon 30 days written notice to employee.
SECTION X
SEVERABILITY
All agreements and covenants herein are severable,
and in the event any of them, with the exception of those
contained in Section I, III, VI hereof, shall be held to be
invalid by any competent court, this contract shall be
interpreted as if such invalid agreements or covenants were
not contained herein.
SECTION XI
ADDITIONAL PROVISIONS
