Home My WebLink About931034.tiff RESOLUTION RE: APPROVE LETTER OF AGREEMENT WITH COLORADO DEPARTMENT OF INSTITUTIONS, DIVISION OF YOUTH SERVICES, AND AUTHORIZE CHAIRMAN TO SIGN WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Letter of Agreement between the Colorado Department of Institutions, Division of Youth Services, and Weld County, Colorado, for services during the month of October 1993, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Letter of Agreement between the Colorado Department of Institutions, Division of Youth Services, and Weld County, Colorado, for services during the month of October 1993, be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is, authorized to sign said agreement. Kirkmeyer 931034 r Letter of Agreement This Letter of Agreement is made this 21th day of September, 1993, between the State of Colorado, for use and benefit of the Department of Institutions, Division of Youth Services (DYS) hereafter referred to as the "State", and Board of County Commissioners, Weld County, P.O. Box 758, Greeley, Colorado 800632 hereinafter referred to as the "Contractor". Now, therefore, it is hereby agreed that: 1 . The Contractor shall provide intake screening and electronic monitoring services for referred youths during the month of October, 1993. 2. For and in consideration of the services described above, the State agrees to reimburse the Contractor in an amount not to exceed five thousand, three hundred ninety-three and no/100 dollars ($5,393) for all services. The monies provided herein shall be expended in accordance with the following budget. Monthly Costs Intake Screening $3,833 Electronic Monitoring $1 ,560 TOTAL $5,393 Requests for payment for services shall be submitted to the DYS Community Coordinator. 3. The Contractor shall maintain in full force and effect at all times during the course of this agreement Comprehensive General Liability Insurance written on an occurrence basis with a minimum of $600,000.00 combined single limit for bodily injury and property damage arising out of any single occurrence. Any aggregate limit will not be less than $1 million. The Contractor shall furnish the State with written certification of the existence of such liability insurance and a copy of the policy endorsement naming the State of Colorado as an additional insured, prior to finalization of contract provisions. If the State approves in writing the alternative use of "claims made" insurance for Comprehensive General Liability, the Contractor also agrees to maintain beyond the contract term such insurance as will cover incidents which occurred during the contract period, including but not limited to continued maintenance of "claims made" or "tail" policies for the applicable statute of limitations. The policies must be in amounts equal to or greater than the limits required by this contract. Whenever the work covered by this Letter of Agreement shall involve the use of vehicular equipment, the Contractor shall maintain during the life of this Letter of Agreement Automotive Bodily Injury and Property Damage Insurance for business use with a combined single limit of not less than $600,000.00. The insurance certificate shall provide evidence that owned and unowned vehicles, if any, are covered. S31C34 Page 1 of 2 Pages The Contractor shall perform the duties hereunder as an independent Contractor and not as an employee. Neither the Contractor nor any agent or employee of the Contractor shall be or shall be deemed to be an agent or employee of the State. The Contractor shall pay when due all required employment taxes and income tax withholding, shall provide and keep in force Worker's Compensation (and show proof of such insurance) and unemployment compensation insurance in the amounts required by law, and shall be solely responsible for the acts of Contractor, its employees and agents. The Contractor shall furnish the State with written certification of the existence of such coverage, prior to the effective date of the contact. 4. To the extent authorized by law, the Contractor shall indemnify, save and hold harmless the State, its employees and agents, against any and all claims, damages, liability and court awards including cost, expenses, and attorney fees incurred as a result of any act or omission by the Contractor, or its employees, agents, subcontractors, or assignees pursuant to the terms of this Letter of Agreement. 5. Either the Contractor or the State shall have the right to terminate this Letter of Agreement at any time during the term of agreement by giving the other party thirty (30) days written notice. If notice is given, this Letter of Agreement shall terminate on the expiration of the thirty (30) days, and the liability of the parties herein for further performance on the terms of this Letter of Agreement shall cease, but the parties shall not be released from the duty to perform their obligations up to the date of the termination. 6. THE STATE OF COLORADO WITH REGARD TO PERSONAL SERVICES PURCHASE ORDER/LETTER OF AGREEMENT IS OPERATING UNDER A STAY OF A COURT ORDER THAT MAY AFFECT OUR ABILITY TO CONTINUE THE USE OF THE SERVICES BEING CALLED FOR IN THIS PURCHASE ORDER/LETTER OF AGREEMENT. SHOULD THIS STAY BE LIFTED OR A LOWER COURT RULING UPHELD BY THE COURT OF APPEALS, THE STATE MAY BE FORCED TO TERMINATE THIS AGREEMENT. WHILE AT THE PRESENT TIME IT IS OUR INTENTION TO PURSUE TO COMPLETION THE CONDITIONS OF THIS AGREEMENT, SUCH COURT RULING MAY REQUIRE THE STATE TO TERMINATE THIS PURCHASE ORDER/LETTER OF AGREEMENT. THEREFORE, THE STATE RESERVES THE RIGHT TO TERMINATE THIS PURCHASE ORDER/LETTER OF AGREEMENT EFFECTIVE IMMEDIATELY UPON RECEIPT OF NOTICE. CONTRACTORS WILL BE ENTITLED TO REIMBURSEMENT FOR EXPENSES INCURRED UP UNTIL THE DATE OF NOTICE OF PURCHASE ORDER/LETTER OF AGREEMENT TERMINATION. qq October 1, 19931'. 7. Subject : Return of unused SB 94 funds As the service for electronic home monitoring under SB-94, as provided by Weld Adolescent Resources , Inc. , is being discontinued there are unused funds that Weld Adolescent Resources, Inc . is willing to return. These funds can be added to SB-134 funds and used as the juvenile committee for the 19th Judicial District sees most beneficial . Weld Adolescent Resources , Inc, provided the service of three electronic monitoring devices to the court as per contract with Weld County. As this service was not used by the court, the cost of leasing the equipment was not incurred by Weld Adolescent Resources, Inc. Therefore, we will voluntarily refund $2478 . 00 . This refund is based on the lease from Millikin Enterprise, Inc . for 3 monitors at $7 . 00 per day from July 6, 1993 through October 31 , 1993 .
