RE: DENY REQUEST OF POLARIS ENERGY, INC. FOR REFUND OF BONUS PAYMENT
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statute and the Weld County Home Rule Charter, is vested
with the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, the Board of County Commissioners has been presented with a
request from Polaris Energy, Inc. to refund the bonus payment received in August,
1990 for a Lease which is recorded at Book 1273, Reception No. 02223779 of the
Records of the Weld County Clerk and Recorder, and
WHEREAS, said Lease is for a parcel of ground located in the SW; of Section
33, Township 9 North, Range 65 West of the 6th P.M. , Weld County, Colorado, and
WHEREAS, upon review by the County Attorney's Office, it has been found
that Weld County does not hold title to the mineral rights of said parcel, and
WHEREAS, after assessment the Board feels it would not be in the best
interest of the County of Weld to refund said bonus payment.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the request for refund of bonus payment from Polaris
Energy, Inc. be, and hereby is, denied.
The above and foregoing Resolution was, on motion duly made and seconded,
adopted by the following vote on the 19th day of August, A.D. , 1991.

Dear Mr. Morrison:
I am in receipt of your letter of July 8, 1991 to Mr. Bill Watson regarding the oil and
gas lease covering the captioned lands. We have requested, on behalf of Polaris the
return of the bonus monies paid due to the fact that Weld County owns no interests in the
minerals.
I am appalled at your stance regarding the warranty provision. It has always been my
belief that an Attorney stood for honesty and integrity, it has also been my belief that
elected officials should be the same.
The attitude you expressed in the above mentioned letter seems to indicate your point of
view of "Buyer Beware", in other words Weld County could put up the Brooklyn Bridge
for sale and if anyone is stupid enough to buy it you keep the money, of which you know
is very, very illegal regardless of any wording of any contract.
Therefore on behalf of Polaris we respectfully request that you and the County
Commissioners give serious consideration to the refunding of bonus monies paid for the
oil and gas lease covering the referenced lands.

Dear Mr. Watson:
I understand that you represent Wildhorse and Boswell as purported
assignees of a lease held by Polaris Energy with Weld County.
- Enclosed are copies of correspondence with Union Pacific, Kappa Nu
- III, and Polaris . I understand you will be requesting a refund of
- bonus payments previously made to the County on behalf of the
appropriate parties. I have pointed out to you the lack of a
Warranty of Title by the County and the lack of a legal requirement
that the County provide any reimbursement. I am further pointing
out to you that the County file does not reflect County approval of
any further assignments beyond that to Kappa Nu II .

_ Dear Sirs :
On August 8 , 1990 , Polaris Energy Incorporated entered into a Lease
with Weld County, which Lease is recorded at Book 1273 , Reception
No. 02223779 of the Records of the Weld County Clerk and Recorder
involving oil and vas interests in the Southwest Quarter of Section
33 , Township 9 North, Range 65 West, Weld County, Colorado . The
lease was subsequently assigned to Kappa Nu Partnership at Book
1296 , Reception No . 02248062 on March 3, 1991 , by the Board of
County Commissioners and recorded April 24 , 1991 . That Lease
provided that Weld County did not warrant title and also contained
a lesser interest clause in Section 2 (d) . It has been called to
Weld County ' s attention by Union Pacific Resources that it is their
opinion that they continue to hold ownership in all the minerals ,
including oil and gas .
:'v review of the records do not give me a basis to dispute Union
Pacific Resources ' contentions . The Treasurer' s Deed dated May 23 ,
1938 , at Book 1026 , page 327 , from the Weld County Treasurer to the
Board of County Commissioners excludes all Union Pacific Railroad
Company reservations . The Deed dated April 6 , 1909 , whereby Union
Pacific Railroad Company disposed of the surface interest , reserved
all oil and other minerals within or underlying said lands to the
`::ion Pacific Railroad .

I have enclosed materials received from the attorney for the Union
Pacific Railroad for your review. Absent further information, it
would appear appropriate that both of you provide releases for this
Lease . Enclosed are two original releases which should be executed
and sent to Molly Sommerville . Please copy me with your response.

sufficiency of which is acknowledged, Polaris Energy, Inc. hereby releases, remises, and
relinquishes to Union Pacific Resources Company, all of its right, title and interest in and
to that certain oil and gas lease dated August 8, 1990, between WELD COUNTY,
COLORADO, a political subdivision of the STATE OF COLORADO, acting by and
through the BOARD OF COUNTY COMMISSIONERS OF THE COUNTY OF WELD
as lessor and POLARIS ENERGY, INC. as lessee recorded in the office of the Clerk and
Recorder of Weld County on August 17, 1990 at Book 1273, Reception No. 02223779 and
the property subject to such lease located in Weld County and described as follows:
