ASSIGNMENT OF OIL AND GAS LEASE
KNOW ALL MEN BY THESE PRESENTS:
That, the undersigned, KAPPA NU II PARTNERSHIP, of 2119 Art School Road, Chester
� O Springs, Pennsylvania 19425, hereinafter referred to as "Assignor", for in consideration of
o Ten Dollars ($10.00), and other good valuable consideration, the receipt and sufficiency
o whereof is hereby acknowledged, does hereby sell, assign, transfer and set over unto
u BOSWELL ENERGY CORPORATION, an Oklahoma corporation, of MidFirst Plaza, Suite
A 300, 501 W. Interstate 44, Oklahoma City, Oklahoma 73118-6081, hereinafter referred to
3 as "Assignee", all of its right, title and interest in and to the oil and gas lease described on

• x Exhibit "A" attached hereto and made a part hereof.

oThis Assignment is made subject to all the terms and conditions of that certain Purchase
w Agreement dated March 5, 1991, between Boswell Energy Corporation and Kappa Nu
x Partners and Kappa Nu II Partners.

x Assignor also hereby reserves a gross overriding royalty equal to the difference between the
w landowners royalty and 19%, inclusive of existing lease burdens of record this date, in and
to the oil, gas and other hydrocarbons which may be produced and saved and marketed
from the herein described lands under the terms and provisions of the subject lease, or
z
w renewal or extension thereof, free and clear of any cost or expense of the development and
o operation thereof, excepting taxes applicable to said interest and the production therefrom.
x It is the intention of the Assignor to deliver unto Assignee an 81% net revenue interest

lease.

oz In the event this Assignment covers less than the entire undivided interest in oil, gas and
N � other hydrocarbons in the land set out in and covered by the oil and gas lease described on
Exhibit"A", then the interest hereinabove assigned and the overriding royalty interest hereby

reserved shall be reduced proportionately to the interest actually owned by the Assignor.
CIN This Assignment is specifically made without warranty of title, either expressed or implied.
