RE: APPROVE NOTICE OF PURCHASE TO NORWEST BANK DENVER, N.A. , AND AUTHORIZE
CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statute and the Weld County Home Rule Charter, is vested
with the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, pursuant to Ordinance No. 129, the Board of County Commissioners
of Weld County, Colorado, entered into a Lease Agreement (the "Lease Agreement")
between Weld County and United Bank of Greeley, Colorado Banking Corporation,
along with a Sublease with Colorado Counties, Inc. ("CCI") , a Colorado
not-for-profit Corporation, which Weld County was and is a member, and
WHEREAS, notice has been given pursuant to Section 4 of the Public
Facilities Sublease Agreement and Consent dated as of July 1, 1984 (the
"Sublease") , and CCI has adopted a resolution of its board of directors electing
to exercise its option to purchase the project as defined in and pursuant to the
Sublease by paying the prepayment of $588,627.00 plus $1.00 as required in
Section 4 of the Sublease and has given notice to the County and to United Bank
of Denver National Association, and
WHEREAS, Norwest Bank Denver, N.A. , is the successor trustee to the United
Bank of Greeley, Colorado Banking Corporation, and
WHEREAS, the Board wishes to exercise the County's option to purchase the
project by paying the prepayment price of $588, 627.00 plus $1.00 as required by
Section 25 of the Lease Agreement and, provided the terms and conditions of
Section 4 of the Sublease have been satisfied, simultaneously and immediately
transferring all right, title, and interest to CCI.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that Weld County, Colorado, elects to exercise the County's
option to purchase the property described as Exhibit A to the Lease Agreement,
County of Weld, Colorado (Colorado Counties, Inc. , Public Facilities Project) ,
executed June 25, 1984.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is,
authorized to sign the Notice of Purchase to Norwest Bank Denver, N.A. , in the
form attached to this Resolution as Exhibit A.

NORWEST BANK DENVER, N.A.
NOTICE IS HEREBY GIVEN to Norwest Bank Denver, N.A. , as successor lessor
under the Lease Agreement dated as of July 1, 1984 (the "Lease") and successor
trustee (the "Trust Agreement") , pursuant to which certain Certificates of
Participation were executed and delivered, that Colorado Counties, Inc. ("CCI")
as sublessee under the Public Facilities Sublease Agreement and Consent dated as
of July 1, 1984 (the "Sublease") has adopted a resolution of its Board of
Directors electing to exercise its option to purchase the Project as defined in
and pursuant to the Sublease by paying the prepayment price of $588,627 plus
$1.00 as required by Section 4 of the Sublease and that Weld County, Colorado
(the "County") as lessee under the Lease has adopted a resolution by its Board
of County Commissioners electing to exercise the County's option to purchase the
Project by paying the prepayment price of $588,627 plus $1.00 as required by
Section 25 of the Lease and selling the Project to CCI, all in accordance with
the Lease.

NOTICE IS HEREBY GIVEN to Weld County, Colorado (the
"County" ) , as lessee under the Lease Agreement dated as of
August 1, 1984, (the "Lease" ) between itself, and United Bank of
Greeley, a Colorado banking corporation, as lessor thereunder and
trustee and United Bank of Denver National Association, as
successor lessor under the Lease and successor trustee (the
"Trustee" ) under the Trust Agreement dated as of July 1, 1984 (the
"Trust Agreement" ) , pursuant to which certain Certificates of
Participation were executed and delivered, that Colorado Counties,
