March 20, 1992
Weld County Board of Commissioners
P.O. Box 758
Greeley, CO 80632
Subject: Nondestructive Testing
Bridge WEL 8.0/1.5A
Gentlemen:
This agreement is in response to a letter from Denny Graham dated February 13, 1992,
regarding assurances to Weld County about our proposed testing (see attached letter dated
December 20, 1991):
1. To the fullest extent permitted by law, the Engineer (Loris and Associates, Olson
Engineering and George Ream) shall indemnify and save harmless Weld County, its
partners and employees, and each of them, against and from: any and all damages, costs,
expenses, losses and liabilities, at law or in equity, including, but not limited to injury or
death of any person or persons and damage to or destruction of any property, arising solely
out of the negligent performance of services by the Engineer; however, the Engineer shall
not be obligated to indemnify Weld County with respect to damages which are the result of
sole negligence or willful misconduct of Weld County or any other party.
2. The work will be performed at no cost to Weld County. We will require traffic control and
loading (a 5 ton truck) to perform our work, and would appreciate it if Weld County could
provide assistance. If not, we will ask CDOT to assist us with these matters.
3. The work will not cause a delay in construction. We may ask the contractor to assist with
some minor demolition work or scheduling. If he does not wish to help, then we will
schedule tests which do not interfere with his work.
