RE: APPROVE PURCHASE OF SERVICE AGREEMENT WITH LEANNA NOONAN AND AUTHORIZE
CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statute and the Weld County Home Rule Charter, is vested
with the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Purchase of Service Agreement
between Family Educational Network of Weld County (FENWC) and Leanna Noonan,
commencing July 1, 1993, and ending October 1, 1993, with further terms and
conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said
agreement, a copy of which is attached hereto and incorporated herein by
reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Purchase of Service Agreement between FENWC and Leanna
Noonan be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is,
authorized to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded,
adopted by the following vote on the 18th day of August, A.D. , 1993, nunc pro

PURCHASE OF SERVICES AGREEMENT
()
THIS AGREEMENT, made and entered into this �7f '1 day of 1993, by and
between County of Weld, State of Colorado by and through the B ard of County
Commissioners of Weld County, on behalf of the Weld County Division of Human
Resources' Family Educational Network of Weld County, Migrant Head Start Program,
hereinafter referred to as "FENWC," and Leanna Noonan, hereinafter referred to
as "Contractor."
WITNESSETH
WHEREAS, FENWC is required to assist in providing these services,
NOW, THEREFORE, in accordance with the mutual benefits, responsibilities
and considerations set forth herein, the parties hereto covenant and agree as
follows:
1. The Contractor will visit classrooms to observe children and follow-up on
recommendations for staff.
2. The Contractor will complete diagnostic evaluations and occupational
therapy sessions as deemed necessary.
3. The Contractor will be required to check in and out with each center
director so that the number of hours of direct services per month can be
tracked.
4. FENWC will validate the hours of service submitted each month.
5. The Contractor will be required to submit monthly invoices, documenting
the hours of service to :

6. The Contractor will assist FENWC staff in securing additional services for
identified special needs children in the FENWC, Migrant Head Start
Program.
7. The Contractor will provide appropriate documentation regarding the
diagnosis of the children and documentation of direct services provided to
the children.
8. The term of the Agreement shall be from July 1, 1993, through October 1,
1993. The maximum reimbursable hours for the period July 1, 1993, through
October 1, 1993, shall be ten (10) hours per week. Reimbursable hours are
actual hours worked at each center or actual hours worked doing home
visits, if necessary. No reimbursement will be made for travel time or
preparation time. The rate of reimbursement shall be $50.00 per hour for
services provided in the Greeley Centers and $60.00 per hour for services
provided in the Frederick, Wattenburg, Hudson, and Fort Morgan Centers.

9. ASSURANCES:
a. Contractor agrees that it is an independent contractor and that its
officers, employees and clients do not become employees of Weld
County, and therefore are not entitles to any benefits as Weld
County Employees, as a result of execution of this Agreement.
b. Weld County, the Board of County Commissioners of Weld County, its
officers and employees, shall not be held liable for injuries or
damages caused by any negligent acts or omissions of the Contractor,
or her employees, volunteers, agents or clients while performing
functions as described in this Agreement. The Contractor shall
indemnify, defend and hold harmless Weld County, the Board of County
Commissioners of Weld County, its officers and employees for any
loss occasioned as result of the performance of this Agreement by
its employees, volunteers, clients, and agents. The Contractor
shall not be held liable for injuries of damages caused by any
negligent acts or omissions of Weld County the Board os County
Commissioners of Weld County, its employees, volunteers, or agents
while performing this Agreement. The Contractor shall provide
Worker's Compensation Insurance for all employees engaged in the
performance of this Agreement, as required by the Colorado Worker's
Compensation Act.
c. No officer, member, or employee of Weld County and no member of
their governing bodies shall have any pecuniary interest, direct or
indirect, in the approved Agreement or the proceeds thereof.
d. Contractor understands that monitoring and evaluation of the
performance of this Agreement shall be conducted by the Weld County
Division of Human Resources and the results provided to the Board of
County Commissioners of Weld County.
e. Contractor and FENWC assure compliance with Title VI of the Civil
Rights Act of 1986, and that no person shall, on the grounds of
race, creed, color, sex or national origin, be excluded from
participation in, be denied the benefits of, or otherwise subjected
to discrimination under the approved Agreements.
f. No portion of this Agreement shall be deemed to constitute a waiver
of any immunities the parties of their officers or employees may
possess, not shall any portion of this Agreement be deemed to have
created a duty of care with respect to any persons not a party to
this Agreement.
g. No portion of this Agreement shall be deemed to create an
obligation an the part of the County of Weld, State of Colorado, to
expend funds not otherwise appropriated in each succeeding year.

10. SEVERABILITY:
If any section, subsection, paragraph, sentence, clause, or phrase of this
Agreement is for any reason held or decided to be unconstitutional, such
decision shall not affect the validity of the remaining portions. The
parties hereto declare that they would have entered into this Agreement
and each and every section, subsection, paragraph, sentence, clause, and
phrase thereof irrespective of the sentences, clauses, or phrases might be
declared to be unconstitutional or invalid.
11. ENTIRE AGREEMENT:
This Agreement constitutes the entire understanding between the parties
hereto with respect to the subject matter hereof, and may not be changed
or modified except as stated in paragraph 12 herein.
12. This Agreement may be amended or terminated upon thirty (30) days written
notice to either party. This Agreement will be terminated immediately
upon the loss of funding to the Migrant Head Start Program.
IN WITNESS WHEREOF, the parties hereto have duly executed this Agreement
as of the day, month, and year above written.

Enclosed for Board approval is a Purchase of Service Agreement between the Family
Educational Network of Weld County (FENWC) and Leanna Noonan, MA, OTR,
hereinafter referred to as (Contractor) .
The Contractor agrees to the following:
• visit classrooms to observe children and follow ups.
