subject: Purchase of Service A_areements between the Area Aaency on Aging
and Local Agencies
Enclosed for board approval are Purchase of Services Agreements between
the Area Agency on Aging and the following local agencies to provide
services as specified it the Area Agency 1991 Plan:
1. Meals on Wheels - Purchase 34,000 meals for 130 homebound elderly
of Weld County. Total amount allocated is $29,575.00.
2. Catholic Community Services Northern - Purchase 2,550 units of
outreach services to 240 isolated and homebound Spanish surname
elderly of Weld County to help them gain access to needed services.
Total amount allocated is $25,653.00.
3. Catholic Community Services Northern - Purchase 1,400 units of
respite care to 24 families caring for a frail elder in their own
homes. Total amount allocated is $7,931.00.
4. RVNA Home Care Services - Provide 2,561 hours of home health care
for 56 elderly at $8.35 per hour not to exceed $21,390.00.
5. RVNA Home Care Services - Provide home health care for only Case
Management referred clients at $8.35 per hour not to exceed
$9,300.00.
6. Eldergarden - Purchase 17,400 hours of adult day care to 56
participants. Total amount allocated is $13,950.00.
7. Charles J. Connell Attorney at Law - Provide attorney supervision
of the Area Agency Senior Citizen's Law Project at $32.50 per hour
for consultation time and $42.50 per hour for court appearance
time.
8. Birchwood Avartments - Non-Financial Agreement for the use of the
$irchwood Dining Room, as a Senior Nutrition Meal Site, three (3)
days per week.

MEMORANDUM OF AGREEMENT
THIS AGREEMENT, made and entered into this day of January,
1991, by and between the County of Weld, State onflorado, by and
through the Board of County Commissioners of Weld County, on behalf of
the Weld County Division of Human Resources' Area Agency on Aging's
Senior Nutrition Project, hereinafter referred to as the "Project," and
Birchwood Apartments, hereinafter referred to as the "Site."
WITNESSETH:
WHEREAS, the parties hereto desire to work together for the express
purpose of providing nutrition services to the senior citizens of Weld
County; and
WHEREAS, the parties desire to provide a congregate meal/home
delivery site for senior citizens in Weld County; and
WHEREAS, to implement these goals, the parties desire to establish
an agreement for the use of the Site for the Weld County Senior
Nutrition Project;
NOW THEREFORE, in consideration of the premises, the parties
covenant and agree as follows:
1. Term•
The term of the Agreement between the Project and the Site
shall be on-going.
2. Project Responsibilities:
a. Representatives of the Colorado State Department of Social
Services, Weld County Health Department, and Greeley Fire
Department may make inspections of the congregate meal/home
delivery site at any reasonable time.
b. The Project will work in conjunction with their contracted
food vendor to provide meals.
c. The Project will work in conjunction with local agencies to
provide programs and supportive services to the senior
citizens attending the meal site.
d. Recruit and train volunteers to serve congregate meal/home
delivery meals.
e. Do daily sweeping of the kitchen and dining room.
f. Maintain all records, meal reservation listings, meal
coordination, and scheduling of "Project" volunteers.

q. Insure that home delivered meals to homebound residents
with short-term illnesses shall not exceed a two week
delivery period.
h. Sanitize all tables, chairs, kitchen equipment, and
kitchen counters before and after serving the Senior
Nutrition meal .
i . Serve all food from self contained bulk containers with no
food other than coffee and tea being prepared at the Site.
j. Supply paper plate trays, napkins, paper cups, and
flatware.
k. Dispose of all trash in "Project" provided trash bags.
3. Site Responsibilities:
a. The Site agrees to allow the Project the use of its
kitchen, including equipment, restrooms , and dining hall at
no cost as a congregate meal/home delivery site, Monday.
Wednesday, and Friday from 10:00 a.m. to 2:00 p.m.
b. The Site will notify the Project of closures of the dining
room facility for any reason. Notification shall be in
writing two (2) weeks in advance of the closure to allow
the Project time to notify the food vendor.
c. Clean regularly all dining, kitchen, and restroom areas of
the facilities which the Project uses.
d. Maintain the facilities in a safe condition.
e. Arrange for collection and removal of trash and garbage.
f. Maintain all equipment and appliances in safe and working
order.
g. Make necessary repairs with reasonable promptness.
h. Provide extermination services, as necessary.
4. Both parties shall retain a copy of the Contract on file at
their premises.

5. Modification of Agreement:
All modifications to this Agreement shall be in writing and
signed by both parties.
6. Assurances:
a. The Project agrees that it is an independent contractor and
that its officers, employees , and clients do not become
employees of the Site, and therefore are not entitled to
any employee benefits as the Site's employees, as a result
of the execution of this Agreement.
b. The Site agrees that it is an independent contractor and
that its officers, employees, and clients do not become
employees of the Project, and therefore are not entitled to
any employee benefits as the Project's employees, as a
result of the execution of this Agreement.
c. The Site, its officers and employees, shall not be held
liable for injuries or damages caused by any negligent acts
or omissions of the Project, or its employees, volunteers.

Board of County Commissioners of Weld County, its officers
and employees, shall not be held liable for injuries or
damages caused by any negligent acts or omissions of the

d. No officer, member, or employee of the Site and no member
of their governing bodies shall have any pecuniary
interest, direct or indirect, in the approved Agreement or
the proceeds thereof.
e. The Project and the Site assure compliance with Title VI of
the Civil Rights Act of 1986, and that no person shall , on
the grounds of race, creed, color, sex, handicap, or
national origin be excluded from participation in, be
denied the benefits of, or be otherwise subjected to
discrimination under the approved Agreement.
f. No portion of this Agreement shall be deemed to constitute
a waiver of any immunities the parties or their officers or
employees may possess, nor shall any portion of this
Agreement be deemed to have created a duty of care with
respect to any persons not a party to this Agreement.

g. No portion of this Agreement shall be deemed to create an
obligation on the partt of the County of Weld. State of
Colorado, to expend funds not otherwise appropriated in
each succeeding year.
7. Termination:
This Agreement may be terminated upon thirty (30) days written
notice by either the Project or the Site.
8. Entire Agreement:
This Agreement constitutes the entire understanding between the
parties with respect to the subject matter hereof, and may not
be changed or modified except as stated in Paragraph 5 herein.
9. Severability:
If any section, subsection, paragraph, sentence, clause, or
phrase of this Agreement is for any reason held or decided to
be unconstitutional , such decision shall not affect the
validity of the remaining portions. The parties hereto declare
that they would have entered into this Agreement and each and
every section, subsection, paragraph, sentence. clause, and
phrase thereof irrespective of the fact that any one or more
sections, subsections, paragraphs, sentences , clauses , or
phrases might be declared unconstitutional or invalid.
10. Waiver of Immunities/Third-Party Liability:
No portion of this Agreement shall be deemed to constitute a
waiver of any immunities the parties or their officers or
employees may possess, nor shall any portion of this Agreement
be deemed to have created a duty of care with respect to any
persons not a party to this Agreement.
11. Non-Appropriation:
No portion of this Agreement shall be deemed to create an
obligation on the part of the County of Weld. State of
Colorado, to expend funds not otherwise appropriated in each
succeeding year.

PURCHASE OF SERVICES AGREEMENT
THIS AGREEMENT, made and entered into this day of January, 1991 by
ana between the County of Weld, State of Colorad7-67-17d through the Board of
County Commissioners, on behalf the Weld County Division of Human Resources'
Area Agency on Aging, hereinafter referred to as "AAA," and Charles J. Connell ,
Attorney at Law, hereinafter referred to as "Connell ."
WITNESSETH:
WHEREAS, AAA develops and administers the Area Plan for a comprehensive and
coordinated system of services, and
WHEREAS, AAA serves as the advocate and focal point for older persons in
Weld County, and
WHEREAS, AAA is mandated to provide for legal services, as defined in the
Older Americans Act to older persons with the greatest economic and social need,
and
WHEREAS, AAA provides legal assistance to older persons through the Senior
Citizens Law Project and employs a legal assistant to coordinate the Project,
and
WHEREAS, by the laws of the State of Colorado, the AAA must employ a
licensed attorney authorized to practice law in the state of Colorado so that
the AAA's legal assistant shall act under the supervision of such attorney when
dispensing legal advice and counsel .
NOW THEREFORE, it is mutually agreed that:
1. The AAA desires to purchase services from Connell , through his expertise as
an attorney licensed to practice law in the state of Colorado, for
supervision of the legal assistant at the AAA Senior Citizen's Law Project.
2. Connell desires to provide his expertise as a licensed attorney in the
state of Colorado for direction and supervision of the legal assistant at
the AAA Senior Citizen's Law Project.
3. The AAA legal assistant and staff shall be responsible for taking
applications for assistance by the AAA Senior Citizen's Law Project and
screen applications for acceptance to the Program.
4. The AAA legal assistant and Connell will review applications to the
Program. Connell will be available for weekly review of applications, for
telephone contact by the AAA legal assistant, and for appearance in
proceedings in court when necessary.
5. After consultation with Connell , the AAA legal assistant shall follow up on
case handling and negotiation, pursuant to the supervision and direction of
Connell .

6. The AAA legal assistant shall be responsible for community outreach,
publicity of the program, and community education.
7. The AAA legal assistant shall be allowed to represent persons before an
agency or in an agency proceeding, or administrative tribunal , and complete
necessary forms not requiring knowledge and skill beyond that possessed by
the ordinary experienced and intelligent layman.
8. The AAA Senior Citizens Law Project agrees not to dispense legal advice and
counsel except when under the direction and supervision of Connell .
9. Connell will provide a ten-percent match for the Senior Citizen's Law
Program in the form of travel time and mileage to court proceedings and
client conferences, access to a law library, use of office phone, along
with providing limited word processing, usual copying fees and ordinary
postage expenses, all with a value of at least ten-percent (10%) of the
total received from this agreement during 1991. It is agreed that Connell
shall continue to provide his own Professional Liability Insurance. The
AAA legal assistant shall be insured for liability resulting from any
actions within the scope of his employment, by and through the Weld County
Attorney's Office.
10. The AAA shall reimburse Connell at the rate of $32.50 per hour (unit of
service) for consultation time and $42.50 per hour (unit of service) for
court appearance time, up to but not exceeding the sum of $5,000.00. The
AAA and Connell shall keep a time log record to monitor the hours worked by
Connell . Connell shall be paid monthly for actual services rendered in the
previous month.
11. No portion of this Agreement shall be deemed to constitute a waiver of any
immunities the parties or their officers or employees may possess, nor
shall any portion of this Agreement be deemed to have created a duty of
care with respect to any persons not a party to this Agreement.
12. No portion of this Agreement shall be deemed to create an obligation on the
part of the County of Weld, State of Colorado, to expend funds not
otherwise appropriated in each succeeding year.
13. If any section, subsection, paragraph, sentence, clause, or phrase of this
Agreement is for any reason held or decided to be unconstitutional , such
decision shall not affect the validity of the remaining portions. The
parties hereto declare that they would have entered into this Agreement and
each and every section, subsection, paragraph, sentence, clause, and phrase
thereof irrespective of the fact that any one or more sections,
subsections , paragraphs , sentences, clauses , or phrases might be declared
to be unconstitutional or invalid.
14. This Agreement may be terminated upon thirty (30) days written notice by
either party. This Agreement shall be terminated immediately in the event
of loss of funding to the Area Agency on Aging.

Purchase of Services Agreement
THIS AGREEMENT, made and entered into this 2nd day of January, 1991, by and
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Weld County Division of Human
Resources ' Area Agency on Aging, hereinafter referred to as "AAA," and
Eldergarden, Inc. , hereinafter referred to as "Eldergarden."
WITNESSETH
WHEREAS, AAA develops an administers the Area Plan for a comprehensive and
coordinated system of services, and
WHEREAS, AAA serves as the advocate and focal point for older persons in Weld
County, and
WHEREAS, AAA desires to promote community based adult day care services to
assist older adults in maintaining their sense of identity and well-being with a
focus on growth and maximum independence in the community,
WHEREAS, Eldergarden is a private, non-profit organization existing for the
purpose of providing professional adult day care to residents of Weld County, and
WHEREAS, AAA desires to purchase services from Eldergarden tuition subsidies
for eligible clients as well as promotional activities which will make the Adult
Day Care Program widely known and accepted throughout Weld County,
NOW THEREFORE, it is mutually agreed:
1 . The AAA hereby agrees to award grant monies not to exceed a maximum sum
of $13,950.00 to Eldergarden.
2. Eldergarden agrees to provide 17,432 hours of adult day care to 56 day
care participants, 2,250 hours and 5 individuals to be minority elderly.
3. Eldergarden agrees to support the goal of a comprehensive and coordinated
system of services by maintaining regular participation on the Long Term Care
Coordinating Committee.
4. Eldergarden agrees to support and actively participate in the AAA Case
Management Demonstration Project by making appropriate referrals to the case
management and by making adult day services available to case management
participants on a priority basis as funding allows. 910141
5. Eldergarden agrees to continue active publicity and promotional efforts
through media, outreach to community groups , families, and prospective partici-
pants.
6. Eldergarden agrees that persons receiving adult day care services under
this agreement will be given the opportunity to contribute all or part of the
costs. No person shall be denied day care services because of his/her failure to
contribute.
7. Eldergarden agrees to provide a minimum of 10% in-kind or cash match
based on the total award as per the grant proposal .
8. Eldergarden agrees to include the following statement in any written
materials (pamphlets , brochures, announcements, etc. ) or in any verbal presen-
tations: "Eldergarden is supported, in part, by funds provided by the Weld County
Area Agency on Aging through the Older Americans Act."
9. The services of this Agreement are to commence within 30 days after the
signing of this Agreement and shall be undertaken in such sequence as to assure
completion of all services required hereunder by December 31, 1991.
10. Eldergarden understands that AAA is required to conduct periodic eval-
uations of the activities conducted under this Agreement and to monitor on an
ongoing basis the performance of Eldergarden to insure that the funds made avail-
able by this Agreement are expended in keeping with the purposes for which they
were awarded; and Eldergarden accordingly covenants to cooperate fully with the
AAA in the conduct of such evaluation and monitoring, including the keeping and
supplying of such information, and providing access to documents and records,
other than clinical records, to the AAA for the purpose of audit; and further
agrees to do all things necessary to enable AAA to fulfill its obligation to the
State of Colorado and the United States Government.
11. Any changes , including any increase or decrease in the amount of
Eldergarden compensation, and including changes in budget allocations which are
mutually agreed upon by and between the AAA and Eldergarden, shall be incorporated

in written amendments to this Agreement and in appropriate revisions to the grant
proposal .
12. Eldergarden understands and agrees that the following provisions are part
of the official application and as such become binding upon commencement of the
project:
a. Agrees that the project will be carried out in accordance with the
Federal program and fiscal regulations, the policies and procedures established
for grants by the State Agency, and the terms and conditions of the project
application approved by AAA in making this award of funds; specifically, agreeing
to abide by the dollar amounts as shown in the budget by program and cost cate-
gories.
b. Understands that if there is Federal/State cash unearned at the time
the project is terminated, this amount must be returned to the AAA unless the AAA
otherwise stipulates.
c. Understands that the project's fiscal affairs are subject to audit.
If costs are disallowed, the proportion of Federal/State funds disallowed must be
returned to the AAA.
d. Understands that this award is made for the period and amounts stated
in this Agreement. This Agreement in no way implies further funding which is
contingent upon the availability of funds and approval of future project applica-
tions.
e. Agrees to keep records and make reports on the forms required by the
AAA and in accordance with guidelines issued by the State of Colorado and the
Administration on Aging, specifically:
. To submit a monthly financial report to the AAA by the 10th of the
following month;
. To submit a final financial report within 45 days after the end of
the project year;
. To submit other reports to the AAA as requested.

f. Agrees to advise the AAA of needed program and financial changes and
await approval from the AAA prior to change implementation.
13. No portion of this Agreement shall be deemed to constitute a waiver of
any immunities the parties or their officers or employees may possess, nor shall
any portion of this Agreement be deemed to have created a duty of care with
respect to any persons not a party to this Agreement
14. No portion of this Agreement shall be deemed to create an obligation on
the part of the County of Weld, State of Colorado, to expend funds not otherwise
appropriated in each succeeding year.
15. If any section, subsection, paragraph, sentence, clause, or phrase of
this Agreement is for any reason held or decided to be unconstitutional , such
decision shall not affect the validity of the remaining portions. The parties
hereto declare that they would have entered into this Agreement and each and every

PURCHASE OF SERVICES
THIS AGREEMENT, made and entered into this 2nd day of January, 1991, by and
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Weld County Division of Human
Resources' Area Agency on Aging, hereinafter referred to as "AAA," and RVNA HOME
CARE SERVICES, herein after referred to as "RVNA."
WITNESSETH:
WHEREAS, AAA is a public, non-profit agency designed to provide comprehensive
case management services for Weld County elderly who are at risk of losing their
ability to remain independent in the community, and
WHEREAS, AAA desires to achieve maximum efficiency and effectiveness among
all agencies serving the high risk elderly, and
WHEREAS, RVNA is a private, non-profit organization existing for the purpose
of providing nursing care, rehabilitation, and home health aide/homemaker aide
services to people of Weld County, and
WHEREAS, AAA and RVNA desire to work together to promote the case management
approach to service delivery for high risk elderly.
NOW, THEREFORE, it is mutually agreed:
1. AAA will purchase services from RVNA for the purpose of providing home
health aide/homemaker aide services to case management clients as such services
are needed to meet the client' s plan of care.
2. AAA will reimburse RVNA at a cost of $8.35 per hour of direct home
health aide/homemaker aide services to client.
3. AAA will reimburse RVNA $20.00 per physical assessment. The physical
assessment must be completed by an L.P.N. or R.N. RVNA will complete the
physical assessment within three (3) working days of the referral date. The
physical assessment request will be made by the case manager on behalf of the • -
case management client.

4. AAA will reimburse RVNA at a cost not to exceed $5.75 per for hour
travel time. (Travel time is defined as travel from home office to client
location and return to the home office. The travel reimbursement rate will vary
and will be contingent upon the average cost per hour for all home health
aides/homemaker aides within the RVNA agency. )
5. AAA will review all RVNA requests for case management services to
determine if the client meets the eligibility criteria for such services.
6. AAA will coordinate closely with RVNA in the writing and implementation
of client care plans.
7. AAA will adhere to the core steps of case management which will include
screening, functional assessment, service plan development, service plan
implementation, service plan review and monitoring, and termination planning.
8. RVNA agrees to assist AAA with assessments in cases where preexisting
health assessments do not exist. AAA requests for assessment assistance will be
rotated among three participating home health care agencies in a fair and
equitable manner.
9. RVNA understands that client choice will be respected when care plans
are developed that require home health care services when a preexisting home
health agency is not involved with the client.
10. RVNA agrees to complete a Direct Service Purchasing Request form and
receive approval from the AAA prior to implementation of client services.
11. RVNA agrees to keep records and make reports on forms required by AAA
and in accordance with guidelines issued by the State of Colorado and the
Administration on Aging, specifically: to submit monthly financial reimbursement
request forms to AAA by the 10th of each month.
12. AAA agrees to reimburse RVNA no later than two weeks following the
submittal of the reimbursement request.

13. RVNA understands that AAA is required to conduct periodic evaluations of
the activities conducted under this Agreement and to monitor on an ongoing basis
the performance of RVNA to ensure that quality services are being provided as
directed in the care plan.
14. Any changes, including increases or decreases of amount of compensation
for agreed upon services , shall be incorporated in written amendments to this
Agreement.
15. The project will be carried out in accordance with the federal program
and fiscal regulations , the policies established for grants by the State Agency,
and the terms and conditions of the project application approved by AAA in making
this award of funds , specifically, abiding by the dollar amounts as shown in the
budget by program and cost categories.
16. No portion of this Agreement shall be deemed to constitute a waiver of
any immunities the parties or their officers or employees may possess, nor shall

19. This Agreement will be in effect through December 31, 1991. This
Agreement may be terminated upon 30 days written notice by either party, and

PURCHASE OF SERVICES AGREEMENT
THIS AGREEMENT, made and entered into this 2nd day of January, 1991, by and
between the County of Weld, State of Colorado, by ano through the Board of County
Commissioners of Weld County, on behalf of the Weld County Division of Human
Resources' Area Agency on Aging, hereinafter referred to as "AAA," and RVNA Home
Care Services, Inc, hereinafter referred to as "RVNA."
WITNESSETH
WHEREAS, AAA develops and administers the Area Plan for a comprehensive and
coordinated system of services, and
WHEREAS, AAA serves as the advocate and focal point for older persons in Weld
County, and
WHEREAS, AAA desires to provide in home services to the frail , at risk elderly
in order to promote maximum independence for these elderly, and
WHEREAS, RVNA is a private, non-profit organization existing for the purpose of
providing home health care services to people of Weld County, and
WHEREAS, AAA desires to purchase home health aide/homemaker aide services from
RVNA.
NOW THEREFORE, it is mutally agreed:
1. AAA will purchase approximately 2,561 units (one unit equals one hour) of
home health aide and homemaker aide services for Weld County elderly in need of
support to remain independent in their own homes.
2. AAA will reimburse RVNA at a cost of $8.35 per hour of direct home health
aide/homemaker aide services to the client.
3. AAA will reimburse RVNA at a cost not to exceed $5.75 per hour for travel
time. (Travel time is defined as travel from home office to client location and
return to home office) .

4. RVNA agrees to support the goal of a comprehensive and coordinated system
of services by maintaining regular participation on the Long Term Care Coordinating
Committee.
5. The services of this Agreement are to commence within thirty (30) days
after the signing of this Agreement and shall be undertaken in such sequence as to
assure completion of all services required hereunder by December 31, 1991.
6. AAA agrees to reimburse RVNA for all eligible project costs up to but not
exceeding the sum of $21,390.00.
7. RVNA agrees to provide a minimum of 10% in-kind or case match based on the
total award as per the grant proposal .
8. RVNA agrees to document and report any project income received as a result
of services provided under this Agreement.
9. RVNA agrees to develop and utilize an advisory board which meets regularly
and is composed of members who represent the project participants and Weld County.
10. RVNA agrees to include the following statement in any written materials
(pamphlets, brochures, announcement, etc. ) or in any verbal presentations: RVNA is
supported, in part, by funds provided by the Weld County Area Agency on Aging
through the Older Americans Act."
11. RVNA understands that AAA is required to conduct periodic evaluation of the
activities conducted under this Agreement and to monitor on an ongoing basis the
performance of RVNA to ensure that the funds made available by this Agreement are
expended in keeping with the purposes for which they were awarded; and RVNA
accordingly agrees to cooperate fully with the AAA in the conduct of such evaluation
and monitoring, including the keeping and supplying of such information, and
providing access to documents and records to the AAA for the purpose of audit; and
further agrees to do all things necessary to enable AAA to fulfill its obligation to
the State of Colorado and the United States Government.

12. Any changes , including any increase or decrease in the amount of RVNA
compensation, and including changes in budget allocations which are mutually agreed
upon by and between the AAA and RVNA, shall be incorporated in written amendments to
this Agreement and in appropriate revisions to the grant proposal .
13. RVNA understands and agrees that the following provisions are part of the
official application and as such become binding upon commencement of the project.
a. Agrees that the project will be carried out in accordance with the
Federal program and fiscal regulations , the policies and procedures established for
grants by the State Agency, and the terms and conditions of the project application
approved by AAA in making this award of funds; specifically, agreeing to abide by
the dollar amounts as shown in the budget by program and cost categories.
b. Understands that if there is Federal/State costs unearned at the time
the project is terminated, this amount must be returned to the AAA unless the AAA
otherwise stipulates.
c. Understands that the project's fiscal affairs are subject to audit. If
costs are disallowed , the proportion of Federal/State funds disallowed must be
returned to the AAA.
d. Understands that this award is made for the period and amounts stated
in this Agreement. This Agreement in no way implies further funding which is
contingent upon the availability of funds and approval of future project
applications.
e. Agrees to keep records and make reports on the forms required by the
AAA and in accordance with guidelines issued by the State of Colorado and the
Administration on Aging, specifically:
. To submit a monthly financial and programmatic reports to the AAA by
the 10th of the following month;

immunities the parties or their officers or employees may possess, nor shall any
portion of this Agreement be deemed to have created a duty of care with respect to
any persons not a party of this Agreement.
15. No portion of this Agreement shall be deemed to create an obligation on the
part of the County of Weld, State of Colorado, to expend funds not otherwise
appropriated in each succeeding year.
16. If any section, subsection, paragraph, sentence, clause, or phrase of this
Agreement is for any reason held or decided to be unconstitutional , such decision
shall not affect the validity of the remaining portions. The parties hereto declare
that they would have entered into this Agreement and each and every section,
subsection, paragraph, sentence, clause, and phrase thereof irrespective of the fact
that any one or more sections , subsections , paragraphs , sentences, clauses, or
phrases might be declared to be unconstitutional or invalid.

purpose of providing assistance to low-income people, and
WHEREAS, AAA desires that CCSN provide outreach to Spanish surnamed
elderly, and
WHEREAS, AAA desires to purchase services from CCSN to establish the
Spanish Outreach Program for the isolated and needy Spanish speaking elderly
in Weld County,
NOW THEREFORE, it is mutually agreed:
1. The AAA hereby agrees to award grant monies (under the Older
Americans Act) in the sum of $25,653.00 to CCSN.
2. CCSN agrees to provide 2,550 units of outreach services to 240
isolated and homebound Spanish surname elderly of Weld County to
help them in gaining access to needed services.
3. CCSN agrees to utilize and coordinate with existing community
services with particular emphasis on the utilization of home health
care, adult day care, legal aide, peer counseling, nutrition, and
alternative housing services.
4. CCSN agrees to support the goal of a comprehensive and coincluYe d 1
system of services by maintaining regular participation on the Long
Term Care Coordinating Committee.
5. CCSN agrees to support and actively participate in the AAA Case
Management Demonstration Project by making appropriate referrals to
case management and by making outreach services available to case
management participants on a priority basis as funding allows.
6. The services of this Agreement are to commence within thirty (30)
days after the signing of this Agreement and shall be undertaken in
such sequence as to assure completion of all services required
hereunder by December 31, 1991.
7. The AAA agrees to reimburse CCSN for all eligible project costs up
to but not exceeding the sum of $25,653.00.
8. CCSN agrees to provide a minimum of 10% in-kind or cash match based
on the total award as per the grant proposal .
9. CCSN agrees to document and report any project income received as a
result of services provided under this Agreement.
10. CCSN agrees to include the following statement in any written
materials (pamphlets, brochures, announcements, etc. ) or in any

2. CCSN agrees to provide 1,400 units of respite services to 24 families,

WHEREAS, MOW is a private, non-profit organization existing for the purpose
of providing home delivered meals to low-income people, and
WHEREAS, AAA desires that MOW provide, through experienced staff and volun-
teers , expertise in preparing and delivering meals to the homebound elderly, and
WHEREAS, AAA desires to purchase services from MOW to provide home delivered
meals to low-income elderly in need,
NOW THEREFORE, it is mutually agreed:
1. The AAA hereby agrees to award grant monies (under the Older Americans
Act) in the sum of $29,575.00 to MOW.
2. MOW agrees to provide 34,000 home delivered meals to 130 homebound, 2000
meals and 30 individuals to be minority.
3. MOW agrees to provide home delivered meals to those elderly in the
greatest economic and social need.

4. MOW agrees that meals served under this part will meet one-third (1/3) of
the current recommended daily allowance requirements for nutrition as established
by the Food and Nutrition Board of the National Academy of Sciences - National
Research Council .
5. MOW agrees to support the goal of a comprehensive and coordinated system
of services by maintaining regular participation on the Long Term Care
Coordinating Committee.
6. MOW agrees to coordinate with the CareLink (Weld County Case Management
Program) Project by making appropriate referrals to CareLink and by making home
delivered meals available to CareLink participants on a priority basis as
resources allow.
7. The services of this Agreement are to commence within thirty (30) days

19. This Agreement may be terminated upon thirty (30) days written notice by
either party. This Agreement shall be terminated immediately in the event of loss
of funding to the Area Agency on Aging.
