PARTIAL ASSIGNMENT OF OIL AND GAS LEASE
THIS PARTIAL ASSIGNMENT is made this 13th day of December,1990,by and between THE
MACEY CORPORATION("Macey")and MERSHON,INC.("Mershon"),both Colorado corporations,1600
Broadway,Ste.1760,Denver,CO 80202;as Assignors;and TOWER ENERGY CORPORATION,1600
Broadway,Ste,2150,Denver,CO 80202("Cower"),as Assignee.
1. ASSIGNMENT. For S10 and other valuable consideration,the receipt and sufficiency of
which are hereby acknowledged,MACEY and MERSHON do hereby transfer,convey,grant,assign and set
over unto TOWER all of their right,title and interest in and to that certain oil and gas lease(the"Lease")
dated February 3,1978,recorded in Book 822 under Rec.No.1743562,from Fred Arens,Jr.,Anna M.Arens,
and Richard L.Arens,as Lessors,to W.B.Macey and Paul M.Mershon,Jr.,as Lessees,insofar,and ONLY
INSOFAR,as the Lease covers the SE%of Section 23,Township 4 North,Range 65 West,6th P.M.,Weld
County,Colorado.
2. PROPORTIONATELY SUBJECTTO EXISTING BURDENS.The interest herein assigned
shall be proportionately subject to all burdens,restrictions,exceptions,reservations,conditions,limitations,
charges,agreements and other matters of record in the real property records of Weld County.
3. SPECIAL WARRANTY.Macey and Mershon warrant title to the leasehold interest herein
assigned as to all parties claiming by,through or under Macey and Mershon,but not otherwise.
IN WITNESS WHEREOF,this instrument is executed as of the date above set fonh,but shall be
effective for all purposes as of January 1,1990.
