RE: APPROVE AGREEMENT WITH WELD ADOLESCENT RESOURCES, INC. , AND ALTERNATIVE
HOMES FOR YOUTH AND AUTHORIZE CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statute and the Weld County Home Rule Charter, is vested
with the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement among Weld
Adolescent Resources, Inc. , Alternative Homes for Youth, and the Weld County
Department of Social Services, commencing November 1, 1993, and ending June 30,
1994, with further terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said
agreement, a copy of which is attached hereto and incorporated herein by
reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, ex-officio Board of Social Services, that the Agreement among
Weld Adolescent Resources, Inc. , Alternative Homes for Youth, and the Weld County
Department of Social Services be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is,
authorized to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded,
adopted by the following vote on the 10th day of January, A.D. , 1994, nunc pro
tunc November 1, 1993.

AGREEMENT AMONG WELD ADOLESCENT RESOURCE, INC. ,
ALTERNATIVE HOMES FOR YOUTH, AND
WELD COUNTY DEPARTMENT OF SOCIAL SERVICES
This Agreement made and entered into this /� day of January, 1994,
by and among the Weld Adolescent Resources, Inc. , hereinafter referred to as
"Contractor", the Alternative Homes for Youth, Inc. , hereinafter referred to
as "Alternative Homes," and the Weld County Department of Social Services,
hereinafter referred to as "Social Services."
WITNESSETH:
WHEREAS, the Contractor has contracted with the State of Colorado under
Senate Bill 94 to receive and transfer funds from the State for adolescent
services approved by the Nineteenth Judicial District Juvenile Planning
Committee; and
WHEREAS, the Nineteenth Judicial District Planning Committee has
approved day treatment/home based services for adolescents with Alternative
Homes; and
WHEREAS, Alternative Homes is an approved vendor of the Colorado
Department of Social Services to provide day treatment/home based services to
eligible adolescents of Social Services; and
WHEREAS, the Nineteenth Judicial Planning Committee and Social Services
have agreed to participate in a joint day treatment/home based program for
adolescents through Alternative Homes; and
WHEREAS, Social Services has agreed to refer its eligible adolescents
to such day treatment/home based services approved by the Nineteenth Judicial
Planning Committee and to fully reimburse Alternative Homes for services
according to reimbursement requirements of the Colorado Department of Social
Services; and
WHEREAS, the Contractor has agreed to in turn partially reimburse
Social Services for its costs associated in fully reimbursing Alternative
Homes for day treatement/home based services for youth who are participating
in the joint program; and
WHEREAS, the required approval, clearance and coordination has been
accomplished from and with appropriate agencies.
NOW THEREFORE, in consideration of the premises, the parties hereto
covenant and agree as follows:
1. Term
This Agreement shall become effective November 1, 1993, through June
30, 1994.

2. Alternative Homes Responsibilities
a. Alternative Homes shall provide day treatment/home based services
to eligible youth of Social Services in accordance with Colorado
State Department of Social Services' regulations and in
accordance with bid performance criteria approved by the
Nineteenth Judicial Planning Committee.
b. Alternative Homes shall provide proper and timely invoices and
verification of day treatment/home based services as prescribed
by Social Services and performed for reimbursement by Social
Services.
c. Alternative Homes shall provide performance reports as prescribed
by the Contractor under the terms of the approved bid of the
Nineteenth Judicial Planning Committee.
d. Alternative Homes certifies that, at the time of entering and
during this Agreement, it has currently in effect all necessary
licenses, approvals, insurance, etc. , required to properly
provide the services and/or supplies covered by this Agreement.
3. Social Services Responsibilities
a. Social Services agrees to refer eligible youth to Alternative
Homes for day treatment/home based services.
b. Social Services shall fully reimburse Alternative Homes for day
treatment/home based services according to Colorado Department of
Social Services regulations.
c. Social Services may withhold any payment to Alternatives Homes
for failure to comply with program objectives, reporting
requirements, and contractual terms as provided by the Colorado
Department of Social Services.
d. Social Services agrees to submit proper documentation to the
Contractor for partial reimbursement, on a monthly basis, for day
treatment/home based services provided by Alternative Homes
according to prescribed forms and procedures of the Contractor.
e. Social Services shall immediately terminate the project if the
Contractor discontinues its partial reimbursement to Social
Services.

4. Contractor Responsibilities
a. The Contractor shall reimburse Social Services monthly for 20% of
its full day treatment/home based costs associated to and under
the approved Bid for Proposal to the Nineteenth Judicial Planning
Committee for services performed by Alternative Homes. The
partial reimbursement will offset Social Services local share of
the full reimbursement costs.
b. The Nineteenth Judicial Planning Committee shall monitor the
performance of Alternative Homes according to the program
objectives and criteria of its approved bid proposal. The
Nineteenth Judicial Planning Committee shall provide the
prescribed forms and procedures necessary for the performance
reporting of Alternative Homes.
c. The Contractor shall provide the procedures necessary for the
reimbursement of Social Services and the performance reporting of
Alternative Homes. Social Services shall submit an invoice to
the Contractor for purposes of reimbursement.
5. Assurances
The parties shall abide by all assurances as set forth in the attached
Exhibit A, which is attached hereto and incorporated herein by
reference.
6. Modification of Agreement
All modifications to this Agreement shall be in writing and signed by
all parties.
7. Termination
This Agreement may be terminated at any time by either party given
thirty (30) days written notice and is subject to the availability of
funding.
8. Entire Agreement
This Agreement, together with all attachments hereto, constitutes the
entire understanding between the parties with respect to the subject
matter hereof, and may not be changed or modified except as stated in
Paragraph 6 herein.

EXHIBIT A
ASSURANCES
1. The parties agree that each party is an independent contractor, and no
employees, agents or partners of the other and that neither is subject
to the direction or control of the other except as this Agreement
states herein.
2. No portion of this Agreement shall be deemed to constitute a waiver of
any immunities, the parties or their officers or employees may possess,
nor shall any portion of this Agreement be deemed to have treated a
duty of care with respect to any persons not a party to this Agreement.
3. No portion of this Agreement shall be deemed to create an obligation on
the part of the Contractor to expend funds not otherwise appropriated
in each succeeding year.
4. If any section, subsection, paragraph, sentence, clause, or phrase of
this Agreement is for any reason held or decided to be
unconstitutional, such decision shall not affect the validity of the
remaining portions. The parties hereto declare that they would have
entered into this Agreement and each and every section, subsection,
paragraph, sentence, clause, and phrase thereof irrespective of the
fact that any one or more sections, subsections, paragraphs, sentences,
clauses, or phrases might be declared to be unconstitutional or
invalid.
5. Parties assure that authorized local, Federal, and State auditors and
representatives shall, during business hours, have access to inspect
any copy records, and shall be allowed to monitor and review through
on-site visits, all contract activities, supported with funds under
this Agreement to ensure compliance with the terms of this Agreement.
Contracting parties agree that monitoring and evaluation of the
performance of the Agreement shall be conducted by appropriate funding
sources. The results of the monitoring and evaluation activities shall
be provided to the appropriate and interested parties.
6. This Agreement shall be binding upon the parties hereto, their
successors, heirs, legal representatives, and assigns. The parties may
not assign any of its rights or obligations hereunder without the prior
written consent of all parties.

DATE: January 3, 1994
Enclosed is an Agreement among Weld Adolescent Resource, Inc. , Alternative
Homes for Youth, and Weld County Department of Social Services. The purpose
of the Agreement is to outline the terms of a joint day treatment/home based
program for adolescents between the Nineteenth Judicial Planning Committee
and Social Services.
The major provisions of the Agreement are as follows:
1. The term of the Agreement is from November 1, 1993 through
June 30, 1994
2. The Weld Adolescent Resource, Inc. will reimburse Social Services the
20%, or the equivalent to the County share, of its total day
treatment/home based costs. The Weld Adolescent Resource, Inc. is the
fiscal agent of the Nineteenth Judicial District Planning Committee and
obtains its funding from Senate Bill 94 funds for adolescent services.
3. Social Services will directly contract with Alternative Homes for Youth
for each adolescent receiving day treatment/home based services
according to State Department. of Social Services' guidelines.
4. The Nineteenth Judicial Planning Committee will monitor the services
provided by Alternative Homes for Youth according to the approved bid
specifications submitted by Alternative Homes for Youth to the Planning
Committee.
