RE: APPROVE AMENDMENT NO. 1 TO MONITORING SERVICE AGREEMENT BETWEEN BI
MONITORING CORPORATION AND SHERIFF'S DEPARTMENT AND AUTHORIZE CHAIRMAN TO
SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statute and the Weld County Home Rule Charter, is vested
with the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with Amendment No. 1 to Monitoring
Service Agreement between Bi Monitoring Corporation and Weld County Sheriff's
Department, commencing January 1, 1994, with further terms and conditions being
as stated in said amendment, and
WHEREAS, after review, the Board deems it advisable to approve said
amendment, a copy of which is attached hereto and incorporated herein by
reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that Amendment No. 1 to Monitoring Service Agreement between
Bi Monitoring Corporation and Weld County Sheriff's Department be, and hereby is,
approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is,
authorized to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded,
adopted by the following vote on the 29th day of December, A.D. , 1993.

AMENDMENT NO. 1
TO THE
MONITORING SERVICE AGREEMENT
EFFECTIVE September 5, 1990 (the "Agreement")
BETWEEN
BI MONITORING CORPORATION ("Provider")
AND
WELD COUNTY SHERIFF'S DEPARTMENT ("Agency")
This Amendment is entered into by and between WELD COUNTY SHERIFF'S DEPARTMENT
("Agency") and BI MONITORING CORPORATION ("Provider").
In consideration of the premises contained herein, and for other good and valuable consideration,
receipt of which is hereby acknowledged, the parties hereto, desiring legally to be bound, hereby
agree as follows:
1. With respect to the above referenced Agreement, as of January 1, 1994, Exhibit A is hereby
amended as follows:
a. The Active Unit Rate for Home Escort System units installed by Agency staff shall be $6.50
per unit per day.
b. Agency is entitled to a no charge spare allowance to be applied against Inactive Unit Days
(the "Allowance"). The Allowance shall be the number of days which equal ten percent
(10%) of the Active Units days incurred by Agency in any given month. The Allowance
for any given month may only be applied against Inactive Unit Days incurred in that same
month. Unused or unapplied portions of the Allowance may not be retroactively applied
nor carried forward to other months.
c. If the inactive units exceed 10%, Agency shall notify Provider for pick-up. If the units
have not been received by Provider after five (5) days, they shall be subject to a $3.00 per
unit per day (Inactive Unit Rate) charge.
2. Capitalized terms used herein, and not otherwise defined shall have the meaning as set forth in
the Agreement. All other terms and conditions of the Agreement, except as expressly
amended herein, shall remain in full force and effect.
IN WITNESS WHEREOF, Weld County Sheriff's Department and BI Monitoring Corporation have
executed this Amendment as of DEC. 29 , 1993.

Dear Mr. Amato:
At the direction of Eric Hanselman, I have enclosed Amendment No. 1 to the Monitoring
Service Agreement dated September 5, 1990. The Active Unit Rate for the Agency installed
Home Escort System units has been reduced from $8.50 to $6.50, a 10% inactive unit allotment
is provided, and the Inactive Unit Rate is reduced from $4.50 to $3.00. Please review the
Amendment, have it signed, and return both counterparts to my attention. Upon my receipt, I
will forward one fully executed copy to you for your records. Feel free to contact Eric or me
should you have any questions.
