Aft2406344 ASSIGNMENT OF OIL AND GAS LEASEHOLD INTERESTS
(Weld County,Colorado)
THIS ASSIGNMENT is made this 24th day of August,1994,by and between W.B.MACEY,
an individual, 1600 Broadway,Suite 1900,Denver,CO 80202("Macey"),as Assignor;and NORTH
AMERICAN RESOURCES COMPANY, a Montana corporation, 16 East Granite, Butte, MT
59701 ("Narco"), as Assignee.
1. Background. Macey intended to assign all of his oil and gas leasehold interests in the oil and
gas leases(the"Leases')described on the attached Exhibit A insofar as the Leases cover the specific
lands in Weld County shown on said Exhibit(but free of any depth limitations), effective January
1, 1990;by oversight,however,no such assignment from Macey was ever placed of record. By this
instrument,Macey corrects this oversight by his assignment of all his oil and gas leasehold interests
in the Leases, insofar as they cover all lands described on Exhibit A, to Narco, effective as of
January 1, 1990.
2. Assignment of Leasehold Interests. For and in consideration of the payment of$100 by
Narco to Macey, the receipt and sufficiency of which are hereby acknowledged, MACEY does
hereby transfer,assign,convey,and set over unto NAACO all of his leasehold right,title and interest
in and to the Leases,insofar as they cover the specific lands in said Weld County,as to all depths,
described on the attached Exhibit A.
3. Overriding Royalty Interests Excluded.This assignment shall NOT be effective to assign any
overriding royalty interests now in the name of W.B.Macey. This assignment shall be effective only
to assign oil and gas leasehold interests.
4. Proportionately Subiect to Existing Burdens. The interests herein assigned shall be
proportionately subject to all burdens,restrictions,exceptions,reservations,conditions,limitations,
charges,agreements and other matters of record in the real property records of Weld County.
5. Warranties. This assignment is made without warranty of title,express or implied,and shall
be effective for all purposes as of January 1,1990.
