RE: APPROVE AGREEMENT BETWEEN WELD COUNTY HEALTH DEPARTMENT AND PLAN DE SALUD
DEL VALLE, INC. , AND AUTHORIZE CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statute and the Weld County Home Rule Charter, is vested
with the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement between the Weld
County Health Department and Plan de Salud del Valle, Inc. , commencing November
11, 1991, and ending July 31, 1993, with the further terms and conditions being
as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said
agreement, a copy of which is attached hereto and incorporated herein by
reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Agreement between the Weld County Health Department
and Plan de Salud del Valle, Inc. , be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is,
authorized to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded,
adopted by the following vote on the 6th day of January, A.D. , 1992, nunc pro

AGREEMENT BETWEEN PLAN DE SALUD DEL VALLE, INC. AND WELD COUNTY
HEALTH DEPARTMENT
Effective Date: November 11, 1991
Parties: Plan de Salud del Valle, Inc. , a Colorado not-for-
profit corporation, hereinafter referred to as "SALUD" whose
principal business offices and mailing address is located at 1115
Second Street, Fort Lupton, Colorado 80621, and the Weld County
Health Department whose principal business offices and mailing
address is located at 1517 16th Avenue Court, Greeley, Colorado
80631.
Term: The term of this agreement is indefinite, though subject
to termination as provided below.
Termination: Either party may terminate this agreement by giving
written notice to the other party. The effective termination
date of the agreement will be at the end of the business day
thirty (30) days after the written notice is either postmarked or
hand delivered to the other party.
Duties and Responsibilities of SALUD: SALUD agrees to pay the
Weld County Health Department its portion of monies reimbursed to
SALUD by the State of Colorado under the terms of the Breast and
Cervical Cancer Screening Initiative Contract. This portion will
be determined by the Weld County Health Department's submission
of Attachment E of the Contract and SALUD's subsequent billing
based on the information provided on Attachment E. SALUD assumes
no financial obligation to pay the Weld County Health Department
from any other funds except those provided through the Breast and
Cervical Cancer Screening Initiative Contract and paid to SALUD
by the State of Colorado. Should the State of Colorado withhold
funds, terminate the Contract or in any other manner be unable to
meet the terms of the Contract, SALUD shall have no intended nor
implied obligation to fulfill the outstanding bills submitted by
the Weld County Health Department under this agreement.
Duties and Responsibilities of the Weld County Health Department:
The Weld County Health Department agrees to provide SALUD will
regular billings using Attachment E. The Weld County Health
Department also agrees to abide by all the terms of the Contract
including the obligations regarding audits, quality assurance
reports, criteria for patient eligibility etc. In addition, the
Weld County Health Department agrees to maintain supporting
documentation of billing and to provide documentation to the
State of Colorado upon request.
Billing: The State of Colorado will be billed the first week of
each month. All Attachment E's received by SALUD in a timely
manner from the Weld County Health Department will be included
in the SALUD billing cycle. Upon payment by the State of Colora-
do, SALUD will forward within five working days the portion
belonging to the Weld County Health Department.
Authority: Each party to this Agreement represents that he/she
has full and complete authority to bind that party to perform any
and all of the provisions of this Agreement.

Subject: Agreement with Plan de Salud del Valle, Inc.
Enclosed for Board approval is an agreement between the Weld County Health
Department and Plan de Salud del Valle, Inc.
The Health Department and Plan de Salud are part of the Weld County Consortium
who applied for and were awarded grant funds from the Colorado Department of
Health's Breast and Cervical Cancer Screening Initiative. The Health
Department is a sub-contractor with Plan de Salud and will be reimbursed as
outlined in the grant.
The term of the contract will be from November 11, 1991 through the end of the
grant period, July 31, 1993.
