Operator agrees to pay the sum of $12,500/year in 1992 0 ; o towards maintenance of WCR 5 . The annual payments shall become due U q on or before October 1, 1992 , and on the same date in each a 0 3 succeeding year. The payment shall be adjusted in each succeeding o a `9- q year for inflation according to changes in the Producer Price Index a for Total Finished Goods published by the Bureau of Labor ma ^ Statistics of the United States Department of Labor. .. o rn o � 2 . Should the volume of truck traffic using WCR 5 to access w m v the facility exceed an average daily count of 200 trucks per day, ; z o H the applicant will pay an additional $5,500 per year in 1992 � w E a dollars as adjusted as set forth in paragraph 1 herein. w m w 3 . Financial assurance for this Agreement shall be provided r W rn by payment by Operator of $12 ,500 on or before January 22, 1992, N 4 o which shall constitute payment for the last year of operation. r C.) C4 a 4 . Weld County agrees to place the funds generated pursuant ✓ �n ▪ N to this Agreement in a restricted account within the Road & Bridge m m � ca w fund which account shall be used only for maintenance of WCR 5 between State Highway 7 north for a distance of two (2) miles . Maintenance activities shall be performed at the sole discretion of the Board and may include, chip and seal, patching, crack filling, and overlay activities and may be performed pursuant to contract with private or public entities or by employees of the Board as directed by the Board. 5 . Board agrees to provide an annual accounting of the use of said funds to Operator and to the public. Page 2 of 6 Pages - o 6 . Successors and Assigns . All covenants and agreements 0 o contained in this Agreement by or on behalf of any of the parties 41, O hereto will bind and inure to the benefit of the respective a o w successors and assigns of the parties hereto whether so expresse 03 o a or not. Upon transfer of the Facility by Operator following d> w approval of such transfer by Board, Operator shall be released from o U co a any further liability hereunder and the transferee shall be N substituted as Operator. ox w 7 . Severability. Whenever possible, each provision of this IN mU Z Agreement will be interpreted in such manner as to be effective and O N H valid under applicable law, but if any provision of this Agreement is held to be prohibited by, or invalid under, applicable law, such r- w w provision will be ineffective only to the extent it is prohibited N1 < or invalid and the remaining provisions of this Agreement shall 0 w � remain in full force and effect. oc r 1/4o 8 . Descriptive Headings . The descriptive headings of this U1 N � Agreement are inserted for convenience only and do not constitute ww a part of this Agreement. 9 . Governing Law. All questions concerning the construction, validity and interpretation of this Agreement, and the Trust Agreement, will be governed by the statutes, rules and regulations of the United States specifically applicable and the internal laws of the State of Colorado. 10 . Entire Agreement; Amendments . This Agreement constitutes the entire Agreement of the parties hereto. No portion of this Agreement shall be deemed a oo to constitute a waiver of any immunities the parties or their o P te- q officers or employees may possess, nor shall any provision of this a wAgreement be construed to create any duty, standard of care or co ^ rights in favor of any third parties with respect to any obligation o o o a created by this Agreement. W rn 12 . The parties recognize that Weld County Road 5 may be ; z o H annexed into a municipality. Notwithstanding any provision to the � w .+ H a contrary in paragraph 6 , it is the intent of the parties that this w rn w Agreement remain in effect between the original parties provided N G. o z that Weld County continues to have some responsibilities for N a' o r maintenance either for services or financial contribution, by means o g a g of an Intergovernmental Agreement with the annexing municipality. rr � N The Agreement may be assigned and delegated to the MCV A w annexing municipality upon the express written consent of the parties and the annexing municipality. 13 . Notices . All notices, demands or other communications to be given or delivered under or by reason of the provisions of this Agreement will be in writing and will be deemed to have been given when (a) delivered personally or by courier, with a signed proof of receipt, or (b) placed in the U.S. mail by means of certified or registered mail, return receipt requested and postage prepaid, to Page 4 of 6 Pages 9 11O0 r o oU 0 ° v the recipient.
