RE: AUTHORIZE WELD COUNTY TO JOIN WITH OTHER LOCAL GOVERNMENT ENTITIES AS A
PARTICIPANT IN THE COLORADO STATEWIDE ASSET TRUST (CSWAT) IN ORDER TO POOL
FUNDS FOR INVESTMENT
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statute and the Weld County Home Rule Charter, is vested
with the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, pursuant to Section 24-75-701 et seq. , C.R.S. as amended, it is
lawful for any county, city and county, city, town, school district, or special
district (a Local Government Entity) to pool any moneys in its treasury, which
are not immediately required to be disbursed, with the same such moneys in the
treasury of any other Local Government Entity in order to take advantage of
short-term investments and maximize net interest earnings, and
WHEREAS, CSWAT is a trust formed under the laws of the State of Colorado
in accordance with the provisions of Section 24-75-601 et seq. , C.R.S. as
amended, for the purpose of investing, pooling for investment and protection of
public funds, and
WHEREAS, Weld County desires to participate in CSWAT in accordance with the
terms and provisions thereof.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado that the County of Weld, Colorado, hereby approves and adopts,
and thereby joins as a Participant with other Local Government Entities pursuant
to Section 24-75-701 et seq. , C.R.S. as amended, that certain Indenture of Trust
entitled the Colorado Statewide Asset Trust (CSWAT) dated as of December 23,
1991, as amended from time to time, the terms of which are attached hereto and
incorporated herein by this reference.
BE IT FURTHER RESOLVED by the Board that Francis M. Loustalet, Weld County
Treasurer, who is the local government official empowered to invest the funds in
this Local Government Entity's treasury, is hereby designated the "Treasurer",
as that term is defined in the Indenture of Trust, and as such is hereby
designated our official representative to CSWAT and shall serve as a member of
the Board of Participants of CSWAT and is hereby authorized and directed to
execute the Indenture of Trust and such other documents as are required.
BE IT FURTHER RESOLVED by the Board that the "Treasurer" designated above
is hereby authorized to invest from time to time the moneys in this Local
Government Entity's treasury, which are not immediately required to be disbursed,
in CSWAT by purchasing Shares in CSWAT from time to time with available funds,
and to redeem some or all of those Shares from time to time as funds are needed
for other purposes.

RE: AUTHORIZE CSWAT PARTICIPATION
BE IT FURTHER RESOLVED by the Board that the Board of Trustees of CSWAT,
or their successors in function, are hereby designated as the official custodian
of such funds as are deposited in CSWAT by Weld County during such time or times
as funds may be on deposit with CSWAT.
The above and foregoing Resolution was, on motion duly made and seconded,
adopted by the following vote on the 23rd day of December, A.D. , 1991.

CERTIFICATION
The undersigned hereby certify that Weld County has enacted the attached
resolution authorizing Weld County to participate in the Colorado Statewide Asset
Trust (CSWAT) in order to pool funds for investment, and said resolution is
currently in effect.
The undersigned affirm that we have read the Trust's Information Statement
and agree to be bound by its terms.
The undersigned agree that the certifications, instructions, and
authorizations contained in this Trust Registration Form will remain in effect
until the Trust receives written notice of change.
