RE: APPROVE PURCHASE OF SERVICES AGREEMENT BETWEEN SENIOR NUTRITION PROGRAM
AND UNIVERSITY OF NORTHERN COLORADO AND AUTHORIZE CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statute and the Weld County Home Rule Charter, is vested
with the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Purchase of Services Agreement
between the Area Agency on Aging's Weld County Senior Nutrition Program and the
University of Northern Colorado, commencing January 15, 1993, and ending December
31, 1997, with the further terms and conditions being as stated in said
agreement, and
WHEREAS, after review, the Board deems it advisable to approve said
agreement, a copy of which is attached hereto and incorporated herein by
reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Purchase of Services Agreement between the Area Agency
on Aging's Weld County Senior Nutrition Program and the University of Northern
Colorado be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is,
authorized to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded,
adopted by the following vote on the 21st day of December, A.D. , 1992.

PURCHASE OF SERVICES AGREEMENT
THIS AGREEMENT, made and entered into this 15th day of January, 1993, by
and between the Weld County Division of Human Resources' Senior Nutrition
Program, hereinafter referred to as the "Program," and the University of Northern
Colorado, hereinafter designated as the "Vendor."
In consideration of the mutual premises and covenants contained herein, the
Program and Vendor agree as follows:
1. The Vendor shall prepare meals, as specified by the Program's Nutrition
Consultant, Monday through Friday except on vacation and storm days.
2. The Program will reimburse the Vendor $2.80 for a complete meal
including 1/2 pint of milk. The cost of raw food including 1/2 pint of milk will
not exceed $1.30 per serving.
3. The Vendor agrees that the Weld County Nutrition Consultant will write
the menus in accordance with standards set by the Older Americans Act and the
State Department of Social Services. The Program agrees that such menus will be
made available to the Vendor at least three weeks in advance of each menu cycle
change.
4. The Vendor agrees that the Program may provide the Vendor with donated
commodities made available through the United States Department of Agriculture.
The Vendor shall provide storage for such commodities in accordance with USDA
storage guidelines.
5. The Vendor agrees that the donated commodities will be used for the
benefit of persons receiving meals provided through the Vendor to the Program.
6. The Vendor agrees that the cash value of the commodities will be
deducted from the cost of meals provided to the Program.
7. The Vendor agrees that when purchasing food products with federal
funds, the Vendor shall, when possible, purchase only food products that are
produced in the United States. The purchase requirement does not apply in
instances when (1) recipients have unusual or ethnic food preferences that can
only be met through purchases of products not purchased in the United States; (2)
the product is not produced in the United States in sufficient quantity and
quality; or (3) the cost of the United States product is significantly higher
than foreign products.
8. The Vendor agrees to maintain the nutritional standards set forth by the
Program and not substitute menu selections without the permission of the Program.
9. The Program agrees not to interfere with the existing activities of the
Vendor.
10. The Vendor understands that State and Federal funding sources may
request the opportunity to review all records maintained by the Vendor for the
Program for auditing purposes including inspection of areas set aside for the
storage of commodities.

11. The Program will reimburse the Vendor on a monthly basis. The Vendor
agrees to submit the necessary reimbursement vouchers by the seventh working day
of each month.
12. The term of the Agreement shall be from January 15, 1993 through
December 31, 1997. The Agreement will be evaluated in November of each year by
both parties and the terms of the Agreement will be mutually agreed upon and
established in an amendment to the agreement.
13. This Agreement may be amended at any time upon 60 days written notice
by either the Program or Vendor with the consent of both parties. This Agreement
shall be terminated immediately in the event of a loss of funding to the Program.
IN WITNESS WHEREOF, the Program and the Vendor have executed this Agreement
as of the date first written above.

Purchase of Services Agreement between Area Agency on Aging's
Subject:Senior Nutrition Program and University of Northern Colorado
Enclosed for Board approval is a Purchase of Services Agreement
between the Area Agency on Aging' s Weld County Senior Nutrition
Program and the University of Northern Colorado Food Service.
This Agreement allows the Weld County Senior Nutrition Program
to purchase approximately 72,000 meals annually for $2.80 per
meal to be provided to over 2,500 seniors annually throughout
Weld County.
