Home My WebLink About900254.tiff RESOLUTION RE : APPROVE RENEWAL AGREEMENT WITh TRW, INC. , AND AUTHORIZE CHAIRMAN TO SIGN WHEREAS , the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Renewal Agreement with TRW, Inc. , and WHEREAS, the terms and conditions of said Agreement are as stated in the Agreement, and WHEREAS, after study and review, the Board deems it advisable to approve said Agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Renewal Agreement with TRW, Inc. , be, and hereby is, approved . BE IT FURTHER RESOLVED by the Board that the Chairman be , and hereby is, authorized to sign said Agreement. Equipment Leased. TRW agrees to lease to Subscriber during the term of this Lease the equipment listed in the Schedule of Equipment below. 2. Term. This Lease Agreement shall become effective upon the date it is accepted by TRW in writing at an office of TRW.After installation of the equipment the initial term of the rental period shall commence with the first period for which the Subscriber is charged rental in accordance with • Section 1.The initial term of the rental period shall be one (1)year.At the expiration of the initial term,the term shall automatically extend there- after on a month to month basis without further act of the parties, unless either party gives at least ninety (90) days written notices to the other party at the end of the initial or any renewal term. Any equipment or service to be supplied hereunder by TRW, may be supplied by any third parties who have subcontracted with TRW to supply same,and any performance by such a third party shall.for the purposes of this Agreement, be deemed to be performance by TRW. 4. Installation and Location. TRW will install the equipment as described on the Schedule of Equipment in accordance with directions furnished by Subscriber.The terminal installation charge set forth on the face hereof will be invoiced after completion of installation and check- out.The installed equipment leased hereunder shall not be relocated by Subscriber without the prior written permission of TRW.Subscriber shall secure for TRW or its subcontractors access to the premises for the purposes of installation and maintenance. Subscriber shall be liable for any damage by unauthorized relocation or by negligent use or misuse of equipment covered in this lease. 5. Maintenance. Periodic and normal remedial maintenance during normal working hours, Monday through Friday, excluding holidays, are included in the monthly rental. At the option of TRW, any equipment may be replaced rather than repaired. 6. Connection to Common Carriers. Telephone or other communication equipment connecting leased equipment to the TRW system will be provided and paid for by Subscriber. 7. Rentals. Subscriber will pay TRW for the equipment and services during the term as listed on the Schedule of Equipment.TRW may increase prices for any period after the initial term upon thirty (30) days written notice; provided, however that Subscriber may, by written notice to TRW given within ten (10) days alter receipt al TRW's notice of any price increase, elect to treat such notice by TRW as a notice of termination of this - Lease effective ninety (901 days from Subscriber's receipt of TRW's notice, and upon such election, the price increase shall not apply and this Lease Agreement shall terminate ninety 190) days front Subscriber's receipt of TRW's notice of price increase.The charges payable to TRW under this Lease Agreement exclude State and local sales taxes.Any ad valorum or other property tax levied in Subscriber's jurisdiction and any filing respecting same are the responsibility of Subscriber. 8. Liability Limitation. TRW or its subcontractors will exercise all reasonable efforts to perform the services and furnishing parts and equipment as provided herein, but shall not be liable for delays or failure to do so caused by Acts of God. government, labor difficulties,failure of transpor- tation, short supply or other causes beyond their control, or for interruption in the operation of the equipment and in no event whether caused by negligence or otherwise,for any incidental,consequential or special damages whatsoever.Subscriber shall be responsible for any loss,damage or destruction of the equipment in its possesion and will make the equipment available to TRW upon the termina- tion, cancellation or expiration of this Lease Agreement in the same condition as received.subject only to reasonable wear and tear resulting from normal usage, and will pay the applicable terminal removal charge specified on the face hereof upon the removal of a terminal from the Subscri- ber's premises. 9. Contract in Entirety; Law. This Agreement sets forth the entire understanding and agreement between TRW and Subscriber and super- sedes any prior or contemporaneous oral or written agreements or representations:it may be modified by a written amendment duly executed by both parties. This is a renewal agreement to retain a credit bureau terminal that assists us in our Child Support work. The main purpose in using the terminal is to locate Child Support clients when a social security number is not immediately available.
