RE: APPROVE PURCHASE OF SERVICES AGREEMENT BETWEEN HEALTH DEPARTMENT AND
NORTHERN COLORADO CYTOLOGY SERVICE AND AUTHORIZE CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statute and the Weld County Home Rule Charter, is vested
with the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Purchase of Services Agreement
between the Weld County Health Department and Northern Colorado Cytology Service,
commencing July 1, 1993, and ending July 31, 1994, with the further terms and
conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said
agreement, a copy of which is attached hereto and incorporated herein by
reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Purchase of Services Agreement between the Weld County
Health Department and Northern Colorado Cytology Service be, and hereby is,
approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is,
authorized to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded,
adopted by the following/ h/ vote on the 21st day of June, A.D. , 1993.

PURCHASE OF SERVICES AGREEMENT
THIS AGREEMENT, made and entered into this GO - day of
1993, by and between the County of Weld, State of Colorado; by and rough the
Board of County Commissioners of Weld County, on behalf of the Weld County Health
Department, hereinafter referred to as "Weld County", and Northern Colorado
Cytology Service, hereinafter referred to as "Contractor."
WITNESSETH
WHEREAS, the Contractor provides anatomic pathology services; and
WHEREAS, Weld County desires to purchase these services,
NOW, THEREFORE, in consideration of the premises and mutual covenants
contained herein, the parties hereto covenant and agree as follows:
1. TERM:
a. This Agreement shall be in effect for the period July 1, 1993 through
July 31, 1994.
2. WELD COUNTY RESPONSIBILITIES:
a. Weld County will coordinate with Contractor's staff in the performance
of the proper obtainment and handling of each gynecological pap smear.
b. Weld County will accumulate the required reporting information and will
provide copies of that information to Contractor.
c. Weld County agrees to provide reimbursement to the Contractor within
14 days after receipt of invoice and approval of said invoice. Weld County
agrees to reimburse the Contractor $8.00 per pap smear.
3. CONTRACTOR RESPONSIBILITIES:
a. Contractor will coordinate with Weld Contractor in setting staff
training times on filling out lab slips, reporting, and pick up time of the
gynecolocial pap smears.
b. Contractor will provide the necessary reporting information and
documentation, as requested by Weld County, in a timely manner.
c. Contractor will provide Weld County a monthly invoice delineating the
names and dates of pap smears processed.

4. ASSURANCES:
a. The Contractor agrees that it is an independent contractor, and neither
it nor officers or employees become employees of Weld County, and therefore, are
not entitled to any employee benefits as Weld County employees, as the result of
the execution of this Agreement.
b. Weld County, the Board of County Commissioners of Weld County, its
officers and employees, shall not be held liable for injuries or damages caused
by any negligent acts or omissions of Contractor, or its employees, volunteers,
or agents while performing it duties as described in this Agreement. The
Contractor shall indemnify, defend and hold harmless Weld County, the Board of
County Commissioners of Weld County, its officers and employees for any loss
occasioned as a result of the performance of this Agreement by Contractor, its
employees, volunteers, and agents.
c. Weld County and Contractor agree that this is a personal service
contract and such contract is not assignable without the advance written consent
of either Weld County or Contractor.
d. It is agreed that no person shall, on the grounds of race, color, sex,
religion, age, national origin, or individual handicap, by excluded from
participation in, be denied the benefits of, or be subject to discrimination
under any provision of this Agreement.
e. No portion of this Agreement shall be deemed to constitute a waiver of
any immunities the parties or their officers or employees may possess, nor shall
any portion of this Agreement be deemed to have created a duty of care with
respect to any persons not a party to this Agreement.
f. No portion of this Agreement shall be deemed to created an obligation
on the part of the County of Weld, State of Colorado, to expend funds not other
wise appropriated in each succeeding year.
g. If any section, subsection, paragraph, sentence, clause or phrase of
this Agreement is for any reason held or decided to be unconstitutional, such
decision shall not affect the validity of the remaining portions. The parties
hereto declare that they would have entered into this Agreement and each and
every section, subsection, paragraph, sentence clause, and phrase thereof
irrespective of the fact that any one or more sections, subsections, paragraphs,
sentences, clauses or phrases might be declared to be unconstitutional or
invalid.
h. This Agreement is expressly made subject to all laws and regulations of
the United States and the State of Colorado. Contractual provision required by
such laws and regulations, but not having been set out herein, are hereby
incorporated by this reference as though expressly set out in herein, are hereby
incorporated by this reference as though expressly set out in full. All parties
to this Agreement are hereby put on notice, and charged with the responsibility
of compliance with such contract provisions as required by law.
i. All modifications to this Agreement shall be in writing and signed by
both parties.

j . This Agreement shall be binding upon the parties hereto, their
successors, heirs, legal representatives, and assign. The Contractor and Weld
County may not assign any their rights or obligations hereunder without the prior
written consent of the other party.
1. This Agreement may be terminated upon sixty (60) days written notice,
by either party.
IN WITNESS WHEREOF, the parties hereto have duly executed this Agreement as of
the day, month, and year first above written.

Purchase of Services Agreement with Northern Colorado
Subject:
Cytology Service
Enclosed for Board approval is a Purchase of Services Agreement between the Weld
County Health Department and Northern Colorado's Cytology Service.
The Northern Colorado Cytology Service will provide anatomic pathology services
for our Health Department clinics. They will be reimbursed $8.00 for each pap
smear processed.
The term of the agreement is from July 1, 1993 through July 31, 1994.
