RE: APPROVE ASSIGNMENT OF LEASE BETWEEN DEAN L. CUMMINS, VANGUARD EXPLORATION,
INC. , AND C AND F ENERGY, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statue and the Weld County Home Rule Charter, is vested with
the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an assignment of lease between
Dean L. Cummins, 1223 28th Avenue, Suite 2, Greeley, Colorado 80631, Vanguard
Exploration, Inc. , 1223 28th Avenue, Suite 1, Greeley, Colorado 80631, and C and
F Energy, Inc. , P.O. Box 658, June Lake, California 93529, to assign all right,
title, and interest of an Oil and Gas Lease covering mineral acres located in the
Si, NE*, SOW*, Section 15, and all of Section 21, Township 7 North, Range 63
West, Weld County, Colorado, and
WHEREAS, said Oil and Gas Lease is recorded in Book 1308, Reception If
2260205 and 2260206, in the records of the Weld County Clerk and Recorder, and
WHEREAS, the required $25.00 fee has been paid, and
WHEREAS, pursuant to Weld County's Oil and Gas Lease, said assignment must
be approved by the Board of County Commissioners, and
WHEREAS, after consideration, the Board deems it appropriate to approve the
hereinabove mentioned assignment.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the assignment of said lease between Dean L. Cummins, 1223
28th Avenue, Suite 2, Greeley, Colorado 80631, Vanguard Exploration, Inc. , 1223
28th Avenue, Suite 1, Greeley, Colorado 80631, and C and F Energy, Inc. , P.O.
Box 658, June Lake, California 93529 be, and hereby is, approved.

AR23CO&47 ASSIGNMENT OF OIL AND GAS LEASES
THIS ASSIGNMENT is made and entered into this 20th day of August, 1992, by and between
DEAN L. CUMMINS, an individual, 1223 28th Avenue, Suite 2, Greeley, CO 80631 ("Cummins");
VANGUARD EXPLORATION, INC., a Colorado corporation, 1223 28th Avenue, Suite I, Greeley, CO
80631 ("Vanguard"), and C & F ENERGY, INC., a Colorado corporation, P.O. Box 658, June Lake
CA 93529 ("C&F). -
1. ASSIGNMENT FROM CUMMINS TO VANGUARD, For $10 and other valuable consideration,
the receipt and sufficiency of which are hereby acknowledged, CUMMINS hereby assigns, transfers and
sets over unto VANGUARD all of his right, title and interest in and to those oil and gas leases covering
lands in Weld County, Colorado described on Exhibit A attached hereto.
2. ASSIGNMENT FROM VANGUARD TO C&F, For $10 and other valuable consideration, the
receipt and sufficiency of which are hereby acknowledged, VANGUARD hereby assigns, transfers and
sets over unto C&F all of its right, title and interest in and to those oil and gas leases covering lands in
Weld County, Colorado described on Exhibit A attached hereto.
3. SUBJECT TO AGREEMENT, This Assignment is expressly subject to that certain Farmout and
Purchase and Sale Agreement dated March 19, 1992, between Vanguard and C&F, the terms of which
shall survive in their entirety the execution and delivery of this Assignment.
4. ASSUMPTION OF OBLIGATIONS, By its execution hereof, C&F assumes all obligations under
the leases herein assigned to C&F.
5. BINDING EFFECT. This assignment shall be binding upon and inure to the benefit of the parties
hereto, their successor and assigns.
IN WITNESS WHEREOF, this instrument is executed as of the date first above written.

Re: Approval of Assignment
Cummins/Vanguard/C & F Energy
Dear Carol:
Enclosed please find a copy of a recorded assignment of two Weld County leases from Dean L.
Cummins to Vanguard Exploration, Inc. to C & F Energy, Inc. C & F Energy, Inc. is the current
owner of 100% of the two involved leases. Pursuant to the terms of the leases, approval by Weld
County of said assignment is hereby requested.
Per our recent phone conversation, I enclose a C & F check to Weld County in the amount of$25
for the required approval fee. When the approval has been granted, please forward a copy to me
at the above address.
