RE: APPROVE AMENDMENT TO THE MEMORANDUM OF AGREEMENT WITH NORTH COLORADO
MEDICAL CENTER AND AUTHORIZE CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statute and the Weld County Home Rule Charter, is vested
with the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Amendment to the Memorandum
of Agreement between the County of Weld, State of Colorado, by and through the
Board of County Commissioners of Weld County, and North Colorado Medical Center,
commencing January 1, 1995, and ending December 31, 1995, with further terms and
conditions being as stated in said amendment, and
WHEREAS, after review, the Board deems it advisable to approve said
amendment, a copy of which is attached hereto and incorporated herein by
reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Amendment to the Memorandum of Agreement between the
County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, and North Colorado Medical Center be, and hereby
is, approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is,
authorized to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded,
adopted by the following vote on the 12th day of October, A.D. , 1994.

AMENDMENT TO THE
MEMORANDUM OF AGREEMENT
This Amendment is made to the MEMORANDUM OF AGREEMENT between NORTH
COLORADO MEDICAL CENTER, hereinafter referred to as "Contractor," and WELD
COUNTY, hereinafter referred to as "Contractor".
RECITALS
A. Contractor and Weld entered into that certain Agreement, dated December 28, 1993,
pursuant to which Weld has awarded to Contractor a sum of Weld County General Fund
monies to provide psychiatric inpatient care for patients held under Section 27-10, CRS
and parties are desirous of formalizing an agreement for the purpose of providing mental
health services to Weld County citizens.
B. Contractor and Weld now desire to amend the Agreement and Amendments thereto, if
any, in certain respects.
Now, therefore, incorporating the above Recitals and in consideration of the mutual covenants
herein contained, the parties hereto agree as follows:
1. CONTRACT PERIOD. Page 1, Paragraph 2 shall be amended to read as follows:
CONTRACT PERIOD will be from January 1, 1995, through December 31, 1995.
2. ASSIGNMENT. Page 3, Paragraph 16 shall be added as follows:
No assignment of this Agreement or of the rights and obligations hereunder shall be
valid, except that Contractor will have the right to assign or transfer this Agreement or
any interest herein to any entity which acquires all or substantially all of Contractor's
operating assets or into which Contractor is merged, reorganized or affiliated.
3. Full Force and Effect.
Except as expressly provided herein, the Agreement shall remain unmodified and in full
force and effect.
