Dear Mr. Lacy:
On July 12, 1991, C. Bradley Keirnes as the sole shareholder
of Waste Services Corporation, and Waste Management, Inc. , a
Delaware corporation entered into an agreement for the exchange of
stock of Waste Management, Inc. for stock of Waste Services
Corporation.
Through this transaction, Waste Services Corporation became a
wholly-owned subsidiary of Waste Management, Inc. Brad Keirnes
remains as the general manager of Waste Services Corporation' s
operations. Waste Services Corporation, a Colorado corporation,
continues to own the landfills and related assets and continues to
be responsible for operation of the landfill.
Our research indicated to us that no county approvals were
necessary prior to consummation of this transaction, but we wanted
you to be aware of the legal structure of the transaction for your
records.
