HomeMy WebLinkAbout941139.tiff RESOLUTION RE: APPROVE THREE AGREEMENTS FOR PURCHASE OF VIN INSPECTOR SERVICES AND AUTHORIZE CHAIRMAN TO SIGN WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with three Agreements for Purchase of VIN Inspector Services between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Sheriffs Office, and Larry A. Enderson, Dennis Beal, and Cary Lambert, commencing November 16, 1994, and continuing until terminated, with further terms and conditions being as stated in said agreements, and WHEREAS, after review, the Board deems it advisable to approve said agreements, copies of which are attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the three Agreements for Purchase of VIN Inspector Services between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Sheriffs Office, and Larry A. Enderson, Dennis Beal, and Cary Lambert, be, and hereby are, approved. BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is, authorized to sign said agreements. WITNESSETH: WHEREAS, Sheriffs Office desires the services of a Vehicle Identification Number Inspector ("VIN Inspector") to conduct personal inspection of vehicle identification numbers consistent with the requirements of§ 42-5-201, C.R.S., et seq.; WHEREAS, Contractor desires to enter into an agreement with Sheriffs Office to perform such services; WHEREAS, the parties desire to reduce the terms of their agreement to writing. NOW,THEREFORE, for and in consideration of the covenants, conditions,agreements,and stipulations hereinafter expressed, the parties do hereby agree as follows: 1. Recitals. The above set forth Recitals are incorporated herein. 2. Term of Agreement. This Agreement shall be effective from the date of its signing and continue until terminated, pursuant to the provisions of paragraph 7. 3. Compensation. In consideration of the services to be provided by Contractor as set forth hereinafter, Sheriffs Office agrees to pay Contractor$8.50 for each inspection conducted pursuant to the terms of this Agreement. Payment will be mailed to Contractor within 30 days after receiving the funds and receipts for services provided by Contractor for the previous month. 4. VIN Inspector Services A. Oualifications The VIN Inspector shall meet or exceed all of the qualifications and requirements of Colorado law and the Rules of the Colorado Department of Revenue, Division of Motor Vehicles, for VIN inspectors. Services To Be Provided Contractor shall perform the following VIN inspection services, including, but not limited to: 1) Inspect vehicle identification numbers (VIN), pursuant to requests from Sheriffs Office. 2) Record VIN on inspection form approved by the Colorado Department of Revenue. 3) Run a computer check of state and national compilations of wanted and stolen vehicles or commercial vehicles. 4) Return completed inspection form to customer and advise customer to take inspection form to the Department of Motor Vehicles. 5) Collect a fee of$8.50 for each inspection and remit all fees collected to the Sheriffs Office on a monthly basis. Issue receipt to each payee for the payment, keeping a copy of each receipt. 6) All monies collected and a copy of each receipt issued shall be forwarded to the fee collection clerk at the Sheriffs Office by the 10th of the month following the collection of such monies and the issuance of such receipts. 5. Contractor Deputized. Contractor understands that simultaneously with signing this Agreement Contractor must also accept an appointment as Deputy Sheriff for the purpose of VIN inspection only and subscribe to the oath of that office. 6. Non-Assignment. This Agreement shall not be assignable. 7. Termination. Either party may terminate this Agreement for any reason, upon written notice of such termination to the other party. If this Agreement is so terminated, Sheriffs Office shall pay that compensation to Contractor.which duly reflects the actual number of inspections not previously reimbursed to Contractor pursuant to this Agreement. 8. Notices. Any notice provided for in this Agreement shall be in writing and shall be served by personal delivery or by certified mail, return receipt requested, postage prepaid, at the addresses set forth in this Agreement until such time as written notice of a change is received from the party wishing to make a change of address. Any Page 2 of 4 Pages 941139 notice so mailed and any notice served by personal delivery shall be deemed delivered and effective upon receipt or upon attempted delivery. This method of notification will be used in all instances, except for emergency situations when immediate notification to the parties is required. Modification and Breach. This Agreement contains the entire agreement and understanding between the parties to this Agreement and supersedes any other agreements concerning the subject matter of this transaction, whether oral or written. No modification, amendment, novation, renewal, or other alteration of or to this Agreement and the attached exhibits shall be deemed valid or of any force or effect whatsoever,unless mutually agreed upon in writing by the undersigned parties. No breach of any term,provision, or clause of this Agreement shall be deemed waived or excused, unless such waiver or consent shall be in writing and signed by the party claimed to have waived or consented. Any consent by any party hereto, or waiver of, a breach by any other party, whether express or implied, shall not constitute a consent to, waiver of, or excuse for any other different or subsequent breach. 10. Severability. If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such a provision,to the extent this Agreement is then capable of execution within the original intent of the parties. 11. Funding. No portion of this Agreement shall be deemed to create an obligation on the part of the County of Weld, State of Colorado,or Sheriffs Office to expend funds not otherwise appropriated during the term of this Agreement. • Page 3 of 4 Pages 941139 12. Records. Each party agrees to keep any and all records and information confidential, in compliance with all laws and regulations concerning the confidentiality of such records. 13. Inurement. This Agreement shall inure to the benefit of the hefts, assigns, and successors in interest of the parties hereto. 14. No Waiver of Immunity. No portion of this Agreement shall be deemed to constitute a waiver of any immunities the parties or their officers or employees may possess, nor shall any portion of this Agreement be deemed to have created a duty of care that did not previously exist with respect to any person not a party to this Agreement.
