RESOLUTION
RE: APPROVE ASSIGNMENT OF LEASE FROM WILBANKS & ASSOCIATES, INC. ,
TO SNYDER OPERATING COMPANY
WHEREAS, the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS, Wilbanks & Associates, Inc. , 1860 Lincoln Street,
800 Lincoln Tower Building, Denver, Colorado 80295 , has requested
permission to assign all right, title, and interest of an Oil and
Gas Lease covering 320 net mineral acres located in the NWi of
Section 11 , Township 11 North, Range 61 West of the 6th P.M. ; and
the SW} of Section 35 , Township 11 North, Range 63 West of the 6th
P.M. , Weld County, Colorado, to Snyder Operating Company, 1801
California, Suite 3500 , Denver, Colorado 80202, and
WHEREAS, said Oil and Gas Lease is recorded in Book 1273 ,
Reception #02223790 and #02223781, in the records of the Weld
County Clerk and Recorder, and
WHEREAS, the required $25 . 00 fee has been submitted, and
WHEREAS, pursuant to Weld County' s Oil and Gas Lease , said
assignment must be approved by the Board of County Commissioners,
and
WHEREAS, after consideration, the Board deems it appropriate
to approve the ,hereinabove mentioned assignment.
NOW, THEREFORE, BE IT RESOLVED by the Board of County
Commissioners of Weld County, Colorado, that the assignment of
said lease from Wilbanks & Associates, Inc. , to Snyder Operating
Company be , and hereby is , approved.

ASSIGNMENT OF OIL AND GAS LEASE
KNOW ALL MEN BY THESE PRESENTS:
That the undersigned, Wilbanks & Associates, Inc.
1860 Lincoln Street
800 Lincoln Tower Building
Denver, Colorado 80295
hereinafter called Assignor, for and in consideration of One
Dollar ($1 . 00 ) the receipt whereof is hereby acknowledged, does
hereby sell, assign, transfer and set over unto:
Snyder Operating Company
1801 California, Suite 3500
Denver, Colorado 80202
hereinafter called Assignee (whether one or more) , all of
Assignor ' s right, title and interest in and to the oil and gas
lease( s) described in Exhibit "A" attached hereto and made a part
hereof, in the proportions as set forth hereinabove, and situated
in the County of Weld, State of Colorado, together with the
rights incident thereto and the personal property thereon,
appurtenant thereto, or used or obtained in connection therewith.
All of the provisions of this assignment shall extend to and
be binding on the respective heirs, executors, administrators,
successors and assigns of the Assignor and Assignee herein.
EXECUTED, this 20th day of September, 1990.
