HomeMy WebLinkAbout900851.tiff RESOLUTION RE: APPROVE FLEET MAINTENANCE AGREEMENT WITH LEAR SIEGLER MANAGEMENT SERVICES CORPORATION AND AUTHORIZE CHAIRMAN TO SIGN WHEREAS, the Board o£ County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, on the 25th day of July, 1990 , the Board approved proposals submitted by Lear Siegler Management Services Corporation, and WHEREAS, the Board has now been presented with a Fleet Maintenance Agreement with Lear Siegler Management Services Corporation, and WHEREAS, the term of this Agreement shall be from October 1, 1990 , through September 30 , 1993 , with all other terms and conditions being as stated in said Agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Fleet Maintenance Agreement between Weld County and Lear Siegler Management Services Corporation be, and hereby is , approved. BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is , authorized to sign said Agreement. L y 900851 nnnn ��9 5:-12.flJv� ,., �fl J-.__ S.nn r, n •. lJ�a�'� - , FLEET MAINTENANCE AGREEMENT This Agreement made and entered into this 19th day of September, 1990, by and between Lear Siegler Management Services Corporation, a corporation organized and existing under and by virtue of the laws of the state of Delaware, hereinafter referred to as CONTRACTOR, and Weld County by and through the Board of County Commissioners of Weld County, a political subdivision of the state of Colorado, hereinafter referred to as COUNTY, witnesseth: WHEREAS, having entered into an intergovernmental agreement with the City of Greeley, Colorado to obtain vehicle/equipment maintenance through a single contract for the COUNTY and the CITY fleets, the COUNTY intends to procure the services of a private contractor to provide fleet repair and maintenance operation and to perform preventive maintenance, repairs, and other functions described herein in association with said combined fleets; and WHEREAS, the goals of the COUNTY procurement include reduction of the overall fleet maintenance cost, improvement of fleet availability, and improvement of services offered to those departments which use fleet vehicles; and WHEREAS, the CONTRACTOR desires to perform under this Agreement in such a manner as to fully accomplish said goals; and De CS51. (1) WHEREAS, the CONTRACTOR represents that it has authorized and empowered the individual executing this agreement to bind and to obligate said CONTRACTOR. NOW, THEREFORE, in consideration of the covenants and agree- ments hereinafter set forth, it is mutually agreed as follows: Section 1 - Status It is expressly agreed and understood that the CONTRACTOR is in all respects an independent contractor as to the work, and that the CONTRACTOR is in no respect an agent, servant or employee of the COUNTY. All employees of the CONTRACTOR shall work exclusively for the CONTRACTOR and shall not be considered employees of the COUNTY, nor shall they be eligible for COUNTY benefits. This Agreement specifies the work to be done by the CONTRACTOR, but the method utilized to accomplish the work shall be the responsibility of the CONTRACTOR. The COUNTY shall designate a contracting officer, who shall serve as the COUNTY representative in matters relating to this Agreement. It is expressly agreed and understood that the City of Greeley, Colorado is a third party beneficiary to this Agreement. Section 2 - Sub-Contracting The CONTRACTOR may sub-contract services to be performed here- under with the prior approval of the COUNTY which shall not re-03S t (2) unreasonably withhold approval. No such approval will be construed as making the COUNTY party of, or to, such sub-contract, nor shall approval be construed as subjecting the COUNTY to liability of any kind to any sub-contractor. No sub-contract shall, under any circumstances, relieve the CONTRACTOR of its liability and obligation under this Agreement; and despite such sub-contracting, the COUNTY shall deal through the CONTRACTOR, and sub-contractors, will be dealt with as workmen and representatives of the CONTRACTOR. Section 9 - Facilities The COUNTY shall provide to the CONTRACTOR, at the cost of one dollar ($1. 00) per year, the fleet management garage(s) owned by the COUNTY and located at the following location(s) , 1399 Seventeenth Street, Greeley, Co, and the fleet management garage(s) for the CITY at the following location(s) , 1300 A Street, Greeley, CO. and all County or City of Greeley-owned equipment, tools, and furniture located therein. Said garage(s) , equipment, tools and furniture shall hereinafter be referred to as FACILITIES. The CONTRACTOR agrees not to use the FACILITIES for work on vehicles or equipment which are not owned or leased by the COUNTY or the City of Greeley. Upon taking possession of said FACILITIES, the CONTRACTOR shall provide to the COUNTY an itemized receipt of all said equipment, tools, and furniture therein. ..C OIR5 a (3) The COUNTY agrees to provide water, gas, electricity and telephone service for said FACILITIES at no charge to the CONTRACTOR. The CONTRACTOR shall be responsible for the cost of all long distance telephone service except for those charges which are directly related to the management and maintenance of the COUNTY fleet. The CONTRACTOR agrees that any additional equipment acquired after COUNTY approval, for performance of this Agreement, shall become the property of the COUNTY. Said additionally-acquired equipment shall be charged to the COUNTY on a monthly basis in accordance with mutually-agreed-upon amortization schedules for major equipment. The COUNTY agrees to repair, maintain and/or renovate the FACILITIES as are determined necessary by the COUNTY due to degrading conditions. The CONTRACTOR agrees to inform the COUNTY of degrading conditions. The CONTRACTOR agrees, upon completion of performance, to return the FACILITIES to the COUNTY in similar condition as it was provided to the CONTRACTOR except for normal wear and depreciation. The CONTRACTOR agrees to provide interior janitorial main- tenance, housekeeping supplies, and minor preventive maintenance of overhead doors, lifts, cranes, washing equipment and compressors and light bulb replacement. The CONTRACTOR shall provide the bulk of the vehicle/equipment maintenance work, which is contemplated by this AGREEMENT, at the COUNTY's location. Transit vehicle main- tenance shall be conducted at the CITY's location. Section 4 - Preventive Maintenance The CONTRACTOR and the COUNTY agree to develop and to implement a preventive maintenance program, hereinafter referred to as PM, in accordance with recognized, sound fleet management practices. At a minimum, said PM program shall consist of those standards as described and listed in Appendix A herein. The CONTRACTOR agrees to provide written notification to user departments during the month preceding any scheduled PM. The COUNTY agrees to immediately notify the CONTRACTOR to arrange for an alternate appointment if the user department is unable to deliver the scheduled vehicle at the specified time. The CONTRACTOR agrees to schedule PM services in accordance with an appropriate usage base. The COUNTY agrees that each fuel servicing station or user department shall furnish odometer and hour meter readings to the CONTRACTOR on all County-owned vehicles and equipment which are a part of the Agreement fleet, as described and listed in Appendix B herein, or which may be added to said fleet and this Agreement by modification as a result of vehicle replacement or new appropriations. The CONTRACTOR agrees to conduct, within the first six (6) months of this Agreement, an initial PM inspection and repair of all vehicles and equipment for the purpose of fleet assessment and bringing the fleet up to mutually-agreed-upon acceptable maintenance standards. The PM Program also shall include PM services on-site for heavy construction equipment, trailers and non-motorized equipment which are not suitable for over-the-road travel. The CONTRACTOR agrees to provide pickup and delivery service for executive passenger cars requiring PM service and repair. Section s - Repairs The CONTRACTOR agrees to seek COUNTY approval for repairs which are estimated to exceed $1, 000.00. The CONTRACTOR agrees to provide written recommendation to the COUNTY for equipment replacement when the CONTRACTOR determines that replacement is more cost effective than repair. The CONTRACTOR agrees to provide emergency service calls. The CONTRACTOR agrees to provide an on-site emergency service for vehicles or equipment which cannot be dispatched to the FACILITIES. If towing a vehicle or equipment to the FACILITIES for repair is feasible, on-site service shall not be required. The CONTRACTOR agrees to provide priority service to emergency vehicles under an established repair-priority system which shall be subject to approval and modification by the COUNTY. Said priority system and emergency vehicle categorization shall be mutually agreed upon by the CONTRACTOR and the COUNTY. The CONTRACTOR agrees to provide a "quick fix" function for minor repairs which require less than one hour to perform when the vehicle operator chooses to wait for the service. The CONTRACTOR agrees to administer all warranties associated with management of the COUNTY fleet. Should a dispute arise between the CONTRACTOR and the manufacturer as to the definition of warranty work, the CONTRACTOR agrees to provide the required repair service, and in such event, the COUNTY agrees to reimburse the CONTRACTOR for said repairs should the CONTRACTOR be unsuccessful with its efforts to enforce the warranty. The CONTRACTOR agrees to correct, at no cost to the COUNTY, any service which is necessary because of mechanic error. The following standards shall be the basis upon which repair is determined to be substandard: Work Performed Allowable Freauency Engine exchange 3 months or 3 ,000 miles Transmission exchange 3 months or 3 , 000 miles Brake overhaul 12 months or 12, 000 miles Tune-up 30 days General Repair 30 days Electrical components 30 days Others Normal trade times (7) The CONTRACTOR agrees to arrange for and to manage outside repairs for services which cannot be performed in-house because of cost or lack of appropriate tools or equipment. The CONTRACTOR agrees to coordinate with the COUNTY as to what may be accomplished in-house versus outside. The CONTRACTOR agrees to receive and to place all applicable insignia and license plates on all new vehicles which are added to the fleet. The CONTRACTOR further agrees to remove all insignia and license plates from all vehicles which are to be removed from the fleet and sold. Installation or removal of items which are not provided for in this Agreement shall be considered additional directed work. The CONTRACTOR agrees to prepare a workorder for all vehicle/ equipment body repairs and maintenance, to include damages as a result of accidents. The CONTRACTOR agrees to obtain three (3) competitive bids for body repairs, painting and maintenance which are required because of accidents. The COUNTY agrees that the cost of said body repair and maintenance invoices are not included in and shall be over and above the CONTRACTOR's estimated budget. Section 6 - vehicular services The CONTRACTOR agrees to notify user departments by telephone if a vehicle is expected to be in the FACILITY for more than 24 (g) PrOVr4 hours. The COUNTY agrees to provide fuel service for all vehicles and equipment. Section 7 - Parts The CONTRACTOR agrees to provide all parts, materials, supplies, oils and lubricants, and services other than those specifically identified as COUNTY furnished, as may be required to perform under this Agreement. The CONTRACTOR agrees to utilize used parts only when all other sources have been exhausted and then only with written authorization from the COUNTY. The CONTRACTOR agrees to procure brand-name, quality parts which meet or exceed manufacturer standards and specifications. The CONTRACTOR agrees to seek COUNTY approval before introducing new product lines. The CONTRACTOR agrees to document all vehicle and equipment maintenance and repair actions on an authorized workorder. The CONTRACTOR agrees to record all parts, materials, supplies and services on said workorders. The CONTRACTOR agrees to maintain the parts inventory on the basis of anticipated consumption, avail- ability, dollar values and quantity-purchase savings. The CONTRACTOR shall purchase active parts from inventories which are currently maintained for the performance of repair and PM services for said combined fleet. In such event, the CONTRACTOR and the COUNTY shall conduct a joint physical inventory prior to purchase. Said purchase shall not include inactive or obsolete parts. Cost of said purchase shall be mutually agreed upon by the parties. All parts, with exception of those necessary for transit coaches and those with long shelf life, shall be stored at the COUNTY's location. Upon completion of performance or termination of this Agreement, the COUNTY or the incoming contractor shall purchase from the CONTRACTOR, at cost, all active parts within said inventory. Section 8 - Reporting The- CONTRACTOR agrees to provide and to maintain the hardware and the software for a permanent, detailed, automated record system for each vehicle and vehicle category. The CONTRACTOR agrees to maintain all records and data pertaining to the performance of this Agreement. The CONTRACTOR further agrees to maintain one set of complete records on-site at the COUNTY's location. The COUNTY shall reserve the right to audit said on-site records at any reasonable time. The COUNTY shall provide to the CONTRACTOR, at the start of this Agreement term, the currently maintained historical data on each individual vehicle or item of equipment. The CONTRACTOR agrees to maintain a complete set of service manuals for each type of vehicle, equipment or unit. The COUNTY agrees to reimburse the CONTRACTOR for the cost of ordering any manuals which are missing during the start of performance under this Agreement. A hard copy history folder shall be maintained by the CONTRACTOR for each vehicle. This folder shall contain, in (10) ar .. chronological order, all work orders generated on the vehicle. The folder shall also contain the vehicle's make, model, year and serial number along with invoice information. All files shall be considered COUNTY property. Upon prior notice to the CONTRACTOR's Site Manager, the CONTRACTOR shall provide to the COUNTY's authorized representative(s) , at all reasonable times, access to all electronic and hard data, books, records, correspondence, instructions, plans, drawings, receipts, vouchers, and memoranda of every description, and shall provide to the authorized representative(s) cost verification for work. All records shall be considered open records under Colorado state law. The CONTRACTOR agrees to provide to the COUNTY, for a period of 180 days after expiration of this Agreement, for audit or review, access to all CONTRACTOR records pertaining to this Agreement. The CONTRACTOR agrees to provide to the COUNTY, by noon each weekday, a daily report of the maintenance activities for the previous day. The CONTRACTOR shall provide to the COUNTY, by noon on Monday of each week, a summary of maintenance activities for the previous week. The CONTRACTOR shall also provide to the COUNTY, no later than the 10th day of each month, a management report which shall contain complete information covering the maintenance activities for the previous month. The CONTRACTOR agrees to provide an annual report to the COUNTY which shall certify the description, serial number, cost and date of purchase of any equipment purchased for the COUNTY under this Agreement and for any equipment which was traded, sold or otherwise disposed of during (11) nrOCC 9 the previous year. The CONTRACTOR further agrees to include in said annual report a complete end-of-the-year operating data/costs per unit, sorted by department, and a certified statement of the CONTRACTOR's financial condition. At a minimum, the CONTRACTOR's reporting system shall consist of those requirements as described and listed in Appendix C herein. Section 9 - Invoicing The CONTRACTOR and the COUNTY agree that this Agreement shall be a cost-reimbursement-plus-fixed-fee agreement. The COUNTY agrees that the CONTRACTOR shall issue a monthly invoice to the COUNTY which represents the CONTRACTOR'S cost plus 1/12 of the annual management fee of one hundred ten thousand, three hundred thirty- six dollars and twenty-one cents ($110, 336. 21) and the cost of any reimbursable items. The CONTRACTOR and the COUNTY agree that the following are reimbursable items and are not included in and shall be over and above the CONTRACTOR's estimated budget. • Costs for repairs, including body repair and painting, due to abuse, vandalism or accident. • Parts to repair vehicles damaged because of accidents. • Fuel. • Cost of additional County directed work. c•E (12) • Capital expenditures - those items which cost more than $1, 000. 00 and which extends the useful life of the vehicle more than two years. • COUNTY auditing expense. • Changes of more than five percent (5%) in the size or mix of the fleet as identified in the Appendix attached hereto. • FACILITIES Maintenance - Interiors, exteriors, and infrastructures and equipment repairs, excluding interior janitorial maintenance. • COUNTY-directed overtime labor and other extraordinary expenses for emergencies. The COUNTY agrees to pay each approved invoice in full within thirty (30) calendar days of receipt of said invoice. The COUNTY further agrees to notify the CONTRACTOR in writing within fourteen (14) calendar days of receipt of the invoice should the COUNTY question approval of any item thereon. In such an event, the CONTRACTOR shall submit to the COUNTY verification data for all amounts claimed. (13) Section to - other services The CONTRACTOR agrees to provide fleet maintenance as required by the COUNTY during natural disasters or other emergency condi- tions. In such event, the COUNTY agrees that the cost for these emergency services provided are not included in and shall be over and above the CONTRACTOR's estimated budget. In such event, the COUNTY agrees that the CONTRACTOR's labor hours expended in support of emergency services which exceed normal work hours shall be billed to the COUNTY at actual cost plus twelve percent (12%) profit. The CONTRACTOR agrees to assist the COUNTY in preparing purchase specifications, and verification thereof upon delivery, for additional or replacement vehicles and service equipment. The CONTRACTOR further agrees to assist the COUNTY with inspection and assessments of used vehicles and equipment under consideration for purchase or lease. The CONTRACTOR agrees to operate the CITY's location for bus maintenance and washing Monday through Saturday of each week with the exception of City of Greeley holidays. The CONTRACTOR further agrees to operate the COUNTY's location during the hours of 7: 00 am to 9:00 pm, Monday through Friday each week with the exception of COUNTY holidays. The CONTRACTOR agrees to provide on-call personnel to respond to emergency services and additional work directed by the COUNTY. frO-;q (14) The CONTRACTOR agrees to perform such additional directed work as authorized by the COUNTY. The COUNTY agrees that such additional directed work is not included in and shall be over and above the CONTRACTOR's estimated budget. The COUNTY further agrees that additional directed work shall be billed to the COUNTY at actual cost, to include G & A plus twelve percent (12%) profit. In the event of accident, abuse or fire affecting any COUNTY vehicle or equipment, the CONTRACTOR agrees to ensure that complete technical investigations are conducted in order to provide support data to the COUNTY. The CONTRACTOR agrees to comply with all local, state and federal laws regulating the disposal of hazardous waste. The CONTRACTOR further agrees to dispose of all CONTRACTOR-generated waste materials and to indemnify, defend, and hold the COUNTY harmless against any claim or liability arising from the CONTRACTOR's violation of any hazardous waste disposal regulation. Section 11 - Staffing The COUNTY agrees that the CONTRACTOR shall have the right to select or to terminate the CONTRACTOR's employees. Selection of the site manager shall require joint approval of the COUNTY and the CONTRACTOR; however, said site manager shall be considered the employee of the CONTRACTOR. The COUNTY further agrees that the CONTRACTOR shall determine those benefits to be provided to the CONTRACTOR'S employees. The CONTRACTOR agrees to staff thirteen (13) employees at the COUNTY's location and four (4) employees at the CITY's location. The position of site manager shall be shared with both locations. The CONTRACTOR shall have the right to shift employees from either location. The CONTRACTOR shall have the right to reroute vehicles between locations as is necessary to reduce or to prevent congestion. Said right shall be limited by any restrictions imposed upon the CITY's location by the federal government. Section 12 - Performance The CONTRACTOR agrees that should the COUNTY fail to require the CONTRACTOR to perform any provision herein, said failure shall not affect the COUNTY's right to enforce said performance thereafter. Prior to performance under this Agreement, the CONTRACTOR agrees to furnish to the COUNTY a performance bond in the amount of one million, three hundred forty-one thousand, nine-hundred eighty- nine dollars and sixty-two cents ($1, 341,989. 62) . The COUNTY agrees to provide a release of said performance bond to the CONTRACTOR within fifteen (15) days of the expiration of this Agreement. ''CO (16) . •_ _ , It is agreed that in no event shall either the COUNTY or the CONTRACTOR be liable or responsible to each other or to any other persons due to any stoppage or delay in work herein provided for, where such stoppages or delays result from acts of God, fire, war, legal or equitable proceedings, or any other cause which is not within the control of the COUNTY and/or the CONTRACTOR. Section 13 - Insurance The CONTRACTOR agrees to obtain and to keep in full force and effect, until termination or expiration of this Agreement, the following insurance coverage with an insurance company licensed and qualified to do business in the state of Colorado as evidenced by a certificate of insurance to be provided to the COUNTY: • Worker's Compensation - statutory limits ($1, 000, 000 each occurrence) • Comprehensive General Liability - $1, 000, 000 per occurrence, $1, 000, 000 aggregate for bodily injury and $1,000, 000 per occurrence and $1,000, 000 aggregate for property damage. • Garage Keepers Liability - $1, 000,000 each occurrence, $1, 000, 000 aggregate for bodily injury liability and $1, 000, 000 each occurrence for property damage. Pr0�;11 (17) Weld County, Colorado, by and through the Board of County Commissioners of Weld County and its employees, and the City of Greeley, Colorado, by and through the City Council of the City of Greeley and its employees, shall be named as "additional insureds" in said certificate of insurance. The CONTRACTOR agrees to indemnify, defend and hold the COUNTY, by and through the Board of County Commissioners of Weld County and its employees, and the City of Greeley, Colorado, by and through the City Council of the City of Greeley and its employees, harmless against all claims of liability by third parties for injuries, death or loss or damage to property arising out of the CONTRACTOR's performance under this Agreement with exception of claims resulting from the negligence of the COUNTY. The CONTRACTOR agrees to provide to COUNTY written notice sixty (60) days in advance of cancellation or material change in any insurance policy herein required. Section 14 - Regulatory Compliance The CONTRACTOR agrees to comply with all applicable federal, state, county and local laws, rules or regulations in effect at the time of execution of this Agreement. The parties agree that later- enacted laws, rules or regulations may require modification of this Agreement. The CONTRACTOR agrees to indemnify, defend and hold harmless the COUNTY, by and through the Board of County Commissioners of Weld County and its employers, and the City of e� 1 Greeley, Colorado, by and through the City Council of the City of Greeley and its employees, against any claim or liability arising from the CONTRACTOR's violation of any such applicable laws, regulations, ordinances, orders or decrees. (Only 1% of the total .8 fleet downtime shall be due to unavailable parts with the exception that parts unavailability due to age or one-of-a-kind vehicles/ equipment shall not impact the VDP percentage. ) * All fleet vehicles and/or units of equipment shall be placed within one of these stated categories. Assignment of categories shall be mutually agreed upon by the CONTRACTOR and the COUNTY. ** Percentages indicate the annual aggregate. *** Penalty shall be deducted from the annual Cost Target if the Contractor exceeds the annual allowable downtime percentage. The total penalty to be deducted shall not exceed 6% of the annual Cost Target. **** Allowable occurrences annually. The CONTRACTOR agrees to meet or to better the above-stated standards in order to receive full reimbursement of cost not to exceed its estimated budget. The CONTRACTOR further agrees that if the above-stated standards are not met, as determined by the COUNTY, the Annual Cost Target shall be reduced by the applicable percentage as indicated above. Said performance requirements and any applicable penalty shall be computed and paid annually. The CONTRACTOR and the COUNTY agree to the following perfor- mance standards: (20) 1. Downtime Administrative vehicle 53 downtime computed annually Emergency vehicles 5$ downtime computed annually Construction vehicles 7% downtime computed annually Special purpose vehicles (includes transit) 8% downtime computed annually Grounds maintenance 7% downtime computed annually 2 . PM Performance Scheduled PM service - zero due at the end of the month with exception for past due performance due to circumstances beyond the CONTRACTOR's control. Failure of user department to report the vehicle or equipment to the FACILITIES for PM service shall not constitute sub- standard performance. 3. Repair Performance No more than twenty-four (24) occurrences of mechanic error. 4. Parts Availability Only 1% of the total fleet downtime shall be due to unavailable parts with the exception that parts unavailability due to age or one-of-a-kind vehicles/equipment shall not impact the VDP percentage. The COUNTY agrees that downtime is the total number of operational hours that a vehicle or unit of equipment is unavailable for use due to a need for unscheduled or preventive maintenance. Downtime shall be computed as follows: re09 A (21) Total number of hours vehicle/equipment is not available for use. Total number of hours vehicle/equipment is normally scheduled for use during Monday through Friday. (Said list of scheduled hours shall be provided to the CONTRACTOR by the COUNTY at the beginning of performance of this Agreement. ) The COUNTY agrees that downtime shall begin upon the vehicle/ equipment's arrival at the FACILITY, Monday through Friday. For heavy equipment which is not suitable for over-the-road travel, downtime shall begin upon the CONTRACTOR's immediate verification, after notification by the COUNTY, of need for repair which renders the unit unavailable for use. The COUNTY agrees that repairs which do not render a vehicle/equipment inoperable or unsafe shall be considered deferred maintenance and shall not impact downtime. Section 16 - Term of Agreement The COUNTY agrees that the duration of this Agreement shall be thirty-six (36) months beginning October 1, 1990. The COUNTY further agrees that this Agreement, at the COUNTY's option, is renewable at the end of its term for three (3) additional two-year periods. Prior to expiration of this Agreement, the COUNTY and the CONTRACTOR shall negotiate mutually acceptable billing rates and cost target. A new Cost Target shall be negotiated each year. With the exception of labor, escalation of the approved budget for the ensuing year shall not exceed the Cost/price Index (CPI) for all urban consumers in the maintenance and repair category for the State of Colorado for the prior year. Labor costs shall be negotiated separately. (22) PrOgt�4 Section 17 - Fleet The COUNTY agrees that for purposes of this Agreement and the CONTRACTOR's estimated budget, the fleet shall mean all units which are listed in the Appendix B attached hereto, excepting those units which have been deleted as indicated. The COUNTY further agrees that the CONTRACTOR's estimated budget shall be adjusted on a prorated unit-cost basis to correspond to increases or decreases in the fleet size or the type of equipment in each class if such changes are more than five percent (5$) . The COUNTY agrees that said adjustments shall be made semi-annually. Section 18 - Cost In consideration of this Agreement, the COUNTY agrees to pay to the CONTRACTOR, during the period of October 1, 1990 to September 30, 1991, for labor, parts, supplies, and overhead expenses plus one hundred ten thousand, three hundred thirty-six dollars and twenty-one cents ($110, 336. 21) not to exceed one million, three hundred forty-one thousand, nine hundred eighty-nine dollars and sixty-two cents ($1, 341,989 . 62) as set out in the general categories below: Labor Cost $ 482 , 369.42 Parts and Supplies $ 677 , 700.00 Overhead Expense $ 71. 583 . 99 Subtotal Cost Target $ 1, 231, 653 .41 retr:4.;11 (23) . Management/Service Fee 110, 336.21 Total Cost Target $ 1, 341, 989 . 62 Mark-up on Directed Work 12� Overtime for Emergency or Directed Work 12� The COUNTY agrees that under this cost-reimbursement-plus- fixed-fee agreement that the CONTRACTOR shall be reimbursed for all of its allowable costs, less any applicable penalty deductions, and that the above-stated Cost Target is an estimated budget of the cost of performance during the first year of this Agreement. 8ection 19 - Assiqnment The duties and obligations assumed by the CONTRACTOR are not transferable or assignable without prior consent of the COUNTY. Section 20 - Notice Any written notice to be qiven hereunder by either party to the other party shall be effected by certified mail, return receipt requested. Notice to the CONTRACTOR shall be sufficient if made or addressed to Vice President, Commercial Service, Lear Siegler Management Services Corporation 3100 N. I-35, P.O. Box 11566, Oklahoma City, OK 73136-0566. Notice to the COUNTY shall be sufficient if made or addressed to the Board of County Commissioners, 915 lOth Street, Greeley, CO 80632 . Either party (24) �r.u�?��y„*9 may change its address for notice by giving written notice of such change in accordance with the provisions of this section. section 21 - Deficiencies in Service In the event that the COUNTY determines that there are deficiencies in the service and work provided by the CONTRACTOR, the COUNTY shall notify the CONTRACTOR in writing as to the precise nature of any such deficiencies. Within ten (10) working days of receipt of such notice, the CONTRACTOR shall correct or take reasonable steps to correct the deficiencies complained of, including, if necessary, increasing the work force, tools and equipment or modifying the policies and procedures used by the CONTRACTOR in performing services pursuant to this Agreement. If the CONTRACTOR fails to correct or take reasonable steps to correct the deficiencies within ten (10) working days, the COUNTY may declare the CONTRACTOR in default and invoke the termination provisions of this Agreement. Section 22 - Termination The COUNTY may terminate this Agreement if the CONTRACTOR becomes insolvent or allows any judgment for the payment of money to stand against it unsatisfied. Either party may terminate this Agreement for default by giving the other party written notice thereof, specifying with particularity each default. The party in default shall have thirty (30) days after receipt of notice to cure (25) F''('�Ri;N19 or take reasonable steps to cure the default. If the party in default fails to cure or take reasonable steps to cure the default within the thirty-day period, the other party may declare this Agreement terminated. Section 23 - Transfer of Operations In that the CONTRACTOR is performing an essential service for the COUNTY, in the event the CONTRACTOR defaults by failing to begin service at the time specified or discontinues a material portion of the service provided for by this Agreement, the COUNTY may, at its election and upon seven (7) working days' prior written notice to the CONTRACTOR, take possession of all equipment and facilities used by the CONTRACTOR in connection with this Agreement and operate and use the same in the performance of the services described herein. The CONTRACTOR agrees to surrender peacefully said equipment and facilities upon receiving an itemized receipt from the COUNTY for said item, and to cooperate to the extent necessary to enable the COUNTY to take over and carry out the services herein described. All payments by the COUNTY, except those for services previously rendered, or costs incurred and reimbursable to the COUNTY, pursuant to this contract, shall cease, except that during the pendency of any dispute, the COUNTY agrees to pay a reasonable rental for use of the CONTRACTOR's equipment. The CONTRACTOR agrees that in the event it disputes the COUNTY' s right to invoke the provisions of this section, it will not seek injunctive or other similar relief, but will either negotiate an (26) ��;���.µ�. adjustment of the matter with the COUNTY or seek, as its remedy, monetary damages in a court of competent jurisdiction. Section 24 - Choice of Law This contract shall be interpreted, construed and governed by the laws of the State of Colorado. section 25 - Modifications Modifications which are consistent with the purposes of this Agreement may be made in writing duly executed by the parties, and in accordance with COUNTY rules and regulations and other applicable laws and ordinances. Section 26 - Waiver of Immunities/Third Party Liability No portion of this Agreement shall be deemed to constitute a waiver of any immunities the COUNTY or the City of Greeley or their officers or employees may possess nor shall any portion of this Agreement be deemed to have created a duty of care with respect to any persons other than the COUNTY and the City of Greeley and not a party to this Agreement. (2 7) �''�;Q���•,)*. section 27 - Non-Appropriation No portion of this Agreement shall be deemed to create an obligation on the part of COUNTY or the City of Greeley to expend funds not otherwise appropriated in each succeeding year. Section 28 - Severability If any section, subsection, paragraph, sentence, clause or phrase of this Agreement is for any reason held or decided to be invalid or unconstitutional, such decision shall not affect the validity of the remaining portions. The parties hereto declare that they would have entered into this Agreement and each and every section, subsection, paragraph, sentence, clause and phrase thereof irrespective of the fact that any one or more sections, sub- sections, paragraphs, sentences, clauses, or phrases might be declared to be unconstitutional or invalid. Section 29 - 8cope of Agreement This is a fully integrated Agreement. The daily report shall n e in memo format and shall include the previous day's activity: a. A listing of vehicles not delivered for a scheduled PM. The listing shall include the assignee's name and department if known. b. Any discovery or indication of abuse by the vehicle user in excess of normal wear and tear. c. Any re-repair activity. d. A status report on any vehicle out of service more than one (1) day. �Teekly Report The CONTRACTOR shall generate a weekly report for delivery to the COUNTY before noon each Monday.
