KNOW ALL MEN BY THESE PRESENTS :
That the undersigned, POLARIS ENERGY INC . , of P.O. Box 83 ,
Jackson, Michigan 49204 , hereinafter sometimes referred to as
"Assignor" , for and in consideration of Ten Dollars ( $10 . 00 ) in
band paid and other good and valuable consideration, the receipt
and sufficiency whereof is hereby acknowledged, does sell ,
assign, transfer and set over unto KAPPA NU II PAR'T'NERSHIP, a
Pennsylvania partnership, of 2119 Art School Road, Chester
