RE: APPOINT PROXY AT ANNUAL MEETING OF THE RURAL DITCH COMPANY AND AUTHORIZE
CHAIRMAN TO SIGN PROXY
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant
to Colorado statute and the Weld County Home Rule Charter, is vested with the
authority of administering the affairs of Weld County, Colorado, and
WHEREAS, it has been determined that Weld County cannot have a delegate to act
as its representative at the annual meeting of The Rural Ditch Company, which is
scheduled for February 11, 1991, and
WHEREAS, the Board deems it advisable to assign the current President of The
Rural Ditch Company to vote Weld County's proxy at said meeting.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is,
authorized to sign the proxy indicating the current President of The Rural Ditch
Company is to vote Weld County's shares at said annual meeting.
The above and foregoing Resolution was, on motion duly made and seconded,
adopted by the following vote on the 30th day of January, A.D. , 1991.

The annual meeting of the stockholders of The Rural Ditch Company
will be held Monday, February 11 , 1991 , at 1 : 30 P.M. in the meeting
room of the Sekich Office Park, 4311 Highway 66 , Longmont , Colorado.
Financial reports will be presented and plans for 1991 will be
discussed .
We urgently request your attendance. If you are unable to attend ,
please sign and mail the proxy below so we will be able to have a quorum.
