RESOLUTION
RE: APPROVE LETTER AGREEMENT FOR PARTIAL FUNDING OF ACTIVITIES OF WELD COUNTY
EMERGENCY MEDICAL SERVICES ADVISORY COUNCIL BY NORTH COLORADO MEDICAL
CENTER, INC. AND AUTHORIZE CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statute and the Weld County Home Rule Charter, is vested
with the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Letter Agreement for partial
funding of activities of the Weld County Emergency Medical Services Advisory
Council between the County of Weld, State of Colorado, by and through the Board
of County Commissioners of Weld County, and North Colorado Medical Center, Inc. ,
commencing October 15, 1994, and ending October 14, 1995, with further terms and
conditions being as stated in said letter agreement, and
WHEREAS, after review, the Board deems it advisable to approve said letter
agreement, a copy of which is attached hereto and incorporated herein by
reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Letter Agreement for partial funding of activities of
the Weld County Emergency Medical Services Advisory Council between the County
of Weld, State of Colorado, by and through the Board of County Commissioners of
Weld County, and North Colorado Medical Center, Inc. , be, and hereby is,
approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is,
authorized to sign said letter agreement.
The above and foregoing Resolution was, on motion duly made and seconded,
adopted by the following vote on the 10th day of October, A.D. , 1994.

Dear Don:
This Letter Agreement will acknowledge certain understandings related to the partial funding of
activities of the Weld County Emergency Medical Services Advisory Council ("Weld") by
North Colorado Medical Center, Inc. ("NCMC").
This Letter will be effective from October 15, 1994, and shall continue through October 14,
1995, at which time it shall terminate automatically.
NCMC will provide and Weld shall accept the sum of $8,000.00 to be used solely for the
funding of the position of its physician advisor and its coordinator.
NCMC shall nominate and Weld shall appoint a representative to its advisory council for a term
not less than the effective term of this Letter.
Weld shall acknowledge the funds paid under the terms of this Letter as a community service
contribution by NCMC.
No assignment of this Letter Agreement or of the rights and obligations hereunder shall be valid,
except that NCMC will have the right to assign or transfer this Agreement or any interest herein
to any entity which acquires all or substantially all of NCMC's operating assets or into which
NCMC is merged, reorganized or affiliated.
This Letter Agreement contains all of the representations, understandings and agreements
between NCMC and Weld and shall not be affected by any other agreements between the
parties.

No modifications of this Letter Agreement can be accepted unless reduced to writing and signed
by both parties.
Either party may terminate the Letter Agreement upon 30 days written notice.
The terms of this Letter Agreement shall be governed by and construed according to the laws
of Colorado.
If the above is acceptable to you, please sign both copies, retaining one for your files and
returning one to us.
We look forward to a successful relationship.
