RE: APPROVE ASSIGNMENT OF THREE LEASES FROM SNYDER OIL CORPORATION TO CFG
ENERGY, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statue and the Weld County Home Rule Charter, is vested with
the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, Snyder Oil Corporation, 1625 Broadway, Suite 2200, Denver,
Colorado 80202, has requested permission to assign all right, title, and
interest of three Oil and Gas Leases covering 400 net minerals acres located in
the NE}, SEI, and SiNWf, Section 9, Township 7 North, Range 63 West of the 6th
P.M.,Weld County,Colorado,to CFG Energy,Inc., P.O.Box 730,Greeley,Colorado
80632, and
WHEREAS, said Oil and Gas Leases are recorded in Book 1294, Reception
#02245335, Book 1294, Reception#02245334, and Book 1294, Reception#02245332,
in the records of the Weld County Clerk and Recorder, and
WHEREAS,pursuant to Weld County's Oil and Gas Lease,said assignment must
be approved by the Board of County Commissioners, and
WHEREAS,all rentals have been properly and timely paid and said leases are
in full force and effect, and
WHEREAS,after consideration,the Board deems it appropriate to approve the
hereinabove mentioned assignments.
NOW,THEREFORE,BE IT RESOLVED by the Board of County Commissioners of Weld
County,Colorado,that the assignment of said leases from Snyder Oil Corporation,
1625 Broadway, Suite 2200,Denver,Colorado 80202,to CFG Energy, Inc.,P.O.Box
730, Greeley, Colorado 80632, be, and hereby is, approved.

THIS ASSIGNMENT is made this 24th day of March,1993,by and between SNYDER OIL
CORPORATION,a Delaware corporation,1625 Broadway,Suite 2200,Denver,CO 80202
("Snyder"),as Assignor;and CFG ENERGY,INC.,a Colorado corporation,P.O.Box 730,Greeley,
CO 80632,("CFG"),as Assignee.
1. ASSIGNMENT. For S10 and other valuable consideration,the receipt and
sufficiency of which are hereby acknowledged,SNYDER,subject to the right of first refusal set forth
below,hereby assigns,transfers,sells and conveys unto CFG,its successors and assigns,all of its
right,title and interest in and to those oil and gas leases(the"Leases"),covering lands in Weld
County,Colorado,described on Exhibit A attached hereto.
2. PROPORTIONATELYSUBJECTTOEXISTINGBURDENS.The interests herein
assigned to CFG shall be proportionately subject to all burdens,restrictions,exceptions,reservations,
conditions,agreements and other matters of record in the real property records of Weld County.
3. RESERVATION OF RIGHT OF FIRST REFUSAL ON GAS.Snyder reserves to
itself,its successors and assigns,a right of first refusal("RFR")to purchase gas produced in
commercial quantities from wells located on the Leases.If CFG receives a bona fide offer which
it is ready,willing and able to accept for the purchase of gas produced and saved from the Leases
from a prospective purchaser ready,willing and able to purchase its interest in such gas,CFG shall
immediately give written notice thereof to Snyder,furnishing the terms of such offer including,but
not limited to,the name and address of the prospective purchaser,the price offered,connection
terms of the well or wells,redetermination provisions and processing provisions.Snyder shall have
a period of fifteen(15)days from receipt of this notice within which to match the offer of the
prospective purchaser or to release this RFR.In either event Snyder's election to match the offer
or release its RFR shall be given by written notice to CFG.Failure to so notify CFG within the
fifteen(15)day period shall be deemed an election by Snyder not to exercise its RFR.If Snyder
does not exercise its RFR,CFG may accept said offer and complete the sale in accordance with said
offer within sixty(60)days after the expiration of Snyder's RFR.If,however,CFG fails to accept
said offer(at the price and under the terms and conditions specified in the notice to Snyder)within
said period of sixty(60)days,Snyder's RFR shall be revived and CFG shall not complete such sale
to said prospective purchaser or to any other purchaser unless or until the offer has again been
presented to Snyder and Snyder has released its RFR as hereinabove provided.
4. NO WARRANTY.This assignment is made by Snyder with no warranty of title,
express or implied.

Dear Commissioners:
Pursuant to your policies and the terms of the involved leases, consent to the assignment from
Snyder Oil Corporation to CFG Energy, Inc. of the three Weld County oil and gas leases covering
lands in Section 9, Township 7 North, Range 63 West, is hereby requested. A copy of the
assignment for which approval is sought (recorded in Book 1377 under Rec. No. 2327762) is
enclosed.
In you resolution approving such assignment, we would appreciate a statement that all rentals have
been properly and timely paid, and that the three leases are in full force and effect.
