ASSIGNMENT AND BILL OF SALE
THIS ASSIGNMENT AND BILL OF SALE(this"Assignment")is executed and
delivered by LYCO ACQUISrIION 1984 LIMITED PARTNERSHIP, a Texas Limited
Partnership,(hereinafter called"Assignor"),whose mailing address is 6688 North Central
Expressway,Suite 1600, Dallas,Texas 75206-3927 to LYCO ENERGY CORPORATION,a
Delaware corporation (hereinafter called "Assignee"), whose mailing address is 6688
North Central Expressway,Suite 1600, Dallas,Texas.
Assignor, for valuable consideration, the receipt and sufficiency of which are
hereby acknowledged,does by these presents GRANT,BARGAIN,SELL,CONVEY,
ASSIGN, TRANSFER, SET OVER and DELIVER unto Assignee all of Assignor's
right, title and interests, whether such interests are in the form of a fee, mineral,
leasehold,overriding royalty,or other interest both present and contingent,in and to the
tifollowing:
A. The Oil, Gas and Mineral Leases (herein referred to as the "Leases")
described in Exhibit A, attached hereto and made a part hereof;
B. The lands covered by the Leases or described on Exhibit A or the
description of which is incorporated in Exhibit A by reference to another exhibit or
document and any lands now or hereafter pooled or unitized with any of such lands(the
"Lands")even though Assignor's interest in the Leases or the Lands may be incorrectly
or insufficiently described or referred to in Exhibit A;
C. All other property and rights incident to the Leases or Lands including,but
not limited to,(i)rights and privileges conferred upon the owners of the Leases or Lands
with respect to the use and occupancy of the Lands which may be necessary or
convenient to the possession and enjoyment thereof; (ii) all rights with respect to any
pooled,communitized,or unitized acreage by virtue of the Leases or Lands being a part
thereof; (iii) all rights in and to all presently existing and valid agreements and
contractual rights, easements, rights-of-way, water leases and other surface rights,
servitudes, and other estates which relate to the Leases or Lands or any wells located
thereon including, but not limited to, all rights in, to, and under or derived from all
production sales agreements,operating agreements,gas balancing agreements, pooling
agreements, unitization agreements, surface leases, permits, licenses, options, and all
orders of governmental authorities having jurisdiction over operation of the Leases or
Lands and including, but not limited to, those specific agreements listed on Exhibit A
hereto (all of which are hereinafter referred to as the"Properties");
D. All wells,equipment,materials, fixtures,facilities or personal movable or
immovable property,including,but not limited to,pumping equipment,storage facilities,
compression facilities, pipelines or treatment equipment used or useful in connection
with the production, treatment, storage, processing, and/or transportation and/or
marketing of oil and gas from the Leases or the Lands (all of which is hereinafter
referred to as the "Equipment").
The interests hereby assigned to Assignee are conveyed subject to the following:
1. THE INIERESI'S IN EQUIPMENT WHICH ARE HEREBY ASSIGNED TO
ASSIGNEE ARE EXPRESSLY CONVEYED TO ASSIGNEE"AS IS,WHERE LS"AND WITHOUT
WARRANTY, EITHER EXPRESS OR IMPLIED, OF MERCHANTABILITY OR FITNESS FOR
A PARTICULAR PURPOSE,AND ASSIGNEE ACCEPTS SUCH EQUIPMENT"AS IS,WHERE

2. The effective date of this Assignment shall be December 31, 1993,at 11:59
p.m.CST(the"Effective Date"). Assignor excepts and reserves unto itself,its leasehold
share of all production (and the proceeds from the sale thereof) from the Leases prior
to the Effective Date.

TO HAVE AND TO HOLD all of Assignor's rights, titles, interests, estates,
remedies,powers,and privileges in and to the Properties and Equipment unto Assignee,
its successors and assigns forever,subject to the terms and conditions specified herein,
which shall be covenants running with the Leases,Properties and Equipment. Assignor
hereby binds itself, its successors and assigns, to warrant and forever defend the
Properties unto Assignee, its successors and assigns, against every person whomsoever
lawfully claiming or to claim the same or any part hereof by,through or under Assignor
but not otherwise (other than Claims arising out of or resulting from any action or
inaction by either of the general partners of Assignor in contravention of the partnership
agreement governing Assignor and which would constitute gross negligence or willful
misconduct of either of such general partners). This assignment is made in full
substitution and subrogation in and to all rights and actions of warranty which Assignor
has or may have against all preceding owners or vendors.
