Gentlemen:
Pursuant to your request, please find enclosed herewith an
original "Release of oil and Gas Lease" covering that certain oil,
Gas and Mining Lease dated August 25, 1975, between Weld County,
Colorado, as Lessor, and Charter Exploration & Production Company,
as Lessee, insofar as said Release covers the SE/4 NE/4 of Section
21 and the SE/4 of Section 22 , T-5-N, R-61-W, Weld County,
Colorado, which has been executed on behalf of Parker & Parsley
Development Company. Under separate cover, we are requesting that
MGF Oil Corporation release the balance of your lands described in
your letter of December 21, 1990.
As you are aware, Parker & Parsley Development Company is
interested in renewing the Oil and Gas Lease with Weld County
covering the SE/4 of Section 22 only. The renewal of this lease
could result in additional revenue for the county since Parker &
Parsley controls other wells in the area.
Please advise the undersigned as to what procedure we need to
follow in order to renew the SE/4 of Section 22 .
Your cooperation and assistance in this matter is appreciated.

RELEASE OF OIL AND GAS LEASE

§ KNOW ALL MEN BY THESE PRESENTS:
COUNTY OF WELD §
THAT Parker & Parsley Development Company, a Delaware corporation, for a
good and valid consideration, does hereby release, relinquish, quit-claim and
surrender to the Lessor, Weld County, Colorado, their heirs, assigns and legal
representatives, all right, title and interest in and to a certain Oil and Gas
Mining Lease, made and entered into by and between Charter Exploration &
Production Co. , as Lessee, dated August 25, 1975, INSOFAR AND ONLY INSOFAR as
same covers the following described land, to-wit:
Township 5 North. Range 61 West
Section 21: SE/4 NE/4
Section 22: SE/4
said lease being recorded in the office of the County Clerk in and for said
county, in Book 751, Reception #1673041.
Executed this 15th day of August, 1991.
