RE: AUTHORIZE RATIFICATION OF OIL AND GAS LEASE COVERING CERTAIN PROPERTY
OWNED BY WELD COUNTY, COLORADO, LOCATED IN SW* 515, AND NI 522, T5N, R64W
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statute and the Weld County Home Rule Charter, is vested
with the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, Weld County, Colorado, is the owner of vast acres of mineral lands
located in Weld County, Colorado, and
WHEREAS, on May 9, 1984, Weld County, through its Board of County
Commissioners, as Lessor, did execute and deliver to Golden Buckeye Petroleum
Corporation, as Lessee, an oil and gas lease, which was recorded in Book 1032,
Rec. No. 1969212 of the Deed Records of Weld County, Colorado, and described as
follows:
A tract of land situated in the SW* of
Section 15 and the Ns of Section 22,
Township 5 North, Range 64 West of the 6th
P.M. , Weld County, Colorado
WHEREAS, said lease and all rights and privileges thereunder are now owned
and held by Snyder Oil Corporation, etal, and
WHEREAS, the Board has been presented with a Ratification of Oil and Gas
Lease, and
WHEREAS, the Board, after review, deems it advisable to approve a
Ratification of Oil and Gas Lease, a copy of which is attached hereto and
incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Ratification of Oil and Gas Lease in favor of or for
the benefit of Snyder Oil Corporation, etal, be, and hereby is, ratified.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is,
authorized to sign said ratification.

RATIFICATION OF OIL AND GAS LEASE
WHEREAS, heretofore, on the 9th day of May, 1984, Weld County, through its
Board of County Commissioners, as Lessor, did execute and deliver to Golden
Buckeye Petroleum Corporation, as Lessee, an oil and gas lease, which was
recorded in Book 1032, Rec. No. 1969212 of the Deed Records of Weld County,
Colorado, and described as follows:
Township 5 North, Range 64 West, 6th P. M.
A tract of land situated in the SW4 of Sec. 15 and the N2 of Sec. 22
Said lands being more fully described in said lease, to which lease and its
record, reference is hereby made for all purposes necessary hereto, and
WHEREAS, said lease and all rights and privileges thereunder are now owned
and held by Snyder Oil Corporation, etal, and
WHEREAS, it is the desire of the undersigned, to adopt, ratify and confirm
said lease, and to grant, lease and let the subject lands, in accordance with
the terms and provisions hereof.
NOW THEREFORE, in the consideration of the premises and the sum of. $1.00,
and other good and valuable considerations, cash in hand paid to the
undersigned by said Snyder Oil Corporation, the receipt and sufficiency of
which is hereby acknowledged and confessed, I, or we, the undersigned, jointly
and severally, do hereby adopt, ratify and confirm said lease, and all of its
terms and provisions, and do hereby grant, lease, and let to said Snyder Oil
Corporation, etal, any and all interest which I, or we, the undersigned, now
have, or may hereafter acquire, either by conveyance, devise, inheritance, or
operation of law, and whether, vested, expectant, contingent or future, in and
to the subject lands, in accordance with the each and all of the terms and
provisions of said lease, and as fully and completely, as if the undersigned,
had originally executed, acknowledged and delivered said lease, as one of the
Lessors herein, either on the date thereof, or on the date hereof, and the
undersigned declare, each for themselves, that said lease and all of its terms
and provisions are binding on the undersigned and is a valid and subsisting oil
and gas lease.
All future drilling deferment or delay rentals due under said lease may be
payable to the original Lessor or Lessors in said lease, and/or to their
respective heirs, devisees, successors or assigns, as therein provided, and in
the amount and at the depository bank therein stated, or at a successor bank
duly nominated, and said Snyder Oil Corporation, etal, shall have all of the
rights, privileges and options, as to the interest in the subject lands owned
by the undersigned, as are conferred by the provisions of said lease to the
original Lessee therein, or as subsequently modified in favor of or for the
benefit of said Snyder Oil Corporation, etal.
This agreement shall extend to and be binding upon the heirs, executors,
administratois.,. garyccessors, and assigns of each of the undersigned.

Dear Bruce:
This letter shall confirm my understanding in our telephone conversation of
September 22 that the oil and gas lease dated May 9, 1984 from Weld County, as
lessor, to Golden Buckeye Petroleum Corporation, as lessee, recorded at Book
1032, Reception Number 1969212 covering the captioned lands, is in fact a paid-
up lease, regardless of the apparent ambiguity between the Resolution of the
Board of County Commissioners and the text of the lease itself.
Also, we have been asked by Snyder Oil Corporation to provide drilling title
opinion curative, including Ratifications of all leases in a drilling and
spacing unit, prior to drilling. Snyder Oil, as operator and owner of a
partial working interest in the subject lease, and others, proposes a new well
located in the W2SW4. This lease is held by production by virtue of a well
located in the E2SW4 of Section 15. Therefore, enclosed for your review and
signature by the appropriate authorized party is a Ratification of this oil and
gas lease. The Ratification will also serve to put to rest any questions
arising from the referenced ambiguity regarding the status of the lease.
If you would return the executed Ratification to me in the enclosed envelope,
it would be most appreciated. Thank you for your help with my request. If you
