RE: APPROVE PURCHASE OF SERVICE AGREEMENT BETWEEN FENWC'S HEAD START PROGRAM
AND UNIVERSITY OF NORTHERN COLORADO SPEECH-LANGUAGE PATHOLOGY AND
AUDIOLOGY CLINIC AND AUTHORIZE CHAIRMAN TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statute and the Weld County Home Rule Charter, is vested
with the authority of administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Purchase of Service Agreement
between Family Education Network of Weld County's (FENWC) Head Start Program and
University of Northern Colorado Speech-Language Pathology and Audiology Clinic,
commencing September 1, 1992, and ending August 31, 1993, with the further terms
and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said
agreement, a copy of which is attached hereto and incorporated herein by
reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Purchase of Service Agreement between Family Education
Network of Weld County's (FENWC) Head Start Program and University of Northern
Colorado Speech-Language Pathology and Audiology Clinic be, and hereby is,
approved.
BE IT FURTHER RESOLVED by the Board that the Chairman be, and hereby is,
authorized to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded,
adopted by the following vote on the 5th day of October, A.D. , 1992, nunc pro
tunc September 1, 1992.

PURCHASE OF SERVICES AGREEMENT
THIS AGREEMENT, made and entered into this the 1st day of
September, 1992 by and between the Board of County Commissioners of Weld
County, Colorado, on behalf of the Weld County Division of Human
Resources ' Family Educational Network of Weld County' s Head Start
Program hereinafter referred to as "FENWC" and the University of
Northern Colorado on behalf of the Speech-Language Pathology and
Audiology Clinic, hereinafter referred to as "UNC" .
WITNESSETH
WHEREAS, FENWC is required by law to provide diagnostic and
therapeutic services addressing speech and hearing disorders of FENWC
children; and
WHEREAS, UNC has the staff and facilities to provide the
aforementioned services; and
WHEREAS, the parties hereto desire to establish, in writing, the
terms of their agreement and an ongoing policy for the provision of
services.
NOW THEREFORE, in accordance with the mutual benefits,
responsibilities, and considerations set forth herein, the parties
hereto covenant and agree as follows:
A. Scope and Purpose
The purpose of this Agreement is to establish the amount, terms and
conditions of a Purchase of Services Agreement between FENWC and
UNC.
B. Services to be Provided by UNC
UNC agrees to perform the following services for FENWC:
1. a. Provide speech and language therapy and diagnostic
services to children with specific speech or language
needs that might impair communication of learning. This
therapy will be, when possible, in the dominant language

b. Participate in a one-hour student orientation, presented
by FENWC staff, at the beginning of the academic year.
c. Submit, for FENWC approval, a schedule of services to be
provided which includes a time table.
d. Develop a written, individualized plan for each child in
therapy which states the long and short term goals and
objectives for speech-language therapy, using diagnostic
information and teacher input.
e. Submit a copy of the individualized plan to the FENWC
teacher and Education Coordinator. UNC will also keep a
copy of the file at the University Speech-Language
Pathology and Audiology Clinic.
f. Student clinicians make a classroom observation
approximately two weeks after initiation of therapy and
schedule a teacher consultation at midsemester and at the
end of the semester.
g. Inform the parents during the on-site staffings at the
time of diagnostic of the content of the individualized
plan and the times of therapy sessions.
h. Conduct one-to-one therapy for those children with the
most severe needs.
i. Participate in case review staffings as Speech-Language
Consultants.
j . Teacher, parent and FENWC staff consultations shall not
exceed 25% of total client contact time per term.
2 . a. Provide two (2) clinicians per academic semester, to
conduct in-class language stimulation/therapy in no more
than three classrooms designated on a rotating basis in
Greeley with all children while targeting children with
special needs. Clinicians will work with the classroom
teachers on a monthly basis to coordinate, plan and
deliver appropriate services.
b. Provide three inservice/workshops during the term of the
contract.
c. Provide two parent programs, one to be scheduled in the
evening during the term of the contract.
d. The supervisor will consult bimonthly with the teachers
of the classrooms served.

e. Provide a written summary of goals/objectives/activities
for the academic year.
C. Responsibilities of FENWC
1. a. FENWC will abide by the schedule of services approved by
the director for the academic year.
b. FENWC will provide transportation to UNC for children
requiring service.
c. FENWC will coordinate with UNC to sponsor teacher
inservices, a Parent Open House at UNC, and two parent
programs.
d. FENWC will notify parents of scheduled diagnostics and
obtain written permission from parents for scheduled
therapy.
2 . a. FENWC will provide classroom space and time on a weekly
basis.
b. FENWC teachers will work with the Speech-Language
clinicians to coordinate, plan and deliver appropriate
services.
c. FEWNC teachers will meet with the clinicians on a monthly
basis to review goals and progress.
D. Budget Agreement
1. FENWC will reimburse UNC a total not to exceed $23 , 588 . 12
based on the following:
a. A total of $ 21, 551. 37 for services provided at UNC
(representing an actual cost basis of $20, 580 . 00 less a
20% discount plus 19% supervisor benefits and 10%
administrative fee) .
b. Reimbursement for mileage at the rate of twenty-five
cents ($. 25) per mile for the Clinic Supervisor and
clinicians to travel to and from the FENWC centers. The
total mileage reimbursement shall not exceed $500. 00.
2 . a. A total of $1, 436 .75 for services provided in-class at
Greeley, (actual cost basis of $1372 . 00 less a 20%
discount plus 19% supervisor benefits and a 10%
administrative fee) .
b. Reimbursement for mileage at the rate of twenty-five
cents ($. 25) per mile for Clinic ' Supervisor and

clinicians to travel to and from FENWC Centers. The
total mileage reimbursement shall not exceed $200. 00.
3 . FENWC will reimburse UNC for services after receipt of
documentation from UNC specifying the number and kind of
services delivered. UNC will submit documentation (billing)
on December 15, 1992 and May 14 , 1993 to "Weld County Division
of Human Resources, Fiscal Department, P.O.Box 1805, Greeley,
Colorado 80632" . Reimbursement will be made to "UNC Speech-
Language Pathology and Audiology Clinic, University of
Northern Colorado, Greeley, Colorado 80639" within thirty
(30) calendar days of receipt of billing.
These fees cover all of the actual costs for the following
services:
- Diagnostic Speech-Language Evaluations for 40 children
- Individual Therapy Sessions: 560 sessions at 45 minutes
per session (Additional therapy sessions over the above
stated sessions may be purchased at $19 . 00 per session)
- Case review and team review meetings and staffings
- Student consultation with FENWC - two per month for a
total of six consultations (FENWC staff will also visit
the clinic two times per term)
- Student conference with parents once per term
- Weekly in-class language stimulation lessons in
classrooms in Greeley
E. Term of Agreement
The term of this Agreement shall be for one academic year to
commence on September 1, 1992 and terminate on August 31, 1993 .
This Agreement shall be subject to review and renewal by the
parties annually.
F. Termination of Agreement
Either party may terminate this Agreement without cause by giving
ninety (90) calendar days written notice to the other party.
Termination may also result automatically upon loss of federal
funding to FENWC. In case of prior termination, the payment due
for services will be prorated according to actual services
provided.

G. Modification of Agreement
All modifications to this Agreement shall be in writing and signed
by both parties.
H. Assurances
1. UNC agrees that it is an independent contractor and that its
officers, employees, and clients do not become employees of
Weld County employees, as a result of the execution of this
Agreement.
2 . Weld County, the Board of County Commissioners of Weld County,
its officers and employees, shall not be held liable for
injuries or damages caused by any negligent acts or omissions
of UNC, or its employees, volunteers, or agents while
performing functions as described in this Agreement. UNC
shall not be held liable for injuries or damages caused by any
negligent acts or omissions of Weld County, the Board of
County Commissioners of Weld County, its employees,
volunteers, or agents while performing this Agreement. UNC
shall provide workers ' compensation insurance for all
employees of UNC engaged in the performance of this Agreement,
as required by the Colorado Workers ' Compensation Act.
Likewise, FENWC, by and though the Board of Weld County
Commissioners, shall provide adequate liability and
workers 'compensation insurance for all of its employees,
volunteers and agents engaged in the performance of this
Agreement.
3 . No officer, member, or employee of Weld County and no member
of their governing bodies shall have any pecuniary interest,
direct or indirect, in the approved Agreement or the proceeds
thereof.
4 . UNC understands that monitoring and evaluation of the
performance of this Agreement shall be conducted by the Weld
County Division of Human Resources and the results provided to
the Board of County Commissioners of Weld County. ]
5. UNC and FENWC assure compliance with Title VI of the Civil
Rights Act of 1986, and that no person shall, on the grounds
of race, creed, color, sex, or national origin be excluded
from participation in, be denied the benefits of, or be
otherwise subjected to discrimination under the approved
Agreement.

I . Entire Agreement
This Agreement constitutes the entire understanding between the
parties with respect to the subject matter hereof, and may not be
changed or modified except as stated in Paragraph G herein.
IN WITNESS WHEREOF, the parties hereto have duly executed the
Agreement as of the day, month and year first above written.

subject:

Enclosed for Board approval is a Purchase of Service Agreement between FENWC and
UNC Speech/Language Pathology and Audiology Clinic.
UNC agrees to provide the following services:
• speech and language therapy and diagnostic services to children with
specific speech or language needs that might impair communication of
learning.

• A total of $21,551.37 for services provided at UNC (representing an
actual cost basis of $20,580.00 less a 20% discount plus 19%
supervisor benefits and 10% administrative fee) .
Reimbursement for mileage at the rate of twenty-five cents ($.25)
per mile for the clinic Supervisor and clinicians to travel to and
from the FENWC centers. The total reimbursement shall not exceed
$500.00.
• A total of $1,436.75 for services provided in-class at Greeley,
(actual cost basis of $1,372.00 less a 20% discount plus 19%
supervisor benefits and a 10% administrative fee) .
FENWC will reimburse UNC after receipt of documentation from UNC specifying the
