ASSIGNMENT AND BILL OF SALE
AR2315223 OIL AND GAS INTERESTS AND RELATED PERSONAL PROPERTY
THIS ASSIGNMENT is made and entered into this 9th day of December, 1992,by and
between BRACEWELL DEVELOPMENT CORPORATION,a Colorado corporation,1331
Lamar,Suite 1455,Houston,TX 77010("Bracewell"),as Assignor,and ESCOBAR ENERGY,
INC.,a Colorado corporation,621 17th Street, Suite 1310, Denver,CO 80202 ("Escobar"),as
Assignee.
I. ASSIGNMENT OF ALL INTERESTS IN CERTAIN TOWNSHIPS. For$10 and other
valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
BRACEWELL hereby transfers,conveys,grants,assigns and sets over unto ESCOBAR all oil
and gas leases, overriding royalties, production payments and other interests in oil, gas and
other minerals which Bracewell now owns(or may acquire prior to March 31,1993)which cover
or relate to lands in the following townships in Weld County, Colorado, together with all
contract rights,access and right-of-way agreements,surface leases,and other agreements and
rights,whether or not similar to the foregoing,pertaining thereto,and all welt and leasehold
equipment,personal property and fixtures which Bracewell owns and holds for use in connection
with any wells on such lands or lands pooled therewith:

The parties have attempted to identify the principal lands affected by this assignment on
Exhibit A,but Exhibit A shall never be interpreted to diminish the actual,present assignment
now being made of all of Bracewell's oil and gas interests and personal property in the above
townships to Escobar.
2. MERGER OF INTERESTS. The parties intend that any overriding royalty interests
herein conveyed to Escobar shall merge with and become part of any leasehold interest which
may be now owned or hereafter acquired by Escobar.
3. PROPORTIONATELY SUBJECT TO EXISTING BURDENS. The interests herein
assigned shall be proportionately subject to all burdens,restrictions, exceptions, reservations,
conditions, limitations, charges, agreements and other matters of record in the real property
records of Weld County at the date hereof.
4. TRANSFER ORDERS AND OTHER DOCUMENTS. Bracewell hereby waives
execution of transfer orders and agrees that a copy of this assignment may be attached to any
transfer order and such copy shall be conclusively deemed execution of such transfer order by
Bracewell. If so requested by Escobar, however, Bracewell shall execute such further
documents,including,but not limited to,transfer orders,correction assignments,division orders
and assignments of security deposits, as may be necessary or convenient to effectuate the
transfer of interests assigned herein.
5. WARRANTIES. Bracewell warrants that it has not,since July 1, 1992,conveyed or
encumbered any interest in the properties herein being assigned. Other than as set forth in the
preceding sentence,Bracewell does not warrant title to the property herein assigned,although
it does specifically agree that this Assignment and Bill of Sale shall be effective as to,and shall
convey,all oil and gas interests acquired by Bracewell in the townships described above from
the date hereof until March 1,1993.
6. PURCHASE AND SALE AGREEMENT. This Assignment is delivered in accordance
with the termsf an unrecorded Purchase and Sale Agreement between the parties dated
December//nt, 1992. Certain representations, warranties and other provisions set forth
therein survive the delivery of this assignment.
