ASSIGNMENT, BILL OF SALE AND CONVEYANCE
This Assignment of Oil and Gas Leases and Bill of Sale
and Conveyance by and between Resolute Resources, Inc. , a
Delaware corporation, whose address is c/o HS Resources, Inc. ,
731 Sansome Street, Fifth Floor, San Francisco, CA 94111
(hereinafter referred to as "Assignor") , and HS Resources, Inc. ,
whose address is 731 Sansome Street, Fifth Floor, San Francisco,
CA 94111 (hereinafter referred to as "Assignee") .
NOW, THEREFORE, in consideration of One Hundred Dollars
($100. 00) cash and other good and valuable consideration, the
receipt and adequacy of which are hereby acknowledged, Assignor
does hereby BARGAIN, SELL, TRANSFER, SET OVER, GRANT, ASSIGN,
CONVEY and DELIVER unto Assignee all of Assignor's right, title
and interest and estate in and to the oil, gas and/or mineral
leases, which are listed and described on Exhibit "A" which is
attached hereto and made a part hereof for all purposes (the "Oil
and Gas Properties") , along with, to the extent Assignor may
lawfully assign same, all of Assignor's right, title, interest
and estate in and to the following:
A. All the presently existing oil, gas or mineral
unitization, pooling and communitization agreements, declarations
and orders relating to the Oil and Gas Properties or otherwise
relating to the properties described below in paragraph C and the
units created thereby (including, without limitation, all units
formed under orders, regulations, rules or other official acts of
any federal, state or other governmental agency having
jurisdiction) , which relate to any of the Oil and Gas properties
or which otherwise relate to the properties described below in
paragraph C;
B. All the presently existing oil and gas, sales,
purchase, exchange and processing contracts, casinghead gas
contracts, operating agreements, joint venture agreements,
seismic exploration agreements, area of mutual interest
agreements, farmout and tannin agreements and all other
contracts, agreements and instruments (including, without
limitation, future interests, reversionary rights and deferred
interests) , which relate to any of the Oil and Gas Properties or
which otherwise relate to the properties described below in
paragraph C and to the production of oil, gas and other minerals
from or attributable to such properties, but only insofar as such
contracts, agreements and instruments relate to such properties;
C. Without limitation of the foregoing, all of
Assignor's right, title, interest and estate, whether real,

personal or mixed, of every nature and description in and to the
lands described on Exhibit A, or in any instruments described in
such Exhibit A, whether such right, title, claim or interest
should arise by operation of law or otherwise under and by virtue
of an oil, gas and mineral lease, an operating agreement, a
unitization, pooling or communitization agreement, declaration or
order, a division order, a transfer order or any type of
contract, conveyance or instrument, or under and by virtue of any
type of claim or title, legal or equitable recorded or
unrecorded, and even though Assignor's interests therein be
incorrectly described in or a description of such interest be
omitted from the exhibit thereto; and
D. All personal property and fixtures (including
without limitation, any equipment, machinery and supplies) used
or held for use in connection with the Oil and Gas Properties or
otherwise in connection with any of the properties described in
paragraphs A, B and/or C, above.
TO HAVE AND TO HOLD the above-described interests,
together with all and singular the rights and privileges in
anywise appertaining thereto, unto Assignee and its successors
and assigns forever, subject to all existing burdens on the Oil
and Gas Properties.
It is understood and agreed that this Assignment is
made and accepted subject to all terms and conditions of the
Mortgage, Assignment, Security Agreement and Financing Statement
between Resolute Resources, Inc. and Natural Gas Partners, L.P. ,
dated November 16, 1990, recorded November 16, 1990, in Book 1282
at Reception Number 2233387, Weld County, Colorado Real Estate
Records and recorded November 16, 1990 in Book 177 at Reception
Number U0238285, Weld County, Colorado Uniform Commercial Code
Records.
This Assignment is made subject to, and Assignee hereby
expressly assumes and agrees to perform all of the obligations of
Resolute Resources, Inc. under the Credit Agreement dated
November 16, 1990, by and among Resolute Resources, Inc. , HS
Resources, Inc. , and Natural Gas Partners, L.P.
This Assignment is made subject to the Assignment dated
November 16, 1990, between Amoco Production Company and Resolute
Resources, Inc. , recorded November 16, 1990 in Book 1282 at
Reception Number 2233385, Weld County, Colorado Clerk and
Recorder Real Estate Records, and Assignee hereby expressly
assumes and agrees to perform the obligations of the Assignee
thereunder.
This Assignment is also made subject to the agreement
between Amoco Production Company and HS Resources, Inc. , dated

June 1, 1990, as amended, and Assignee agrees to assume and
perform the obligations of Resolute Resources, Inc. , thereunder.
Assignor does hereby bind itself to warrant and defend
title to the described interests unto Assignee against every
person whomsoever may claim the oil and Gas Properties, or a part
thereof, by, through or under Assignor, but no further, and is
made with full substitution and subrogation in and to all of the
rights and actions of warranty or otherwise which Assignor has or
may have against predecessors in title.
The Oil and Gas Property may also be conveyed on the
appropriate federal or state agency forms. All such additional
conveyances shall be considered counterparts hereof and not
additions hereto; all of the terms, conditions and covenants of
this Assignment and the Agreement shall be deemed incorporated
into such conveyances.
The provisions hereof shall be covenants running with
the land and shall be binding upon and inure to the benefit of
the parties hereto, their respective successors and assigns.
IN WITNESS WHEREOF, this instrument is signed and
executed in multiple counterparts as indicated on the respective
acknowledgments hereinbelow, but, notwithstanding anything else
to the contrary contained herein, it is hereby stipulated and
agreed that this Assignment shall be effective as of 7:00 a.m. ,
local time, - ( , 192 (the "Effective Time") .
